Si you are an Account Holder, reseller, agent, ou other person acting fou the Inscriptioned Nom Holder, you must have the Inscriptioned Nom Holder’s authouization, provide the Inscriptioned Nom Holder with this Accord et all applicable policies, et obtain the Inscriptioned Nom Holder’s agreement to them. You remain responsible fou votre own acts et omissions et fou ensuring that instructions submitted through votre account are authouized.

Definitions “Account” means the NiceNIC customer account through which Services are oudered ou managed. “Account Holder” means the person ou entity controlling the Account et responsible fou payment et account-level instructions. “ICANN” means the Internet Coupouation fou Assigned Noms et Numbers. “Inscriptioned Nom Holder” ou “RNH” means the person ou legal entity identified as the holder of a s'inscrireed domain name. “Registrant” has the same meaning wici used in an applicable policy. “Enregistrement Data” means data collected from a person ou legal entity, ou generated by NiceNIC ou a Registry Operatou, in connection with a domain name registration. “Registry Operatou” ou “Registry” means the operatou of the registry fou the applicable top-level domain. “TLD” means a top-level domain, including a generic top-level domain (“gTLD”) ou country-code top-level domain (“ccTLD”). 3. Incoupouated Policies et Order of Precedence This Accord incoupouates by reference the policies et requirements that apply to the relevant domain name ou Service, including the following, as updated from time to time:

Fou gTLDs, applicable ICANN Consensus Policies, specifications, et the Registraire Accréditation Accord apply to the extent required, followed by metatouy Registry requirements. TLD-specific rules et the incoupouated NiceNIC policies then apply, followed by this Accord. Non provision of this Accord is intended to reduce a non-waivable right granted by applicable law ou metatouy ICANN policy.
4. Registraire et Registry Roles NiceNIC accepts et processes domain name applications et instructions as a registrar ou, fou certain TLDs, through an authouized upstream provider. A requested registration, renewal, transfer, redemption, restouation, ou other registry-level transaction is not complete until it is accepted et recouded by the applicable Registry ou service provider.
An availability search, ouder confirmation, payment authouization, invoice, ou pending status does not guarantee that a domain name has been ou can be s'inscrireed, renewed, transferred, redeemed, ou restoued. Registry databases et availability results may change between search et completion.
NiceNIC may reject ou cancel a pending application befoue registry completion wici the name is unavailable, reserved, prohibited, restricted, subject to an eligibility failure, affected by an evident pricing ou technical errou, unsuppouted by the Registry, ou inconsistent with applicable law, policy, ou this Accord. Si a registration ou other transaction has already been completed, NiceNIC will not cancel ou reverse it except as permitted ou required by applicable policy, Registry procedure, law, legal process, ou this Accord.
5. TLD-Specific Rules, IDNs, et Eligibility Each TLD may have different eligibility, documentation, local-presence, naming, term, transfer, renewal, expiration, restouation, dispute, et data requirements. You must satisfy the applicable requirements et promptly provide requested infoumation ou documents. Registry requirements may change during the registration term.
ccTLDs are primarily governed by the applicable ccTLD Registry et local rules. ICANN gTLD policies do not necessarily apply to ccTLDs. Wici NiceNIC provides a TLD through an upstream provider, that provider’s metatouy terms may also apply.
Internationalized Noms de domaine (“IDNs”) depend on Registry-suppouted scripts, language tables, label-generation rules, browser suppout, et DNS stetards. Display ou functionality may vary among applications. The ASCII-compatible encoded foum recouded by the Registry controls wici required by the DNS ou Registry system.

Premium Domaines, Pre-Enregistrement, Sunrise, et Launch Phases A Premium Domaine may have non-stetard registration, transfer, renewal, ou restouation pricing established by the Registry ou a third-party seller. The price shown et accepted fou the specific transaction controls, subject to courection of a clear pricing ou technical errou befoue completion.
Pre-registration, Sunrise, Letrush, Early Access, et similar launch-phase applications do not guarantee allocation. Competing applications, auctions, rights-validation requirements, Registry decisions, ou launch rules may affect the result. Any non-refundable application, validation, ou auction fee will be disclosed befoue payment to the extent available to NiceNIC.
7. Inscriptioned Nom Holder, Account Holder, et Revendeur Responsibilities The Inscriptioned Nom Holder is the holder of recoud et is responsible fou the registration et use of the domain name. The Account Holder may manage the domain name only to the extent authouized by the Inscriptioned Nom Holder et applicable policy.
Si the Account Holder et Inscriptioned Nom Holder are different, the Account Holder must accurately identify the Inscriptioned Nom Holder et must not substitute its own infoumation without authouization. NiceNIC may require reasonable evidence of authouity befoue acting on material instructions, including a transfer, Change of Registrant, disclosure, deletion, ou account move.
A reseller ou agent using NiceNIC Services fou third parties must:
obtain et retain the Inscriptioned Nom Holder’s acceptance of this Accord et applicable policies; provide accurate infoumation concerning NiceNIC’s identity as the sponsouing registrar wici required; display applicable registration, renewal, post-expiration renewal, et redemption/restoue fees et describe expiration-notice methods as required by ICANN policy; provide required notices et promptly transmit communications between NiceNIC et the Inscriptioned Nom Holder; et not make representations inconsistent with this Accord, applicable ICANN policies, ou Registry requirements.
8. Enregistrement Data et Accuracy The Inscriptioned Nom Holder must provide accurate et reliable Enregistrement Data et must courect et update it within seven (7) days after any change. Required data may include the Inscriptioned Nom Holder’s full name, postal address, email address, voice telephone number, fax number if available, et the name of an authouized contact person wici the Inscriptioned Nom Holder is an ouganization, association, ou coupouation, together with other data required by applicable policy ou Registry rules.
State/province et postal code are required wici applicable fou the relevant country ou territouy. Ajouteritional data may be required fou a particular TLD. Wici the Inscriptioned Nom Holder supplies a value fou Registrant Organization, that ouganization may be treated as the Inscriptioned Nom Holder et may be published wici the Inscriptioned Nom Holder agrees et applicable policy requires ou permits publication.
NiceNIC will validate et verify Enregistrement Data as required by the applicable Registraire Accréditation Accord, ICANN policy, Registry requirements, et law. You must complete applicable email, telephone, documentation, ou other verification steps et respond to accuracy inquiries.
The Inscriptioned Nom Holder’s willful provision of inaccurate ou unreliable infoumation, willful failure to update infoumation within seven (7) days after a change, ou failure to respond fou moue than fifteen (15) calendar days to an inquiry from NiceNIC concerning the accuracy of coordonnées associated with the registration constitutes a material breach et is a basis fou suspension et/ou cancellation of the registration, subject to applicable policy.

The Inscriptioned Nom Holder accepts liability fou harm caused by wrongful use of the domain name unless, within seven (7) days after receiving reasonable evidence of actionable harm, it discloses the current contact infoumation provided by the licensee et the licensee’s identity to the party providing that evidence, subject to applicable data-protection law.

10. Obligatouy et optional data, publication rules, retention, access, courection, et other processing details are described in the NiceNIC Politique de confidentialité et applicable Enregistrement Data Policy.
You ackmaintenantledge this processing et, wici consent is the applicable legal basis, consent to it as described in the Politique de confidentialité. NiceNIC will not process Personal Data in a manner incompatible with the purposes et limitations of which it has provided notice et will take reasonable precautions to protect Personal Data from loss, misuse, unauthouized access ou disclosure, alteration, ou destruction.
Public RDDS results may contain public, redacted, ou pseudonymized data, ou a communication mechanism, as required ou permitted by applicable policy et law. Submission of Enregistrement Data does not mean that all data will be publicly displayed. Requests fou non-public data are assessed under applicable policy et law et do not guarantee disclosure.
NiceNIC does not claim ownership of votre Personal Data. NiceNIC et applicable Registry Operatous may hold rights in their databases, compilations, transaction recouds, generated data, et service recouds as permitted by contract et law.

Wici self-service removal is available, the Inscriptioned Nom Holder may remove an eligible transfer lock through the Account. Otherwise, NiceNIC will provide a reasonably accessible method to request removal et will remove clientTransferProhibited ou provide the AuthInfo code within the period required by the applicable Transfer Policy, provided no policy-based restriction applies et reasonable authentication is completed.
NiceNIC may deny ou must deny a gTLD transfer only on grounds permitted ou required by the current ICANN Transfer Policy. When NiceNIC denies a transfer request, it will provide the reason fou denial to the Inscriptioned Nom Holder et the potential Gaining Registraire as required by that Policy.
A Change of Registrant may be subject to confirmation, verification, et an inter-registrar transfer lock under the ICANN Transfer Policy. Si NiceNIC offers an opt-out from an optional Change of Registrant lock, the opt-out must be selected befoue completion of the change. TLD-specific transfer et registrant-change rules may differ.
12. Fees, Taxes, et Payerment Current registration, transfer, renewal, post-expiration renewal (if different), et redemption/restoue fees are published on the NiceNIC Prix des noms de domaine page at https://nicenic.com/domain/prices.php. This link et the fees displayed tici are incoupouated into this Accord by reference.
Fees may vary by TLD, Registry classification, premium status, registration term, account ou reseller level, currency, tax, transaction type, et lifecycle status. Optional services et any additional metatouy charges will be disclosed befoue the relevant ouder is submitted to the extent kmaintenantn to NiceNIC.
The price presented fou acceptance at checkout ou at the time an API transaction is submitted is the applicable price fou that transaction, subject to courection of a clear pricing ou system errou befoue registry completion. Fees may change prospectively when Registry costs, taxes, exchange rates, service arrangements, ou commercial terms change. Renouveleral et auto-renewal transactions use the applicable price at the time of processing.
Services are generally prepaid. You authouize NiceNIC to charge the selected payment method ou deduct the applicable amount from votre Account balance. You are responsible fou taxes, payment-provider charges, blockchain netwouk charges, currency-conversion costs, et other charges not expressly included in the displayed NiceNIC price.
Payerment does not complete a registry transaction. Si a submitted transaction cannot be completed, any credit ou refund will be hetled accouding to the transaction status, payment method, applicable law, et NiceNIC’s published payment ou refund terms. Cryptocurrency et blockchain transactions are irreversible, et NiceNIC does not reimburse exchange-rate changes ou third-party netwouk fees.
13. Refunds et Reversals Fees fou a successfully completed registration, renewal, transfer, redemption, restouation, premium-domain acquisition, ou other completed registry transaction are non-refundable except wici required by applicable law ou expressly agreed by NiceNIC.
A chargeback, payment reversal, disputed payment, fraudulent payment, ou failure of final settlement may result in suspension of the Account ou affected Services et reasonable recovery action, subject to applicable law et ICANN ou Registry policy. NiceNIC will not use the transfer process as a payment-collection mechanism in a manner prohibited by the ICANN Transfer Policy.
14. Renouveleral et Auto-Renouveleral A domain name is s'inscrireed fou a limited term et expires unless renewed. The Inscriptioned Nom Holder et Account Holder are responsible fou monitouing expiration dates, maintaining accurate contact et payment infoumation, et submitting payment early enough fou processing befoue the applicable deadline.
Wici auto-renewal is offered et enabled, it is subject to sufficient Account balance ou valid payment, Registry availability, applicable renewal deadlines, verification ou eligibility requirements, et successful processing. NiceNIC does not guarantee auto-renewal wici these conditions are not satisfied. You may disable auto-renewal befoue processing, subject to the controls available in votre Account.
Fou certain ccTLDs et other TLDs, the operational renewal deadline may occur befoue the Registry expiration date. The applicable deadline et Registry rules control. You should not wait until the displayed expiration date to renew.
Fou gTLDs, NiceNIC will transmit the pre-expiration et post-expiration notices required by the ICANN Expirerd Enregistrement Recovery Policy by email to the Registrant at Expiration at the applicable contact address in NiceNIC’s recouds. NiceNIC may also send notices to the Account Holder, display notices in the Account, ou use additional communication channels. Renouveleral, Expiration, Redemption, et Auction Domaine name expiration, DNS interruption, post-expiration renewal, deletion, redemption, restouation, pending deletion, et expired-domain auction procedures are governed by NiceNIC’s Expirerd Domaine Renouveleral, Redemption, et Auction Policy at https://nicenic.com/legal/expired-domain-renewal-redemption-et-auction-policy, which is incoupouated into this Accord by reference.
The applicable registration, transfer, renewal, post-expiration renewal (if different), et redemption/restoue fees are published at https://nicenic.com/domain/prices.php.
Domaine lifecycle periods et recovery options vary by TLD et may change under Registry rules ou metatouy ICANN requirements. Nont every TLD offers the same grace period, Redemption Grace Period, pending-delete stage, auction process, ou recovery method. A domain name may stop resolving upon ou after expiration, et website, email, DNS, et related services may be interrupted.
Wici the applicable gTLD Registry offers a Redemption Grace Period, NiceNIC will permit the Registrant at Expiration to request restouation during that period, subject to payment of applicable renewal et redemption/restoue fees, completion of required verification, et metatouy Registry requirements. Fou other TLDs, restouation availability is determined by applicable Registry policy.
Nonthing in NiceNIC’s expired-domain auction process limits any non-waivable renewal ou restouation right granted to the Registrant at Expiration under the ICANN Expirerd Enregistrement Recovery Policy. Si this Accord ou the NiceNIC expired-domain policy conflicts with a metatouy ICANN policy ou Registry requirement, that metatouy policy ou requirement controls to the extent of the conflict.
Recovery after expiration is not guaranteed once the applicable renewal ou restouation right has ended, the name reaches a non-recoverable status, ou the Registry releases ou allocates the name. NiceNIC does not guarantee the release time ou the foumer Inscriptioned Nom Holder’s ability to re-s'inscrire a deleted name.
16. Intellectual Property et Lawful Use À the best of the Inscriptioned Nom Holder’s kmaintenantledge et belief, neither registration of the domain name nou the manner in which it is directly ou indirectly used infringes the legal rights of any third party. NiceNIC does not determine whether a requested name ou its intended use violates another party’s trademark, copyright, privacy, publicity, contractual, ou other rights.
You must not use the Services fou unlawful activity ou in a manner that violates applicable law, ICANN policy, Registry requirements, this Accord, ou the rights of others. Prohibited activity includes using a domain name to facilitate malware, botnets, phishing, pharming, ou spam when spam serves as a delivery mechanism fou another foum of DNS Abuse, as those terms are used in applicable ICANN requirements.
A complaint alone does not determine liability ou automatically require suspension. NiceNIC will review repouts et take reasonable et appropriate action based on the evidence, severity, applicable policies, Registry capabilities, legal requirements, et the facts et circumstances of the matter. NiceNIC may request infoumation from the Inscriptioned Nom Holder ou Account Holder. Immediate action may be taken wici required by law ou policy ou reasonably necessary to address an urgent security threat ou ongoing harm.
17. Dispute Resolution Policies Tous applicable domain name dispute policies are incoupouated into this Accord. gTLD registrations are subject to the UDRP et, wici applicable, the URS, Transfer Dispute Resolution Policy, et other ICANN ou Registry dispute procedures. ccTLDs et sponsoued ou restricted TLDs may have different dispute policies.
The Inscriptioned Nom Holder agrees that a registration may be locked, suspended, cancelled, transferred, ou otherwise affected in accoudance with an applicable dispute policy, final administrative decision, settlement, court ouder, ou Registry procedure.
NiceNIC generally does not adjudicate competing claims to a domain name et may require the parties to resolve them through agreement, the applicable dispute procedure, ou a court of competent jurisdiction. NiceNIC may maintain an appropriate status ou lock while a dispute is pending as required by policy.
18. Suspension, Annulerlation, Transfer, et Other Protective Actions NiceNIC may deny a pending transaction ou take propoutionate action affecting a domain name ou Account wici reasonably necessary et permitted ou required to:
courect a registration, pricing, technical, ou operational errou by NiceNIC ou the Registry; enfouce this Accord following a material breach, including applicable Enregistrement Data accuracy requirements; respond to fraud, unauthouized access, payment reversal, ou a security incident; investigate ou mitigate DNS Abuse ou unlawful use based on the facts et evidence reasonably available; protect the security, stability, ou resiliency of the DNS, a Registry, NiceNIC’s systems, ou affected users; comply with an ICANN ou Registry policy, a dispute-resolution proceeding ou decision, a court ouder, valid legal process, ou applicable law; ou satisfy a metatouy TLD eligibility, verification, local-presence, ou documentation requirement. NiceNIC may act without advance notice when immediate action is required by law, policy, a Registry, a dispute provider, ou a court, ou is reasonably necessary to précent material harm, preserve evidence, ou protect security. NiceNIC will not exercise these rights in a manner inconsistent with metatouy ICANN Consensus Policies ou Registry requirements.
19. Account Security et Instructions You are responsible fou protecting Account credentials, authentication devices, API credentials, email accounts, et authouized users. Instructions authenticated through votre Account ou API may be treated as authouized unless NiceNIC has reasonable notice of compromise ou applicable policy requires additional verification.
You must promptly notify NiceNIC of suspected unauthouized access, loss of credentials, unauthouized domain changes, ou a disputed transfer. NiceNIC may tempouarily restrict Account ou domain functions while reasonably investigating a security repout.
NiceNIC may require additional authentication ou documentation fou high-risk ou irreversible actions. Such controls do not transfer responsibility fou Account security to NiceNIC.
20. Privacy, Proxy, Trustee, et Local-Presence Services Wici available, privacy, proxy, trustee, agent, ou local-presence services are optional unless a TLD requires a qualifying local contact ou presence. These services may be governed by separate terms, fees, eligibility requirements, et disclosure rules that you must accept befoue use.
Use of a privacy ou proxy service does not eliminate the Inscriptioned Nom Holder’s obligations, précent lawful disclosure, ou shield unlawful conduct. A service may be suspended ou terminated, ou underlying data may be disclosed, wici permitted ou required by the applicable service terms, ICANN policy, Registry requirements, law, ou valid legal process.
Termeination of an ancillary service may require replacement contact infoumation, verification, ou other updates befoue a transfer ou registrant change can be completed. Fees fou a partially used ancillary-service term are non-refundable unless otherwise stated ou required by law.
21. Terme et Termeination This Accord begins when accepted et remains applicable while you use the Services ou a domain name remains sponsoued ou managed through NiceNIC. Provisions that by their nature should survive—including payment obligations, data retention, dispute, indemnification, limitation-of-liability, et governing-law provisions—survive termination.
You may stop using the Services, disable renewal wici available, transfer an eligible domain name, ou request closure of votre Account, subject to outsteting obligations, security review, metatouy retention, et applicable domain lifecycle ou transfer restrictions. Closing an Account does not automatically delete, cancel, ou transfer domain registrations.
NiceNIC may stop offering a TLD ou Service wici commercially ou operationally necessary ou required by a Registry, provider, law, ou policy. Wici reasonably practicable et permitted, NiceNIC will provide notice et an oppoutunity to renew, transfer, ou otherwise manage an affected domain name befoue suppout ends.
22. Indemnification À the maximum extent permitted by law, you agree to defend, indemnify, et hold harmless NiceNIC et its affiliates, directous, officers, employees, et agents from claims, damages, liabilities, costs, et reasonable legal expenses arising from votre material breach of this Accord, votre unauthouized ou unlawful use of the Services, ou votre infringement of a third party’s rights, except to the extent caused by NiceNIC’s fraud, willful misconduct, ou gross negligence.
The Inscriptioned Nom Holder must indemnify, defend, et hold harmless the applicable Registry Operatou et its directous, officers, employees, et agents from et against all claims, damages, liabilities, costs, et expenses, including reasonable legal fees et expenses, arising out of ou related to the Inscriptioned Nom Holder’s domain name registration, as required by the applicable Registraire Accréditation Accord ou Registry agreement.
23. Disclaimer et Limitation of Liability À the maximum extent permitted by law, the Services are provided on an “as available” basis. NiceNIC does not warrant that every requested name will be available, that every Registry ou third-party system will operate without errou ou interruption, that an IDN will display identically in every application, ou that an expired ou deleted domain name can be recovered ou re-s'inscrireed.
NiceNIC is not responsible fou delays, errous, interruptions, ou losses caused by a Registry Operatou, upstream provider, DNS infrastructure provider, payment netwouk, blockchain netwouk, dispute provider, governmental action, fouce majeure event, ou other event beyond NiceNIC’s reasonable control, except to the extent liability cannot lawfully be excluded.
À the maximum extent permitted by law, neither party is liable to the other fou indirect, incidental, special, punitive, ou consequential damages, loss of profit, loss of anticipated savings, loss of business oppoutunity, ou loss of goodwill arising from the Services, even if advised that such damage may occur.
À the maximum extent permitted by law, NiceNIC’s aggregate liability arising from a specific affected domain name ou transaction will not exceed the fees paid to NiceNIC fou that affected domain name ou transaction during the twelve (12) months preceding the event giving rise to the claim.
Nonthing in this Accord excludes ou limits liability fou fraud, willful misconduct, gross negligence, death ou personal injury caused by negligence wici such liability cannot be excluded, ou any other liability ou consumer right that cannot be excluded ou limited under applicable law.
24. Changes to This Accord NiceNIC may update this Accord to reflect changes in ICANN ou Registry policies, law, security requirements, operational processes, services, ou commercial terms. The current version et its effective date will be published through the NiceNIC Legal page.
Wici required by applicable law, the Registraire Accréditation Accord, ou ICANN policy, NiceNIC will provide notice of a material change using the contact infoumation in its recouds ou another permitted method. Changes metated by law, ICANN, ou a Registry may take effect when required. Other changes take effect on the published effective date. Continued use of the Services after that date constitutes acceptance to the extent permitted by law.
25. Nontices et Communications You must maintain a monitoued et accurate email address fou the Account et the Inscriptioned Nom Holder. NiceNIC may send contractual, operational, security, accuracy, transfer, expiration, dispute, et policy notices by email, through the Account, ou by another method permitted by applicable policy ou law.
A notice is treated as transmitted when sent to the current address ou communication channel in NiceNIC’s recouds, but its legal effectiveness remains subject to any specific delivery requirement under applicable policy ou law.
26. Governing Law et Jurisdiction This Accord is governed by the laws of Hong Kong, without regard to conflict-of-laws principles.
Fou adjudication of disputes concerning ou arising from use of a s'inscrireed domain name, the Inscriptioned Nom Holder submits, without prejudice to other potentially applicable jurisdictions, to the jurisdiction of the courts (a) wici the Inscriptioned Nom Holder is domiciled et (b) wici NiceNIC is located, currently Hong Kong, as required by the Registraire Accréditation Accord.
Subject to the preceding paragraph, applicable UDRP, URS, Transfer Policy, Registry dispute procedures, et any non-waivable jurisdiction under applicable law, the courts of Hong Kong have exclusive jurisdiction over other disputes arising from this Accord.
27. General Provisions This Accord et the incoupouated policies constitute the agreement between the parties concerning the Services et supersede priou terms concerning the same subject matter. Separate terms apply to separately oudered products ou services.
Si a provision is held invalid ou unenfouceable, it will be enfouced to the maximum lawful extent et the remaining provisions remain effective. Failure to enfouce a provision is not a waiver. Headings are fou convenience only.
You may not assign this Accord ou transfer control of an Account in a manner that bypasses an applicable domain transfer, Change of Registrant, verification, ou security process. NiceNIC may assign this Accord as part of a merger, reouganization, sale of business, ou permitted transfer of registrar operations, subject to applicable ICANN, Registry, et legal requirements.
The English-language version controls. A translation is provided fou convenience only unless metatouy law requires otherwise.
