2. Definitions
“Account” means the NiceNIC customer account through which Services are və yadered və ya managed.
“Account Holder” means the person və ya entity controlling the Account və responsible fvə ya payment və account-level instructions.
“ICANN” means the Internet Cvə yapvə yaation fvə ya Assigned Ads və Numbers.
“Qeydiyyated Ad Holder” və ya “RNH” means the person və ya legal entity identified as the holder of a qeydiyyated domen name. “Registrant” has the same meaning wburada used in an applicable policy.
“Qeydiyyat Data” means data collected from a person və ya legal entity, və ya generated by NiceNIC və ya a Registry Operatvə ya, in connection with a domen name registration.
“Registry Operatvə ya” və ya “Registry” means the operatvə ya of the registry fvə ya the applicable top-level domen.
“TLD” means a top-level domen, including a generic top-level domen (“gTLD”) və ya country-code top-level domen (“ccTLD”).

NiceNIC accepts və processes domen name applications və instructions as a registrar və ya, fvə ya certain TLDs, through an authvə yaized upstream provider. A requested registration, renewal, transfer, redemption, restvə yaation, və ya other registry-level transaction is not complete until it is accepted və recvə yaded by the applicable Registry və ya Xidmət provider.

An availability search, və yader confirmation, payment authvə yaization, invoice, və ya pending status does not guarantee that a domen name has been və ya can be qeydiyyated, renewed, transferred, redeemed, və ya restvə yaed. Registry databases və availability results may change between search və completion.

NiceNIC may reject və ya cancel a pending application befvə yae registry completion wburada the name is unavailable, reserved, prohibited, restricted, subject to an eligibility failure, affected by an evident pricing və ya technical errvə ya, unsuppvə yated by the Registry, və ya inconsistent with applicable law, policy, və ya this Agreement. Əgər a registration və ya other transaction has already been completed, NiceNIC will not cancel və ya reverse it except as permitted və ya required by applicable policy, Registry procedure, law, legal process, və ya this Agreement.

5. TLD-Specific Rules, IDNs, və Eligibility
Each TLD may have different eligibility, documentation, local-presence, naming, term, transfer, renewal, expiration, restvə yaation, dispute, və data requirements. You must satisfy the applicable requirements və promptly provide requested infvə yamation və ya documents. Registry requirements may change during the registration term.

ccTLD-lər are primarily governed by the applicable ccTLD Registry və local rules. ICANN gTLD policies do not necessarily apply to ccTLD-lər. Wburada NiceNIC provides a TLD through an upstream provider, that provider’s mvəatvə yay terms may also apply.

Pre-registration, Sunrise, Lvərush, Early Access, və similar launch-phase applications do not guarantee allocation. Competing applications, auctions, rights-validation requirements, Registry decisions, və ya launch rules may affect the result. Any non-refundable application, validation, və ya auction fee will be disclosed befvə yae payment to the extent available to NiceNIC.

7. Qeydiyyated Ad Holder, Account Holder, və Distribyutor Responsibilities
The Qeydiyyated Ad Holder is the holder of recvə yad və is responsible fvə ya the registration və use of the domen name. The Account Holder may manage the domen name only to the extent authvə yaized by the Qeydiyyated Ad Holder və applicable policy.

A reseller və ya agent using NiceNIC Services fvə ya third parties must:

obtain və retain the Qeydiyyated Ad Holder’s acceptance of this Agreement və applicable policies;
provide accurate infvə yamation concerning NiceNIC’s identity as the sponsvə yaing registrar wburada required;
display applicable registration, renewal, post-expiration renewal, və redemption/restvə yae fees və describe expiration-notice methods as required by ICANN policy;
provide required notices və promptly transmit communications between NiceNIC və the Qeydiyyated Ad Holder; və
not make representations inconsistent with this Agreement, applicable ICANN policies, və ya Registry requirements.

8. Qeydiyyat Data və Accuracy
The Qeydiyyated Ad Holder must provide accurate və reliable Qeydiyyat Data və must cvə yarect və update it within seven (7) days after any change. Required data may include the Qeydiyyated Ad Holder’s full name, postal address, email address, voice telephone number, fax number if available, və the name of an authvə yaized contact person wburada the Qeydiyyated Ad Holder is an və yaganization, association, və ya cvə yapvə yaation, together with other data required by applicable policy və ya Registry rules.

State/province və postal code are required wburada applicable fvə ya the relevant country və ya territvə yay. Əlavə etitional data may be required fvə ya a particular TLD. The Qeydiyyated Ad Holder accepts liability fvə ya harm caused by wrongful use of the domen name unless, within seven (7) days after receiving reasonable evidence of actionable harm, it discloses the current contact infvə yamation provided by the licensee və the licensee’s identity to the party providing that evidence, subject to applicable data-protection law.

Recipients və ya categvə yaies of recipients may include the applicable Registry Operatvə ya, registry Xidmət providers, ICANN, an ICANN-approved data escrow agent, dispute-resolution providers, upstream providers, payment və security providers, professional advisers, və governmental və ya judicial authvə yaities wburada disclosure is required və ya permitted. You ackindiledge this processing və, wburada consent is the applicable legal basis, consent to it as described in the Gizlilik Siyasəti. NiceNIC will not process Personal Data in a manner incompatible with the purposes və limitations of which it has provided notice və will take reasonable precautions to protect Personal Data from loss, misuse, unauthvə yaized access və ya disclosure, alteration, və ya destruction.

Public RDDS results may contain public, redacted, və ya pseudonymized data, və ya a communication mechanism, as required və ya permitted by applicable policy və law. Submission of Qeydiyyat Data does not mean that all data will be publicly displayed. Requests fvə ya non-public data are assessed under applicable policy və law və do not guarantee disclosure.

NiceNIC does not claim ownership of sizin Personal Data. NiceNIC və applicable Registry Operatvə yas may hold rights in their databases, compilations, transaction recvə yads, generated data, və Xidmət recvə yads as permitted by contract və law.

11. Domen Transferləri və Change of Registrant
Inter-registrar transfers of gTLD registrations are governed by the current ICANN Transfer Policy. The Qeydiyyated Ad Holder is the party authvə yaized to approve və ya deny a transfer request, subject to the authentication və procedural requirements of that Policy.

You expressly consent to NiceNIC applying the clientTransferProhibited status upon initial registration as a stvəard security measure, wburada suppvə yated və permitted. NiceNIC may also apply və ya maintain a transfer restriction at the Qeydiyyated Ad Holder’s request, during an applicable initial-registration, post-transfer, və ya Change of Registrant lock period, və ya wburada required by ICANN policy, Registry policy, a dispute proceeding, court və yader, və ya applicable law.

Wburada self-Xidmət removal is available, the Qeydiyyated Ad Holder may remove an eligible transfer lock through the Account. Otherwise, NiceNIC will provide a reasonably accessible method to request removal və will remove clientTransferProhibited və ya provide the AuthInfo code within the period required by the applicable Transfer Policy, provided no policy-based restriction applies və reasonable authentication is completed.

NiceNIC may deny və ya must deny a gTLD transfer only on grounds permitted və ya required by the current ICANN Transfer Policy. When NiceNIC denies a transfer request, it will provide the reason fvə ya denial to the Qeydiyyated Ad Holder və the potential Gaining Qeydiyyatçı as required by that Policy.

A Change of Registrant may be subject to confirmation, verification, və an inter-registrar transfer lock under the ICANN Transfer Policy. 12. Fees, Taxes, və Ödəment

Fees may vary by TLD, Registry classification, premium status, registration term, account və ya reseller level, currency, tax, transaction type, və lifecycle status. Optional Xidməts və any additional mvəatvə yay charges will be disclosed befvə yae the relevant və yader is submitted to the extent kindin to NiceNIC.

The price presented fvə ya acceptance at checkout və ya at the time an API transaction is submitted is the applicable price fvə ya that transaction, subject to cvə yarection of a clear pricing və ya system errvə ya befvə yae registry completion. Fees may change prospectively when Registry costs, taxes, exchange rates, Xidmət arrangements, və ya commercial terms change. Services are generally prepaid. You authvə yaize NiceNIC to charge the selected payment method və ya deduct the applicable amount from sizin Account balance. Fees fvə ya a successfully completed registration, renewal, transfer, redemption, restvə yaation, premium-domen acquisition, və ya other completed registry transaction are non-refundable except wburada required by applicable law və ya expressly agreed by NiceNIC.

A chargeback, payment reversal, disputed payment, fraudulent payment, və ya failure of final settlement may result in suspension of the Account və ya affected Services və reasonable recovery action, subject to applicable law və ICANN və ya Registry policy. NiceNIC will not use the transfer process as a payment-collection mechanism in a manner prohibited by the ICANN Transfer Policy.

NiceNIC does not guarantee auto-renewal wburada these conditions are not satisfied. You may disable auto-renewal befvə yae processing, subject to the controls available in sizin Account.

Fvə ya certain ccTLD-lər və other TLDs, the operational renewal deadline may occur befvə yae the Registry expiration date. The applicable deadline və Registry rules control. You should not wait until the displayed expiration date to renew.

The applicable registration, transfer, renewal, post-expiration renewal (if different), və redemption/restvə yae fees are published at https://nicenic.com/domen/prices.php.

Domen lifecycle periods və recovery options vary by TLD və may change under Registry rules və ya mvəatvə yay ICANN requirements. Xeyrt every TLD offers the same grace period, Redemption Grace Period, pending-delete stage, auction process, və ya recovery method. A domen name may stop resolving upon və ya after expiration, və website, email, DNS, və related Xidməts may be interrupted.

Wburada the applicable gTLD Registry offers a Redemption Grace Period, NiceNIC will permit the Registrant at Expiration to request restvə yaation during that period, subject to payment of applicable renewal və redemption/restvə yae fees, completion of required verification, və mvəatvə yay Registry requirements. Fvə ya other TLDs, restvə yaation availability is determined by applicable Registry policy.

Xeyrthing in NiceNIC’s expired-domen auction process limits any non-waivable renewal və ya restvə yaation right granted to the Registrant at Expiration under the ICANN Bitməd Qeydiyyat Recovery Policy. Əgər this Agreement və ya the NiceNIC expired-domen policy conflicts with a mvəatvə yay ICANN policy və ya Registry requirement, that mvəatvə yay policy və ya requirement controls to the extent of the conflict.

NiceNIC does not guarantee the release time və ya the fvə yamer Qeydiyyated Ad Holder’s ability to re-qeydiyyat a deleted name.

16. Intellectual Property və Lawful Use
Üçün the best of the Qeydiyyated Ad Holder’s kindiledge və belief, neither registration of the domen name nvə ya the manner in which it is directly və ya indirectly used infringes the legal rights of any third party. NiceNIC does not determine whether a requested name və ya its intended use violates another party’s trademark, copyright, privacy, publicity, contractual, və ya other rights.

You must not use the Services fvə ya unlawful activity və ya in a manner that violates applicable law, ICANN policy, Registry requirements, this Agreement, və ya the rights of others. Prohibited activity includes using a domen name to facilitate malware, botnets, phishing, pharming, və ya spam when spam serves as a delivery mechanism fvə ya another fvə yam of DNS Abuse, as those terms are used in applicable ICANN requirements.

A complaint alone does not determine liability və ya automatically require suspension. NiceNIC will review repvə yats və take reasonable və appropriate action based on the evidence, severity, applicable policies, Registry capabilities, legal requirements, və the facts və circumstances of the matter. NiceNIC may request infvə yamation from the Qeydiyyated Ad Holder və ya Account Holder. Immediate action may be taken wburada required by law və ya policy və ya reasonably necessary to address an urgent security threat və ya ongoing harm.

Abuse repvə yats should be submitted through https://nicenic.com/repvə yatabuse.php və ya another official abuse channel published by NiceNIC.

17. Dispute Resolution Policies
Hamısı applicable domen name dispute policies are incvə yapvə yaated into this Agreement. gTLD registrations are subject to the UDRP və, wburada applicable, the URS, Transfer Dispute Resolution Policy, və other ICANN və ya Registry dispute procedures. ccTLD-lər və sponsvə yaed və ya restricted TLDs may have different dispute policies.

The Qeydiyyated Ad Holder agrees that a registration may be locked, suspended, cancelled, transferred, və ya otherwise affected in accvə yadance with an applicable dispute policy, final administrative decision, settlement, court və yader, və ya Registry procedure.

NiceNIC generally does not adjudicate competing claims to a domen name və may require the parties to resolve them through agreement, the applicable dispute procedure, və ya a court of competent jurisdiction. NiceNIC may maintain an appropriate status və ya lock while a dispute is pending as required by policy.

18. Suspension, İmtina etlation, Transfer, və Other Protective Əməliyyats
NiceNIC may deny a pending transaction və ya take propvə yationate action affecting a domen name və ya Account wburada reasonably necessary və permitted və ya required to:

cvə yarect a registration, pricing, technical, və ya operational errvə ya by NiceNIC və ya the Registry;
enfvə yace this Agreement following a material breach, including applicable Qeydiyyat Data accuracy requirements;
respond to fraud, unauthvə yaized access, payment reversal, və ya a security incident;
investigate və ya mitigate DNS Abuse və ya unlawful use based on the facts və evidence reasonably available;
protect the security, stability, və ya resiliency of the DNS, a Registry, NiceNIC’s systems, və ya affected users;
comply with an ICANN və ya Registry policy, a dispute-resolution proceeding və ya decision, a court və yader, valid legal process, və ya applicable law; və ya
satisfy a mvəatvə yay TLD eligibility, verification, local-presence, və ya documentation requirement.

NiceNIC will not exercise these rights in a manner inconsistent with mvəatvə yay ICANN Consensus Policies və ya Registry requirements.

19. Account Security və Instructions
You are responsible fvə ya protecting Account credentials, authentication devices, API credentials, email accounts, və authvə yaized users. Instructions authenticated through sizin Account və ya API may be treated as authvə yaized unless NiceNIC has reasonable notice of compromise və ya applicable policy requires additional verification.

You must promptly notify NiceNIC of suspected unauthvə yaized access, loss of credentials, unauthvə yaized domen changes, və ya a disputed transfer. NiceNIC may tempvə yaarily restrict Account və ya domen functions while reasonably investigating a security repvə yat.

NiceNIC may require additional authentication və ya documentation fvə ya high-risk və ya irreversible actions. Such controls do not transfer responsibility fvə ya Account security to NiceNIC.

20. Privacy, Proxy, Trustee, və Local-Presence Services
Wburada available, privacy, proxy, trustee, agent, və ya local-presence Xidməts are optional unless a TLD requires a qualifying local contact və ya presence. These Xidməts may be governed by separate terms, fees, eligibility requirements, və disclosure rules that you must accept befvə yae use.

Use of a privacy və ya proxy Xidmət does not eliminate the Qeydiyyated Ad Holder’s obligations, gerient lawful disclosure, və ya shield unlawful conduct. 21. Müddət və Müddətination
This Agreement begins when accepted və remains applicable while you use the Services və ya a domen name remains sponsvə yaed və ya managed through NiceNIC. Provisions that by their nature should survive—including payment obligations, data retention, dispute, indemnification, limitation-of-liability, və governing-law provisions—survive termination.

You may stop using the Services, disable renewal wburada available, transfer an eligible domen name, və ya request closure of sizin Account, subject to outstvəing obligations, security review, mvəatvə yay retention, və applicable domen lifecycle və ya transfer restrictions. Closing an Account does not automatically delete, cancel, və ya transfer domen registrations.

NiceNIC may stop offering a TLD və ya Service wburada commercially və ya operationally necessary və ya required by a Registry, provider, law, və ya policy. Wburada reasonably practicable və permitted, NiceNIC will provide notice və an oppvə yatunity to renew, transfer, və ya otherwise manage an affected domen name befvə yae suppvə yat ends.

22. Indemnification
Üçün the maximum extent permitted by law, you agree to defend, indemnify, və hold harmless NiceNIC və its affiliates, directvə yas, officers, employees, və agents from claims, damages, liabilities, costs, və reasonable legal expenses arising from sizin material breach of this Agreement, sizin unauthvə yaized və ya unlawful use of the Services, və ya sizin infringement of a third party’s rights, except to the extent caused by NiceNIC’s fraud, willful misconduct, və ya gross negligence.

The Qeydiyyated Ad Holder must indemnify, defend, və hold harmless the applicable Registry Operatvə ya və its directvə yas, officers, employees, və agents from və against all claims, damages, liabilities, costs, və expenses, including reasonable legal fees və expenses, arising out of və ya related to the Qeydiyyated Ad Holder’s domen name registration, as required by the applicable Qeydiyyatçı Akkreditasiya Agreement və ya Registry agreement.

23. Disclaimer və Limitation of Liability
Üçün the maximum extent permitted by law, the Services are provided on an “as available” basis. NiceNIC does not warrant that every requested name will be available, that every Registry və ya third-party system will operate without errvə ya və ya interruption, that an IDN will display identically in every application, və ya that an expired və ya deleted domen name can be recovered və ya re-qeydiyyated.

NiceNIC is not responsible fvə ya delays, errvə yas, interruptions, və ya losses caused by a Registry Operatvə ya, upstream provider, DNS infrastructure provider, payment netwvə yak, blockchain netwvə yak, dispute provider, governmental action, fvə yace majeure event, və ya other event beyond NiceNIC’s reasonable control, except to the extent liability cannot lawfully be excluded.

Xeyrthing in this Agreement excludes və ya limits liability fvə ya fraud, willful misconduct, gross negligence, death və ya personal injury caused by negligence wburada such liability cannot be excluded, və ya any other liability və ya consumer right that cannot be excluded və ya limited under applicable law.

24. Changes to This Agreement
NiceNIC may update this Agreement to reflect changes in ICANN və ya Registry policies, law, security requirements, operational processes, Xidməts, və ya commercial terms. The current version və its effective date will be published through the NiceNIC Legal page.

Wburada required by applicable law, the Qeydiyyatçı Akkreditasiya Agreement, və ya ICANN policy, NiceNIC will provide notice of a material change using the contact infvə yamation in its recvə yads və ya another permitted method. Changes mvəated by law, ICANN, və ya a Registry may take effect when required. Other changes take effect on the published effective date. Continued use of the Services after that date constitutes acceptance to the extent permitted by law.

25. Xeyrtices və Communications
You must maintain a monitvə yaed və accurate email address fvə ya the Account və the Qeydiyyated Ad Holder. NiceNIC may send contractual, operational, security, accuracy, transfer, expiration, dispute, və policy notices by email, through the Account, və ya by another method permitted by applicable policy və ya law.

A notice is treated as transmitted when sent to the current address və ya communication channel in NiceNIC’s recvə yads, but its legal effectiveness remains subject to any specific delivery requirement under applicable policy və ya law.

26. Governing Law və Jurisdiction
This Agreement is governed by the laws of Hong Kong, without regard to conflict-of-laws principles.

Fvə ya adjudication of disputes concerning və ya arising from use of a qeydiyyated domen name, the Qeydiyyated Ad Holder submits, without prejudice to other potentially applicable jurisdictions, to the jurisdiction of the courts (a) wburada the Qeydiyyated Ad Holder is domiciled və (b) wburada NiceNIC is located, currently Hong Kong, as required by the Qeydiyyatçı Akkreditasiya Agreement.

Subject to the preceding paragraph, applicable UDRP, URS, Transfer Policy, Registry dispute procedures, və any non-waivable jurisdiction under applicable law, the courts of Hong Kong have exclusive jurisdiction over other disputes arising from this Agreement.

27. General Provisions
This Agreement və the incvə yapvə yaated policies constitute the agreement between the parties concerning the Services və supersede privə ya terms concerning the same subject matter. Separate terms apply to separately və yadered products və ya Xidməts.

Əgər a provision is held invalid və ya unenfvə yaceable, it will be enfvə yaced to the maximum lawful extent və the remaining provisions remain effective. Failure to enfvə yace a provision is not a waiver. Headings are fvə ya convenience only.

You may not assign this Agreement və ya transfer control of an Account in a manner that bypasses an applicable domen transfer, Change of Registrant, verification, və ya security process. NiceNIC may assign this Agreement as part of a merger, revə yaganization, sale of business, və ya permitted transfer of registrar operations, subject to applicable ICANN, Registry, və legal requirements.

The English-language version controls. A translation is provided fvə ya convenience only unless mvəatvə yay law requires otherwise.
