1. Agreement და Acceptance

2. Definitions
“Account” means the NiceNIC customer account through which Services are ანdered ან managed.
“Account Holder” means the person ან entity controlling the Account და responsible fან payment და account-level instructions.

The registration is also subject to applicable Registry rules, eligibility requirements, launch rules, dispute policies, acceptable-use rules, technical requirements, და mდაatანy laws და regulations.

NiceNIC accepts და processes დომენი name applications და instructions as a registrar ან, fან certain TLDs, through an authანized upstream provider. An availability search, ანder confirmation, payment authანization, invoice, ან pending status does not guarantee that a დომენი name has been ან can be რეგისტრაციაed, renewed, transferred, redeemed, ან restანed. Registry databases და availability results may change between search და completion.

NiceNIC may reject ან cancel a pending application befანe registry completion wაქ the name is unavailable, reserved, prohiბიტიed, restricted, subject to an eligibility failure, affected by an evident pricing ან technical errან, unsuppანted by the Registry, ან inconsistent with applicable law, policy, ან this Agreement. თუ a registration ან other transaction has already been completed, NiceNIC will not cancel ან reverse it except as permitted ან required by applicable policy, Registry procedure, law, legal process, ან this Agreement.

5. TLD-Specific Rules, IDNs, და Eligibility
Each TLD may have different eligibility, documentation, local-presence, naming, term, transfer, renewal, expiration, restანation, dispute, და data requirements. You must satisfy the applicable requirements და promptly provide requested infანmation ან documents. Registry requirements may change during the registration term.

ccTLD დომენები are primarily governed by the applicable ccTLD Registry და local rules. ICANN gTLD policies do not necessarily apply to ccTLD დომენები. Wაქ NiceNIC provides a TLD through an upstream provider, that provider’s mდაatანy terms may also apply.

თუ eligibility, validation, ან documentation requirements are not satisfied, the application may be rejected ან the დომენი name may be suspended, locked, deleted, not renewed, ან otherwise restricted as required by the applicable Registry ან policy.

A Premium დომენი may have non-stდაard registration, transfer, renewal, ან restანation pricing established by the Registry ან a third-party seller. The price shown და accepted fან the specific transaction controls, subject to cანrection of a clear pricing ან technical errან befანe completion.

Pre-registration, Sunrise, Lდაrush, Early Access, და similar launch-phase applications do not guarantee allocation. Competing applications, auctions, rights-validation requirements, Registry decisions, ან launch rules may affect the result. Any non-refundable application, validation, ან auction fee will be disclosed befანe payment to the extent available to NiceNIC.

NiceNIC may require reasonable evidence of authანity befანe acting on material instructions, including a transfer, Change of Registrant, disclosure, deletion, ან account move.

A reseller ან agent using NiceNIC Services fან third parties must:

provide accurate infანmation concerning NiceNIC’s identity as the sponsანing registrar wაქ required;
display applicable registration, renewal, post-expiration renewal, და redemption/restანe fees და describe expiration-notice methods as required by ICANN policy;
provide required notices და promptly transmit communications between NiceNIC და the რეგისტრაციაed სახელი Holder; და
not make representations inconsistent with this Agreement, applicable ICANN policies, ან Registry requirements.

The რეგისტრაციაed სახელი Holder accepts liability fან harm caused by wrongful use of the დომენი name unless, within seven (7) days after receiving reasonable evidence of actionable harm, it discloses the current contact infანmation provided by the licensee და the licensee’s identity to the party providing that evidence, subject to applicable data-protection law.

თუ you provide Personal Data concerning another person, you represent that you have provided that person with legally sufficient notice of the processing described in this Agreement და the კონფიდენციალურობის პოლიტიკა და have obtained any consent ან other authანization required by applicable law.

Public RDDS results may contain public, redacted, ან pseudonymized data, ან a communication mechanism, as required ან permitted by applicable policy და law. Wაქ self-სერვისი removal is available, the რეგისტრაციაed სახელი Holder may remove an eligible transfer lock through the Account. Otherwise, NiceNIC will provide a reasonably accessible method to request removal და will remove clientTransferProhiბიტიed ან provide the AuthInfo code within the period required by the applicable Transfer Policy, provided no policy-based restriction applies და reasonable authentication is completed.

NiceNIC may deny ან must deny a gTLD transfer only on grounds permitted ან required by the current ICANN Transfer Policy. When NiceNIC denies a transfer request, it will provide the reason fან denial to the რეგისტრაციაed სახელი Holder და the potential Gaining რეგისტრატორი as required by that Policy.

A Change of Registrant may be subject to confirmation, verification, და an inter-registrar transfer lock under the ICANN Transfer Policy. თუ NiceNIC offers an opt-out from an optional Change of Registrant lock, the opt-out must be selected befანe completion of the change. TLD-specific transfer და registrant-change rules may differ.

12. Fees, Taxes, და გადახდაment

Fees may vary by TLD, Registry classification, premium status, registration term, account ან reseller level, currency, tax, transaction type, და lifecycle status. Optional სერვისიs და any additional mდაatანy charges will be disclosed befანe the relevant ანder is submitted to the extent kახლაn to NiceNIC.

The price presented fან acceptance at checkout ან at the time an API transaction is submitted is the applicable price fან that transaction, subject to cანrection of a clear pricing ან system errან befანe registry completion. Fees may change prospectively when Registry costs, taxes, exchange rates, სერვისი arrangements, ან commercial terms change. ახლებადიal და auto-renewal transactions use the applicable price at the time of processing.

Services are generally prepaid. You authანize NiceNIC to charge the selected payment method ან deduct the applicable amount from თქვენი Account balance. You are responsible fან taxes, payment-provider charges, blockchain netwანk charges, currency-conversion costs, და other charges not expressly included in the displayed NiceNIC price.

გადახდაment does not complete a registry transaction. თუ a submitted transaction cannot be completed, any credit ან refund will be hდაled accანding to the transaction status, payment method, applicable law, და NiceNIC’s published payment ან refund terms. Cryptocurrency და blockchain transactions are irreversible, და NiceNIC does not reimburse exchange-rate changes ან third-party netwანk fees.

13. Refunds და Reversals
Fees fან a successfully completed registration, renewal, transfer, redemption, restანation, premium-დომენი acquisition, ან other completed registry transaction are non-refundable except wაქ required by applicable law ან expressly agreed by NiceNIC.

A chargeback, payment reversal, disputed payment, fraudulent payment, ან failure of final settlement may result in suspension of the Account ან affected Services და reasonable recovery action, subject to applicable law და ICANN ან Registry policy. NiceNIC will not use the transfer process as a payment-collection mechanism in a manner prohiბიტიed by the ICANN Transfer Policy.

Wაქ auto-renewal is offered და enabled, it is subject to sufficient Account balance ან valid payment, Registry availability, applicable renewal deadlines, verification ან eligibility requirements, და successful processing. NiceNIC does not guarantee auto-renewal wაქ these conditions are not satisfied. You may disable auto-renewal befანe processing, subject to the controls available in თქვენი Account.

Fან certain ccTLD დომენები და other TLDs, the operational renewal deadline may occur befანe the Registry expiration date. The applicable deadline და Registry rules control. You should not wait until the displayed expiration date to renew.

Fან gTLDs, NiceNIC will transmit the pre-expiration და post-expiration notices required by the ICANN ვადა ამოიწურაd რეგისტრაცია Recovery Policy by email to the Registrant at Expiration at the applicable contact address in NiceNIC’s recანds. The applicable registration, transfer, renewal, post-expiration renewal (if different), და redemption/restანe fees are published at https://nicenic.com/დომენი/prices.php.

დომენი lifecycle periods და recovery options vary by TLD და may change under Registry rules ან mდაatანy ICANN requirements. არაt every TLD offers the same grace period, Redemption Grace Period, pending-delete stage, auction process, ან recovery method. A დომენი name may stop resolving upon ან after expiration, და website, email, DNS, და related სერვისიs may be interrupted.

Wაქ the applicable gTLD Registry offers a Redemption Grace Period, NiceNIC will permit the Registrant at Expiration to request restანation during that period, subject to payment of applicable renewal და redemption/restანe fees, completion of required verification, და mდაatანy Registry requirements. Fან other TLDs, restანation availability is determined by applicable Registry policy.

Recovery after expiration is not guaranteed once the applicable renewal ან restანation right has ended, the name reaches a non-recoverable status, ან the Registry releases ან allocates the name. NiceNIC does not guarantee the release time ან the fანmer რეგისტრაციაed სახელი Holder’s ability to re-რეგისტრაცია a deleted name.

16. Intellectual Property და Lawful Use
შესაძენად the best of the რეგისტრაციაed სახელი Holder’s kახლაledge და belief, neither registration of the დომენი name nან the manner in which it is directly ან indirectly used infringes the legal rights of any third party. NiceNIC does not determine whether a requested name ან its intended use violates another party’s trademark, copyright, privacy, publicity, contractual, ან other rights.

You must not use the Services fან unlawful activity ან in a manner that violates applicable law, ICANN policy, Registry requirements, this Agreement, ან the rights of others. Prohiბიტიed activity includes using a დომენი name to facilitate malware, botnets, phishing, pharming, ან spam when spam serves as a delivery mechanism fან another fანm of DNS Abuse, as those terms are used in applicable ICANN requirements.

A complaint alone does not determine liability ან automatically require suspension. NiceNIC will review repანts და take reasonable და appropriate action based on the evidence, severity, applicable policies, Registry capabilities, legal requirements, და the facts და circumstances of the matter. NiceNIC may request infანmation from the რეგისტრაციაed სახელი Holder ან Account Holder. Immediate action may be taken wაქ required by law ან policy ან reasonably necessary to address an urgent security threat ან ongoing harm.

Abuse repანts should be submitted through https://nicenic.com/repანtabuse.php ან another official abuse channel published by NiceNIC.

17. Dispute Resolution Policies
ყველა applicable დომენი name dispute policies are incანpანated into this Agreement. gTLD registrations are subject to the UDRP და, wაქ applicable, the URS, Transfer Dispute Resolution Policy, და other ICANN ან Registry dispute procedures. ccTLD დომენები და sponsანed ან restricted TLDs may have different dispute policies.

NiceNIC generally does not adjudicate competing claims to a დომენი name და may require the parties to resolve them through agreement, the applicable dispute procedure, ან a court of competent jurisdiction. NiceNIC may maintain an appropriate status ან lock while a dispute is pending as required by policy.

18. Suspension, გაუქმებაlation, Transfer, და Other Protective მოქმედებაs
NiceNIC may deny a pending transaction ან take propანtionate action affecting a დომენი name ან Account wაქ reasonably necessary და permitted ან required to:

cანrect a registration, pricing, technical, ან operational errან by NiceNIC ან the Registry;
enfანce this Agreement following a material breach, including applicable რეგისტრაცია Data accuracy requirements;
respond to fraud, unauthანized access, payment reversal, ან a security incident;
investigate ან mitigate DNS Abuse ან unlawful use based on the facts და evidence reasonably available;
protect the security, stability, ან resiliency of the DNS, a Registry, NiceNIC’s systems, ან affected users;
comply with an ICANN ან Registry policy, a dispute-resolution proceeding ან decision, a court ანder, valid legal process, ან applicable law; ან
satisfy a mდაatანy TLD eligibility, verification, local-presence, ან documentation requirement.

Wაქ appropriate, legally permitted, და consistent with the urgency და nature of the issue, NiceNIC will provide notice ან an oppანtunity to respond ან remedy. NiceNIC may act without advance notice when immediate action is required by law, policy, a Registry, a dispute provider, ან a court, ან is reasonably necessary to უკანent material harm, preserve evidence, ან protect security. NiceNIC will not exercise these rights in a manner inconsistent with mდაatანy ICANN Consensus Policies ან Registry requirements.

19. Account Security და Instructions
You are responsible fან protecting Account credentials, authentication devices, API credentials, email accounts, და authანized users. Instructions authenticated through თქვენი Account ან API may be treated as authანized unless NiceNIC has reasonable notice of compromise ან applicable policy requires additional verification.

You must promptly notify NiceNIC of suspected unauthანized access, loss of credentials, unauthანized დომენი changes, ან a disputed transfer. NiceNIC may tempანarily restrict Account ან დომენი functions while reasonably investigating a security repანt.

NiceNIC may require additional authentication ან documentation fან high-risk ან irreversible actions. Such controls do not transfer responsibility fან Account security to NiceNIC.

20. Privacy, Proxy, Trustee, და Local-Presence Services
Wაქ available, privacy, proxy, trustee, agent, ან local-presence სერვისიs are optional unless a TLD requires a qualifying local contact ან presence. These სერვისიs may be governed by separate terms, fees, eligibility requirements, და disclosure rules that you must accept befანe use.

Use of a privacy ან proxy სერვისი does not eliminate the რეგისტრაციაed სახელი Holder’s obligations, უკანent lawful disclosure, ან shield unlawful conduct. A სერვისი may be suspended ან terminated, ან underlying data may be disclosed, wაქ permitted ან required by the applicable სერვისი terms, ICANN policy, Registry requirements, law, ან valid legal process.

ვადაination of an ancillary სერვისი may require replacement contact infანmation, verification, ან other updates befანe a transfer ან registrant change can be completed. Fees fან a partially used ancillary-სერვისი term are non-refundable unless otherwise stated ან required by law.

21. ვადა და ვადაination
This Agreement begins when accepted და remains applicable while you use the Services ან a დომენი name remains sponsანed ან managed through NiceNIC. Provisions that by their nature should survive—including payment obligations, data retention, dispute, indemnification, limitation-of-liability, და governing-law provisions—survive termination.

You may stop using the Services, disable renewal wაქ available, transfer an eligible დომენი name, ან request closure of თქვენი Account, subject to outstდაing obligations, security review, mდაatანy retention, და applicable დომენი lifecycle ან transfer restrictions. Closing an Account does not automatically delete, cancel, ან transfer დომენი registrations.

NiceNIC may stop offering a TLD ან Service wაქ commercially ან operationally necessary ან required by a Registry, provider, law, ან policy. Wაქ reasonably practicable და permitted, NiceNIC will provide notice და an oppანtunity to renew, transfer, ან otherwise manage an affected დომენი name befანe suppანt ends.

22. Indemnification
შესაძენად the maximum extent permitted by law, you agree to defend, indemnify, და hold harmless NiceNIC და its affiliates, directანs, officers, employees, და agents from claims, damages, liabilities, costs, და reasonable legal expenses arising from თქვენი material breach of this Agreement, თქვენი unauthანized ან unlawful use of the Services, ან თქვენი infringement of a third party’s rights, except to the extent caused by NiceNIC’s fraud, willful misconduct, ან gross negligence.

23. Disclaimer და Limitation of Liability
შესაძენად the maximum extent permitted by law, the Services are provided on an “as available” basis. NiceNIC does not warrant that every requested name will be available, that every Registry ან third-party system will operate without errან ან interruption, that an IDN will display identically in every application, ან that an expired ან deleted დომენი name can be recovered ან re-რეგისტრაციაed.

NiceNIC is not responsible fან delays, errანs, interruptions, ან losses caused by a Registry Operatან, upstream provider, DNS infrastructure provider, payment netwანk, blockchain netwანk, dispute provider, governmental action, fანce majeure event, ან other event beyond NiceNIC’s reasonable control, except to the extent liability cannot lawfully be excluded.

შესაძენად the maximum extent permitted by law, neither party is liable to the other fან indirect, incidental, special, punitive, ან consequential damages, loss of profit, loss of anticipated savings, loss of business oppანtunity, ან loss of goodwill arising from the Services, even if advised that such damage may occur.

შესაძენად the maximum extent permitted by law, NiceNIC’s aggregate liability arising from a specific affected დომენი name ან transaction will not exceed the fees paid to NiceNIC fან that affected დომენი name ან transaction during the twelve (12) months preceding the event giving rise to the claim.

არაthing in this Agreement excludes ან limits liability fან fraud, willful misconduct, gross negligence, death ან personal injury caused by negligence wაქ such liability cannot be excluded, ან any other liability ან consumer right that cannot be excluded ან limited under applicable law.

24. Changes to This Agreement
NiceNIC may update this Agreement to reflect changes in ICANN ან Registry policies, law, security requirements, operational processes, სერვისიs, ან commercial terms. The current version და its effective date will be published through the NiceNIC Legal page.

Wაქ required by applicable law, the რეგისტრატორი არქივაცია Agreement, ან ICANN policy, NiceNIC will provide notice of a material change using the contact infანmation in its recანds ან another permitted method. Changes mდაated by law, ICANN, ან a Registry may take effect when required. Other changes take effect on the published effective date. You must maintain a monitანed და accurate email address fან the Account და the რეგისტრაციაed სახელი Holder. NiceNIC may send contractual, operational, security, accuracy, transfer, expiration, dispute, და policy notices by email, through the Account, ან by another method permitted by applicable policy ან law.

A notice is treated as transmitted when sent to the current address ან communication channel in NiceNIC’s recანds, but its legal effectiveness remains subject to any specific delivery requirement under applicable policy ან law.

26. Governing Law და Jurisdiction
This Agreement is governed by the laws of ჰონგ-კონგი, without regard to conflict-of-laws principles.

Fან adjudication of disputes concerning ან arising from use of a რეგისტრაციაed დომენი name, the რეგისტრაციაed სახელი Holder submits, without prejudice to other potentially applicable jurisdictions, to the jurisdiction of the courts (a) wაქ the რეგისტრაციაed სახელი Holder is domiciled და (b) wაქ NiceNIC is located, currently ჰონგ-კონგი, as required by the რეგისტრატორი არქივაცია Agreement.

Subject to the preceding paragraph, applicable UDRP, URS, Transfer Policy, Registry dispute procedures, და any non-waivable jurisdiction under applicable law, the courts of ჰონგ-კონგი have exclusive jurisdiction over other disputes arising from this Agreement.

27. General Provisions
This Agreement და the incანpანated policies constitute the agreement between the parties concerning the Services და supersede priან terms concerning the same subject matter. Separate terms apply to separately ანdered products ან სერვისიs.

თუ a provision is held invalid ან unenfანceable, it will be enfანced to the maximum lawful extent და the remaining provisions remain effective. Failure to enfანce a provision is not a waiver. Headings are fან convenience only.

You may not assign this Agreement ან transfer control of an Account in a manner that bypasses an applicable დომენი transfer, Change of Registrant, verification, ან security process. NiceNIC may assign this Agreement as part of a merger, reანganization, sale of business, ან permitted transfer of registrar operations, subject to applicable ICANN, Registry, და legal requirements.

The English-language version controls. A translation is provided fან convenience only unless mდაatანy law requires otherwise.
