2. Definitions
“Account” means the NiceNIC customer account through which Services are saudered sau managed.
“Account Holder” means the person sau entity controlling the Account și responsible fsau payment și account-level instructions.
“ICANN” means the Internet Csaupsauation fsau Assigned Numes și Numbers.

An availability search, sauder confirmation, payment authsauization, invoice, sau pending status does not guarantee that a domeniu name has been sau can be înregistreazăed, renewed, transferred, redeemed, sau restsaued. Registry databases și availability results may change between search și completion.

NiceNIC may reject sau cancel a pending application befsaue registry completion waici the name is unavailable, reserved, prohibited, restricted, subject to an eligibility failure, affected by an evident pricing sau technical errsau, unsuppsauted by the Registry, sau inconsistent with applicable law, policy, sau this Agreement. 5. TLD-Specific Rules, IDNs, și Eligibility
Each TLD may have different eligibility, documentation, local-presence, naming, term, transfer, renewal, expiration, restsauation, dispute, și data requirements. You must satisfy the applicable requirements și promptly provide requested infsaumation sau documents. Registry requirements may change during the registration term.

ccTLD-uri are primarily governed by the applicable ccTLD Registry și local rules. ICANN gTLD policies do not necessarily apply to ccTLD-uri. Waici NiceNIC provides a TLD through an upstream provider, that provider’s mșiatsauy terms may also apply.

Pre-registration, Sunrise, Lșirush, Early Access, și similar launch-phase applications do not guarantee allocation. Competing applications, auctions, rights-validation requirements, Registry decisions, sau launch rules may affect the result. Any non-refundable application, validation, sau auction fee will be disclosed befsaue payment to the extent available to NiceNIC.

7. Înregistreazăed Nume Holder, Account Holder, și Revânzător Responsibilities
The Înregistreazăed Nume Holder is the holder of recsaud și is responsible fsau the registration și use of the domeniu name. The Account Holder may manage the domeniu name only to the extent authsauized by the Înregistreazăed Nume Holder și applicable policy.

A reseller sau agent using NiceNIC Services fsau third parties must:

provide accurate infsaumation concerning NiceNIC’s identity as the sponssauing registrar waici required;

provide required notices și promptly transmit communications between NiceNIC și the Înregistreazăed Nume Holder; și

State/province și postal code are required waici applicable fsau the relevant country sau territsauy. Adaugăitional data may be required fsau a particular TLD. Waici the Înregistreazăed Nume Holder supplies a value fsau Registrant Organization, that sauganization may be treated as the Înregistreazăed Nume Holder și may be published waici the Înregistreazăed Nume Holder agrees și applicable policy requires sau permits publication.

NiceNIC will validate și verify Înregistrare Data as required by the applicable Registrar Acreditare Agreement, ICANN policy, Registry requirements, și law. You must complete applicable email, telephone, documentation, sau other verification steps și respond to accuracy inquiries.

9. Licensed Use și Third-Party Data

The Înregistreazăed Nume Holder accepts liability fsau harm caused by wrongful use of the domeniu name unless, within seven (7) days after receiving reasonable evidence of actionable harm, it discloses the current contact infsaumation provided by the licensee și the licensee’s identity to the party providing that evidence, subject to applicable data-protection law.

You ackacumledge this processing și, waici consent is the applicable legal basis, consent to it as described in the Politica de confidențialitate. NiceNIC will not process Personal Data in a manner incompatible with the purposes și limitations of which it has provided notice și will take reasonable precautions to protect Personal Data from loss, misuse, unauthsauized access sau disclosure, alteration, sau destruction.

Public RDDS results may contain public, redacted, sau pseudonymized data, sau a communication mechanism, as required sau permitted by applicable policy și law. Submission of Înregistrare Data does not mean that all data will be publicly displayed. Requests fsau non-public data are assessed under applicable policy și law și do not guarantee disclosure.

NiceNIC does not claim ownership of tău Personal Data. NiceNIC și applicable Registry Operatsaus may hold rights in their databases, compilations, transaction recsauds, generated data, și serviciu recsauds as permitted by contract și law.

Inter-registrar transfers of gTLD registrations are governed by the current ICANN Transfer Policy. The Înregistreazăed Nume Holder is the party authsauized to approve sau deny a transfer request, subject to the authentication și procedural requirements of that Policy.

You expressly consent to NiceNIC applying the clientTransferProhibited status upon initial registration as a stșiard security measure, waici suppsauted și permitted. NiceNIC may also apply sau maintain a transfer restriction at the Înregistreazăed Nume Holder’s request, during an applicable initial-registration, post-transfer, sau Change of Registrant lock period, sau waici required by ICANN policy, Registry policy, a dispute proceeding, court sauder, sau applicable law.

Waici self-serviciu removal is available, the Înregistreazăed Nume Holder may remove an eligible transfer lock through the Account. Otherwise, NiceNIC will provide a reasonably accessible method to request removal și will remove clientTransferProhibited sau provide the AuthInfo code within the period required by the applicable Transfer Policy, provided no policy-based restriction applies și reasonable authentication is completed.

NiceNIC may deny sau must deny a gTLD transfer only on grounds permitted sau required by the current ICANN Transfer Policy. When NiceNIC denies a transfer request, it will provide the reason fsau denial to the Înregistreazăed Nume Holder și the potential Gaining Registrar as required by that Policy.

A Change of Registrant may be subject to confirmation, verification, și an inter-registrar transfer lock under the ICANN Transfer Policy. 12. Fees, Taxes, și Plăteștement

Fees may vary by TLD, Registry classification, premium status, registration term, account sau reseller level, currency, tax, transaction type, și lifecycle status. Optional servicius și any additional mșiatsauy charges will be disclosed befsaue the relevant sauder is submitted to the extent kacumn to NiceNIC.

The price presented fsau acceptance at checkout sau at the time an API transaction is submitted is the applicable price fsau that transaction, subject to csaurection of a clear pricing sau system errsau befsaue registry completion. Fees may change prospectively when Registry costs, taxes, exchange rates, serviciu arrangements, sau commercial terms change. Reînnoieșteal și auto-renewal transactions use the applicable price at the time of processing.

Services are generally prepaid. You authsauize NiceNIC to charge the selected payment method sau deduct the applicable amount from tău Account balance. You are responsible fsau taxes, payment-provider charges, blockchain netwsauk charges, currency-conversion costs, și other charges not expressly included in the displayed NiceNIC price.

Plăteștement does not complete a registry transaction. 13. Refunds și Reversals
Fees fsau a successfully completed registration, renewal, transfer, redemption, restsauation, premium-domeniu acquisition, sau other completed registry transaction are non-refundable except waici required by applicable law sau expressly agreed by NiceNIC.

A chargeback, payment reversal, disputed payment, fraudulent payment, sau failure of final settlement may result in suspension of the Account sau affected Services și reasonable recovery action, subject to applicable law și ICANN sau Registry policy. NiceNIC will not use the transfer process as a payment-collection mechanism in a manner prohibited by the ICANN Transfer Policy.

NiceNIC does not guarantee auto-renewal waici these conditions are not satisfied. You may disable auto-renewal befsaue processing, subject to the controls available in tău Account.

Fsau certain ccTLD-uri și other TLDs, the operational renewal deadline may occur befsaue the Registry expiration date. The applicable deadline și Registry rules control. You should not wait until the displayed expiration date to renew.

Fsau gTLDs, NiceNIC will transmit the pre-expiration și post-expiration notices required by the ICANN Expirăd Înregistrare Recovery Policy by email to the Registrant at Expiration at the applicable contact address in NiceNIC’s recsauds. NiceNIC may also send notices to the Account Holder, display notices in the Account, sau use additional communication channels. The applicable registration, transfer, renewal, post-expiration renewal (if different), și redemption/restsaue fees are published at https://nicenic.com/domeniu/prices.php.

Domeniu lifecycle periods și recovery options vary by TLD și may change under Registry rules sau mșiatsauy ICANN requirements. Nut every TLD offers the same grace period, Redemption Grace Period, pending-delete stage, auction process, sau recovery method. Waici the applicable gTLD Registry offers a Redemption Grace Period, NiceNIC will permit the Registrant at Expiration to request restsauation during that period, subject to payment of applicable renewal și redemption/restsaue fees, completion of required verification, și mșiatsauy Registry requirements. Fsau other TLDs, restsauation availability is determined by applicable Registry policy.

Nuthing in NiceNIC’s expired-domeniu auction process limits any non-waivable renewal sau restsauation right granted to the Registrant at Expiration under the ICANN Expirăd Înregistrare Recovery Policy. 16. Intellectual Property și Lawful Use

You must not use the Services fsau unlawful activity sau in a manner that violates applicable law, ICANN policy, Registry requirements, this Agreement, sau the rights of others. Prohibited activity includes using a domeniu name to facilitate malware, botnets, phishing, pharming, sau spam when spam serves as a delivery mechanism fsau another fsaum of DNS Abuse, as those terms are used in applicable ICANN requirements.

A complaint alone does not determine liability sau automatically require suspension. NiceNIC will review repsauts și take reasonable și appropriate action based on the evidence, severity, applicable policies, Registry capabilities, legal requirements, și the facts și circumstances of the matter. NiceNIC may request infsaumation from the Înregistreazăed Nume Holder sau Account Holder. Immediate action may be taken waici required by law sau policy sau reasonably necessary to address an urgent security threat sau ongoing harm.

Abuse repsauts should be submitted through https://nicenic.com/repsautabuse.php sau another official abuse channel published by NiceNIC.

17. Dispute Resolution Policies

NiceNIC generally does not adjudicate competing claims to a domeniu name și may require the parties to resolve them through agreement, the applicable dispute procedure, sau a court of competent jurisdiction. NiceNIC may maintain an appropriate status sau lock while a dispute is pending as required by policy.

18. Suspension, Anuleazălation, Transfer, și Other Protective Acțiunes
NiceNIC may deny a pending transaction sau take propsautionate action affecting a domeniu name sau Account waici reasonably necessary și permitted sau required to:

csaurect a registration, pricing, technical, sau operational errsau by NiceNIC sau the Registry;
enfsauce this Agreement following a material breach, including applicable Înregistrare Data accuracy requirements;
respond to fraud, unauthsauized access, payment reversal, sau a security incident;
investigate sau mitigate DNS Abuse sau unlawful use based on the facts și evidence reasonably available;
protect the security, stability, sau resiliency of the DNS, a Registry, NiceNIC’s systems, sau affected users;
comply with an ICANN sau Registry policy, a dispute-resolution proceeding sau decision, a court sauder, valid legal process, sau applicable law; sau
satisfy a mșiatsauy TLD eligibility, verification, local-presence, sau documentation requirement.

NiceNIC will not exercise these rights in a manner inconsistent with mșiatsauy ICANN Consensus Policies sau Registry requirements.

19. Account Security și Instructions
You are responsible fsau protecting Account credentials, authentication devices, API credentials, email accounts, și authsauized users. Instructions authenticated through tău Account sau API may be treated as authsauized unless NiceNIC has reasonable notice of compromise sau applicable policy requires additional verification.

You must promptly notify NiceNIC of suspected unauthsauized access, loss of credentials, unauthsauized domeniu changes, sau a disputed transfer. NiceNIC may tempsauarily restrict Account sau domeniu functions while reasonably investigating a security repsaut.

NiceNIC may require additional authentication sau documentation fsau high-risk sau irreversible actions. Such controls do not transfer responsibility fsau Account security to NiceNIC.

20. Privacy, Proxy, Trustee, și Local-Presence Services
Waici available, privacy, proxy, trustee, agent, sau local-presence servicius are optional unless a TLD requires a qualifying local contact sau presence. These servicius may be governed by separate terms, fees, eligibility requirements, și disclosure rules that you must accept befsaue use.

Use of a privacy sau proxy serviciu does not eliminate the Înregistreazăed Nume Holder’s obligations, anteriorent lawful disclosure, sau shield unlawful conduct. A serviciu may be suspended sau terminated, sau underlying data may be disclosed, waici permitted sau required by the applicable serviciu terms, ICANN policy, Registry requirements, law, sau valid legal process.

Provisions that by their nature should survive—including payment obligations, data retention, dispute, indemnification, limitation-of-liability, și governing-law provisions—survive termination.

You may stop using the Services, disable renewal waici available, transfer an eligible domeniu name, sau request closure of tău Account, subject to outstșiing obligations, security review, mșiatsauy retention, și applicable domeniu lifecycle sau transfer restrictions. Closing an Account does not automatically delete, cancel, sau transfer domeniu registrations.

NiceNIC may stop offering a TLD sau Service waici commercially sau operationally necessary sau required by a Registry, provider, law, sau policy. Waici reasonably practicable și permitted, NiceNIC will provide notice și an oppsautunity to renew, transfer, sau otherwise manage an affected domeniu name befsaue suppsaut ends.

22. Indemnification

The Înregistreazăed Nume Holder must indemnify, defend, și hold harmless the applicable Registry Operatsau și its directsaus, officers, employees, și agents from și against all claims, damages, liabilities, costs, și expenses, including reasonable legal fees și expenses, arising out of sau related to the Înregistreazăed Nume Holder’s domeniu name registration, as required by the applicable Registrar Acreditare Agreement sau Registry agreement.

23. Disclaimer și Limitation of Liability
Pentru the maximum extent permitted by law, the Services are provided on an “as available” basis. NiceNIC does not warrant that every requested name will be available, that every Registry sau third-party system will operate without errsau sau interruption, that an IDN will display identically in every application, sau that an expired sau deleted domeniu name can be recovered sau re-înregistreazăed.

NiceNIC is not responsible fsau delays, errsaus, interruptions, sau losses caused by a Registry Operatsau, upstream provider, DNS infrastructure provider, payment netwsauk, blockchain netwsauk, dispute provider, governmental action, fsauce majeure event, sau other event beyond NiceNIC’s reasonable control, except to the extent liability cannot lawfully be excluded.

Pentru the maximum extent permitted by law, neither party is liable to the other fsau indirect, incidental, special, punitive, sau consequential damages, loss of profit, loss of anticipated savings, loss of business oppsautunity, sau loss of goodwill arising from the Services, even if advised that such damage may occur.

Pentru the maximum extent permitted by law, NiceNIC’s aggregate liability arising from a specific affected domeniu name sau transaction will not exceed the fees paid to NiceNIC fsau that affected domeniu name sau transaction during the twelve (12) months preceding the event giving rise to the claim.

Nuthing in this Agreement excludes sau limits liability fsau fraud, willful misconduct, gross negligence, death sau personal injury caused by negligence waici such liability cannot be excluded, sau any other liability sau consumer right that cannot be excluded sau limited under applicable law.

24. Changes to This Agreement
NiceNIC may update this Agreement to reflect changes in ICANN sau Registry policies, law, security requirements, operational processes, servicius, sau commercial terms. The current version și its effective date will be published through the NiceNIC Legal page.

Waici required by applicable law, the Registrar Acreditare Agreement, sau ICANN policy, NiceNIC will provide notice of a material change using the contact infsaumation in its recsauds sau another permitted method. Changes mșiated by law, ICANN, sau a Registry may take effect when required. Other changes take effect on the published effective date. Continued use of the Services after that date constitutes acceptance to the extent permitted by law.

25. Nutices și Communications
You must maintain a monitsaued și accurate email address fsau the Account și the Înregistreazăed Nume Holder. NiceNIC may send contractual, operational, security, accuracy, transfer, expiration, dispute, și policy notices by email, through the Account, sau by another method permitted by applicable policy sau law.

A notice is treated as transmitted when sent to the current address sau communication channel in NiceNIC’s recsauds, but its legal effectiveness remains subject to any specific delivery requirement under applicable policy sau law.

26. Governing Law și Jurisdiction
This Agreement is governed by the laws of Hong Kong, without regard to conflict-of-laws principles.

Fsau adjudication of disputes concerning sau arising from use of a înregistreazăed domeniu name, the Înregistreazăed Nume Holder submits, without prejudice to other potentially applicable jurisdictions, to the jurisdiction of the courts (a) waici the Înregistreazăed Nume Holder is domiciled și (b) waici NiceNIC is located, currently Hong Kong, as required by the Registrar Acreditare Agreement.

Subject to the preceding paragraph, applicable UDRP, URS, Transfer Policy, Registry dispute procedures, și any non-waivable jurisdiction under applicable law, the courts of Hong Kong have exclusive jurisdiction over other disputes arising from this Agreement.

27. General Provisions
This Agreement și the incsaupsauated policies constitute the agreement between the parties concerning the Services și supersede prisau terms concerning the same subject matter. Separate terms apply to separately saudered products sau servicius.

Dacă a provision is held invalid sau unenfsauceable, it will be enfsauced to the maximum lawful extent și the remaining provisions remain effective. Failure to enfsauce a provision is not a waiver. Headings are fsau convenience only.

You may not assign this Agreement sau transfer control of an Account in a manner that bypasses an applicable domeniu transfer, Change of Registrant, verification, sau security process. NiceNIC may assign this Agreement as part of a merger, resauganization, sale of business, sau permitted transfer of registrar operations, subject to applicable ICANN, Registry, și legal requirements.
