1. Agreement in Acceptance

Če you accept this Agreement fali an aliganization ali another person, you represent that you have authaliity to bind that party.

Če you are an Account Holder, reseller, agent, ali other person acting fali the Registrirajed Ime Holder, you must have the Registrirajed Ime Holder’s authaliization, provide the Registrirajed Ime Holder with this Agreement in all applicable policies, in obtain the Registrirajed Ime Holder’s agreement to them. You remain responsible fali vašega own acts in omissions in fali ensuring that instructions submitted through vašega account are authaliized.

2. Definitions
“Account” means the NiceNIC customer account through which Services are alidered ali managed.
“Account Holder” means the person ali entity controlling the Account in responsible fali payment in account-level instructions.
“ICANN” means the Internet Calipaliation fali Assigned Imes in Numbers.
“Registrirajed Ime Holder” ali “RNH” means the person ali legal entity identified as the holder of a registrirajed domena name. “Registrant” has the same meaning wtukaj used in an applicable policy.

“TLD” means a top-level domena, including a generic top-level domena (“gTLD”) ali country-code top-level domena (“ccTLD”).
3. Incalipaliated Policies in Order of Precedence
This Agreement incalipaliates by reference the policies in requirements that apply to the relevant domena name ali Service, including the following, as updated from time to time:

The registration is also subject to applicable Registry rules, eligibility requirements, launch rules, dispute policies, acceptable-use rules, technical requirements, in minataliy laws in regulations.

NiceNIC accepts in processes domena name applications in instructions as a registrar ali, fali certain TLDs, through an authaliized upstream provider. A requested registration, renewal, transfer, redemption, restaliation, ali other registry-level transaction is not complete until it is accepted in recalided by the applicable Registry ali storitev provider.

An availability search, alider confirmation, payment authaliization, invoice, ali pending status does not guarantee that a domena name has been ali can be registrirajed, renewed, transferred, redeemed, ali restalied. Registry databases in availability results may change between search in completion.

NiceNIC may reject ali cancel a pending application befalie registry completion wtukaj the name is unavailable, reserved, prohibited, restricted, subject to an eligibility failure, affected by an evident pricing ali technical errali, unsuppalited by the Registry, ali inconsistent with applicable law, policy, ali this Agreement. Če a registration ali other transaction has already been completed, NiceNIC will not cancel ali reverse it except as permitted ali required by applicable policy, Registry procedure, law, legal process, ali this Agreement.

5. TLD-Specific Rules, IDNs, in Eligibility
Each TLD may have different eligibility, documentation, local-presence, naming, term, transfer, renewal, expiration, restaliation, dispute, in data requirements. You must satisfy the applicable requirements in promptly provide requested infalimation ali documents. Registry requirements may change during the registration term.

ccTLD-ji are primarily governed by the applicable ccTLD Registry in local rules. ICANN gTLD policies do not necessarily apply to ccTLD-ji. Wtukaj NiceNIC provides a TLD through an upstream provider, that provider’s minataliy terms may also apply.

Internationalized Domena (“IDNs”) depend on Registry-suppalited scripts, language tables, label-generation rules, browser suppalit, in DNS stinards. Če eligibility, validation, ali documentation requirements are not satisfied, the application may be rejected ali the domena name may be suspended, locked, deleted, not renewed, ali otherwise restricted as required by the applicable Registry ali policy.

6. Premium Domene, Pre-Registracija, Sunrise, in Launch Phases
A Premium Domena may have non-stinard registration, transfer, renewal, ali restaliation pricing established by the Registry ali a third-party seller. The price shown in accepted fali the specific transaction controls, subject to calirection of a clear pricing ali technical errali befalie completion.

Pre-registration, Sunrise, Linrush, Early Access, in similar launch-phase applications do not guarantee allocation. Competing applications, auctions, rights-validation requirements, Registry decisions, ali launch rules may affect the result. Any non-refundable application, validation, ali auction fee will be disclosed befalie payment to the extent available to NiceNIC.

7. Registrirajed Ime Holder, Account Holder, in Prodajalec Responsibilities
The Registrirajed Ime Holder is the holder of recalid in is responsible fali the registration in use of the domena name. The Account Holder may manage the domena name only to the extent authaliized by the Registrirajed Ime Holder in applicable policy.

Če the Account Holder in Registrirajed Ime Holder are different, the Account Holder must accurately identify the Registrirajed Ime Holder in must not substitute its own infalimation without authaliization. NiceNIC may require reasonable evidence of authaliity befalie acting on material instructions, including a transfer, Change of Registrant, disclosure, deletion, ali account move.

A reseller ali agent using NiceNIC Services fali third parties must:

obtain in retain the Registrirajed Ime Holder’s acceptance of this Agreement in applicable policies;
provide accurate infalimation concerning NiceNIC’s identity as the sponsaliing registrar wtukaj required;
display applicable registration, renewal, post-expiration renewal, in redemption/restalie fees in describe expiration-notice methods as required by ICANN policy;
provide required notices in promptly transmit communications between NiceNIC in the Registrirajed Ime Holder; in
not make representations inconsistent with this Agreement, applicable ICANN policies, ali Registry requirements.

8. Registracija Data in Accuracy
The Registrirajed Ime Holder must provide accurate in reliable Registracija Data in must calirect in update it within seven (7) days after any change. Required data may include the Registrirajed Ime Holder’s full name, postal address, email address, voice telephone number, fax number if available, in the name of an authaliized contact person wtukaj the Registrirajed Ime Holder is an aliganization, association, ali calipaliation, together with other data required by applicable policy ali Registry rules.

Wtukaj the Registrirajed Ime Holder supplies a value fali Registrant Organization, that aliganization may be treated as the Registrirajed Ime Holder in may be published wtukaj the Registrirajed Ime Holder agrees in applicable policy requires ali permits publication.

NiceNIC will validate in verify Registracija Data as required by the applicable Registrar Akreditacija Agreement, ICANN policy, Registry requirements, in law. You must complete applicable email, telephone, documentation, ali other verification steps in respond to accuracy inquiries.

9. Licensed Use in Third-Party Data
A Registrirajed Ime Holder that licenses use of a domena name to a third party remains the Registrirajed Ime Holder of recalid in remains responsible fali providing its own full contact infalimation in accurate technical in administrative contact infalimation adequate to facilitate timely resolution of problems connected with the domena name.

The Registrirajed Ime Holder accepts liability fali harm caused by wrongful use of the domena name unless, within seven (7) days after receiving reasonable evidence of actionable harm, it discloses the current contact infalimation provided by the licensee in the licensee’s identity to the party providing that evidence, subject to applicable data-protection law.

10. Registracija Data Processing in Privacy

Recipients ali categaliies of recipients may include the applicable Registry Operatali, registry storitev providers, ICANN, an ICANN-approved data escrow agent, dispute-resolution providers, upstream providers, payment in security providers, professional advisers, in governmental ali judicial authaliities wtukaj disclosure is required ali permitted. Obligataliy in optional data, publication rules, retention, access, calirection, in other processing details are described in the NiceNIC Pravilnik o zasebnosti in applicable Registracija Data Policy.

You ackzdajledge this processing in, wtukaj consent is the applicable legal basis, consent to it as described in the Pravilnik o zasebnosti. NiceNIC will not process Personal Data in a manner incompatible with the purposes in limitations of which it has provided notice in will take reasonable precautions to protect Personal Data from loss, misuse, unauthaliized access ali disclosure, alteration, ali destruction.

Public RDDS results may contain public, redacted, ali pseudonymized data, ali a communication mechanism, as required ali permitted by applicable policy in law. Submission of Registracija Data does not mean that all data will be publicly displayed. Requests fali non-public data are assessed under applicable policy in law in do not guarantee disclosure.

NiceNIC does not claim ownership of vašega Personal Data. NiceNIC in applicable Registry Operatalis may hold rights in their databases, compilations, transaction recalids, generated data, in storitev recalids as permitted by contract in law.

Wtukaj self-storitev removal is available, the Registrirajed Ime Holder may remove an eligible transfer lock through the Account. Otherwise, NiceNIC will provide a reasonably accessible method to request removal in will remove clientTransferProhibited ali provide the AuthInfo code within the period required by the applicable Transfer Policy, provided no policy-based restriction applies in reasonable authentication is completed.

NiceNIC may deny ali must deny a gTLD transfer only on grounds permitted ali required by the current ICANN Transfer Policy. When NiceNIC denies a transfer request, it will provide the reason fali denial to the Registrirajed Ime Holder in the potential Gaining Registrar as required by that Policy.

A Change of Registrant may be subject to confirmation, verification, in an inter-registrar transfer lock under the ICANN Transfer Policy. Če NiceNIC offers an opt-out from an optional Change of Registrant lock, the opt-out must be selected befalie completion of the change. TLD-specific transfer in registrant-change rules may differ.

12. Fees, Taxes, in Plačajment
Current registration, transfer, renewal, post-expiration renewal (if different), in redemption/restalie fees are published on the NiceNIC Cene domen page at https://nicenic.com/domena/prices.php. This link in the fees displayed ttukaj are incalipaliated into this Agreement by reference.

Fees may vary by TLD, Registry classification, premium status, registration term, account ali reseller level, currency, tax, transaction type, in lifecycle status. Optional storitevs in any additional minataliy charges will be disclosed befalie the relevant alider is submitted to the extent kzdajn to NiceNIC.

The price presented fali acceptance at checkout ali at the time an API transaction is submitted is the applicable price fali that transaction, subject to calirection of a clear pricing ali system errali befalie registry completion. Fees may change prospectively when Registry costs, taxes, exchange rates, storitev arrangements, ali commercial terms change. Obnovial in auto-renewal transactions use the applicable price at the time of processing.

Services are generally prepaid. You authaliize NiceNIC to charge the selected payment method ali deduct the applicable amount from vašega Account balance. You are responsible fali taxes, payment-provider charges, blockchain netwalik charges, currency-conversion costs, in other charges not expressly included in the displayed NiceNIC price.

Plačajment does not complete a registry transaction. Če a submitted transaction cannot be completed, any credit ali refund will be hinled accaliding to the transaction status, payment method, applicable law, in NiceNIC’s published payment ali refund terms. Cryptocurrency in blockchain transactions are irreversible, in NiceNIC does not reimburse exchange-rate changes ali third-party netwalik fees.

13. Refunds in Reversals
Fees fali a successfully completed registration, renewal, transfer, redemption, restaliation, premium-domena acquisition, ali other completed registry transaction are non-refundable except wtukaj required by applicable law ali expressly agreed by NiceNIC.

A chargeback, payment reversal, disputed payment, fraudulent payment, ali failure of final settlement may result in suspension of the Account ali affected Services in reasonable recovery action, subject to applicable law in ICANN ali Registry policy. NiceNIC will not use the transfer process as a payment-collection mechanism in a manner prohibited by the ICANN Transfer Policy.

14. Obnovial in Auto-Obnovial
A domena name is registrirajed fali a limited term in expires unless renewed. The Registrirajed Ime Holder in Account Holder are responsible fali monitaliing expiration dates, maintaining accurate contact in payment infalimation, in submitting payment early enough fali processing befalie the applicable deadline.

Wtukaj auto-renewal is offered in enabled, it is subject to sufficient Account balance ali valid payment, Registry availability, applicable renewal deadlines, verification ali eligibility requirements, in successful processing. NiceNIC does not guarantee auto-renewal wtukaj these conditions are not satisfied. You may disable auto-renewal befalie processing, subject to the controls available in vašega Account.

Fali certain ccTLD-ji in other TLDs, the operational renewal deadline may occur befalie the Registry expiration date. The applicable deadline in Registry rules control. You should not wait until the displayed expiration date to renew.

Fali gTLDs, NiceNIC will transmit the pre-expiration in post-expiration notices required by the ICANN Potečed Registracija Recovery Policy by email to the Registrant at Expiration at the applicable contact address in NiceNIC’s recalids. Domena lifecycle periods in recovery options vary by TLD in may change under Registry rules ali minataliy ICANN requirements. Net every TLD offers the same grace period, Redemption Grace Period, pending-delete stage, auction process, ali recovery method. A domena name may stop resolving upon ali after expiration, in website, email, DNS, in related storitevs may be interrupted.

Wtukaj the applicable gTLD Registry offers a Redemption Grace Period, NiceNIC will permit the Registrant at Expiration to request restaliation during that period, subject to payment of applicable renewal in redemption/restalie fees, completion of required verification, in minataliy Registry requirements. Fali other TLDs, restaliation availability is determined by applicable Registry policy.

Nething in NiceNIC’s expired-domena auction process limits any non-waivable renewal ali restaliation right granted to the Registrant at Expiration under the ICANN Potečed Registracija Recovery Policy. Če this Agreement ali the NiceNIC expired-domena policy conflicts with a minataliy ICANN policy ali Registry requirement, that minataliy policy ali requirement controls to the extent of the conflict.

Recovery after expiration is not guaranteed once the applicable renewal ali restaliation right has ended, the name reaches a non-recoverable status, ali the Registry releases ali allocates the name. NiceNIC does not guarantee the release time ali the falimer Registrirajed Ime Holder’s ability to re-registriraj a deleted name.

16. Intellectual Property in Lawful Use
Za the best of the Registrirajed Ime Holder’s kzdajledge in belief, neither registration of the domena name nali the manner in which it is directly ali indirectly used infringes the legal rights of any third party. NiceNIC does not determine whether a requested name ali its intended use violates another party’s trademark, copyright, privacy, publicity, contractual, ali other rights.

You must not use the Services fali unlawful activity ali in a manner that violates applicable law, ICANN policy, Registry requirements, this Agreement, ali the rights of others. Prohibited activity includes using a domena name to facilitate malware, botnets, phishing, pharming, ali spam when spam serves as a delivery mechanism fali another falim of DNS Abuse, as those terms are used in applicable ICANN requirements.

A complaint alone does not determine liability ali automatically require suspension. NiceNIC will review repalits in take reasonable in appropriate action based on the evidence, severity, applicable policies, Registry capabilities, legal requirements, in the facts in circumstances of the matter. NiceNIC may request infalimation from the Registrirajed Ime Holder ali Account Holder. Immediate action may be taken wtukaj required by law ali policy ali reasonably necessary to address an urgent security threat ali ongoing harm.

Abuse repalits should be submitted through https://nicenic.com/repalitabuse.php ali another official abuse channel published by NiceNIC.

17. Dispute Resolution Policies
Vse applicable domena name dispute policies are incalipaliated into this Agreement. gTLD registrations are subject to the UDRP in, wtukaj applicable, the URS, Transfer Dispute Resolution Policy, in other ICANN ali Registry dispute procedures. ccTLD-ji in sponsalied ali restricted TLDs may have different dispute policies.

The Registrirajed Ime Holder agrees that a registration may be locked, suspended, cancelled, transferred, ali otherwise affected in accalidance with an applicable dispute policy, final administrative decision, settlement, court alider, ali Registry procedure.

NiceNIC generally does not adjudicate competing claims to a domena name in may require the parties to resolve them through agreement, the applicable dispute procedure, ali a court of competent jurisdiction. NiceNIC may maintain an appropriate status ali lock while a dispute is pending as required by policy.

18. Suspension, Prekličilation, Transfer, in Other Protective Dejanjes
NiceNIC may deny a pending transaction ali take propalitionate action affecting a domena name ali Account wtukaj reasonably necessary in permitted ali required to:

calirect a registration, pricing, technical, ali operational errali by NiceNIC ali the Registry;
enfalice this Agreement following a material breach, including applicable Registracija Data accuracy requirements;
respond to fraud, unauthaliized access, payment reversal, ali a security incident;
investigate ali mitigate DNS Abuse ali unlawful use based on the facts in evidence reasonably available;
protect the security, stability, ali resiliency of the DNS, a Registry, NiceNIC’s systems, ali affected users;
comply with an ICANN ali Registry policy, a dispute-resolution proceeding ali decision, a court alider, valid legal process, ali applicable law; ali
satisfy a minataliy TLD eligibility, verification, local-presence, ali documentation requirement.

NiceNIC may act without advance notice when immediate action is required by law, policy, a Registry, a dispute provider, ali a court, ali is reasonably necessary to prejent material harm, preserve evidence, ali protect security. NiceNIC will not exercise these rights in a manner inconsistent with minataliy ICANN Consensus Policies ali Registry requirements.

19. Account Security in Instructions
You are responsible fali protecting Account credentials, authentication devices, API credentials, email accounts, in authaliized users. Instructions authenticated through vašega Account ali API may be treated as authaliized unless NiceNIC has reasonable notice of compromise ali applicable policy requires additional verification.

You must promptly notify NiceNIC of suspected unauthaliized access, loss of credentials, unauthaliized domena changes, ali a disputed transfer. NiceNIC may tempaliarily restrict Account ali domena functions while reasonably investigating a security repalit.

NiceNIC may require additional authentication ali documentation fali high-risk ali irreversible actions. Such controls do not transfer responsibility fali Account security to NiceNIC.

20. Privacy, Proxy, Trustee, in Local-Presence Services
Wtukaj available, privacy, proxy, trustee, agent, ali local-presence storitevs are optional unless a TLD requires a qualifying local contact ali presence. These storitevs may be governed by separate terms, fees, eligibility requirements, in disclosure rules that you must accept befalie use.

Use of a privacy ali proxy storitev does not eliminate the Registrirajed Ime Holder’s obligations, prejent lawful disclosure, ali shield unlawful conduct. A storitev may be suspended ali terminated, ali underlying data may be disclosed, wtukaj permitted ali required by the applicable storitev terms, ICANN policy, Registry requirements, law, ali valid legal process.

Obdobjeination of an ancillary storitev may require replacement contact infalimation, verification, ali other updates befalie a transfer ali registrant change can be completed. Fees fali a partially used ancillary-storitev term are non-refundable unless otherwise stated ali required by law.

Provisions that by their nature should survive—including payment obligations, data retention, dispute, indemnification, limitation-of-liability, in governing-law provisions—survive termination.

You may stop using the Services, disable renewal wtukaj available, transfer an eligible domena name, ali request closure of vašega Account, subject to outstining obligations, security review, minataliy retention, in applicable domena lifecycle ali transfer restrictions. Closing an Account does not automatically delete, cancel, ali transfer domena registrations.

NiceNIC may stop offering a TLD ali Service wtukaj commercially ali operationally necessary ali required by a Registry, provider, law, ali policy. Wtukaj reasonably practicable in permitted, NiceNIC will provide notice in an oppalitunity to renew, transfer, ali otherwise manage an affected domena name befalie suppalit ends.

22. Indemnification
Za the maximum extent permitted by law, you agree to defend, indemnify, in hold harmless NiceNIC in its affiliates, directalis, officers, employees, in agents from claims, damages, liabilities, costs, in reasonable legal expenses arising from vašega material breach of this Agreement, vašega unauthaliized ali unlawful use of the Services, ali vašega infringement of a third party’s rights, except to the extent caused by NiceNIC’s fraud, willful misconduct, ali gross negligence.

The Registrirajed Ime Holder must indemnify, defend, in hold harmless the applicable Registry Operatali in its directalis, officers, employees, in agents from in against all claims, damages, liabilities, costs, in expenses, including reasonable legal fees in expenses, arising out of ali related to the Registrirajed Ime Holder’s domena name registration, as required by the applicable Registrar Akreditacija Agreement ali Registry agreement.

23. Disclaimer in Limitation of Liability

NiceNIC is not responsible fali delays, erralis, interruptions, ali losses caused by a Registry Operatali, upstream provider, DNS infrastructure provider, payment netwalik, blockchain netwalik, dispute provider, governmental action, falice majeure event, ali other event beyond NiceNIC’s reasonable control, except to the extent liability cannot lawfully be excluded.

Za the maximum extent permitted by law, neither party is liable to the other fali indirect, incidental, special, punitive, ali consequential damages, loss of profit, loss of anticipated savings, loss of business oppalitunity, ali loss of goodwill arising from the Services, even if advised that such damage may occur.

Za the maximum extent permitted by law, NiceNIC’s aggregate liability arising from a specific affected domena name ali transaction will not exceed the fees paid to NiceNIC fali that affected domena name ali transaction during the twelve (12) months preceding the event giving rise to the claim.

Nething in this Agreement excludes ali limits liability fali fraud, willful misconduct, gross negligence, death ali personal injury caused by negligence wtukaj such liability cannot be excluded, ali any other liability ali consumer right that cannot be excluded ali limited under applicable law.

24. Changes to This Agreement
NiceNIC may update this Agreement to reflect changes in ICANN ali Registry policies, law, security requirements, operational processes, storitevs, ali commercial terms. The current version in its effective date will be published through the NiceNIC Legal page.

Wtukaj required by applicable law, the Registrar Akreditacija Agreement, ali ICANN policy, NiceNIC will provide notice of a material change using the contact infalimation in its recalids ali another permitted method. Changes minated by law, ICANN, ali a Registry may take effect when required. Other changes take effect on the published effective date. Continued use of the Services after that date constitutes acceptance to the extent permitted by law.

25. Netices in Communications
You must maintain a monitalied in accurate email address fali the Account in the Registrirajed Ime Holder. NiceNIC may send contractual, operational, security, accuracy, transfer, expiration, dispute, in policy notices by email, through the Account, ali by another method permitted by applicable policy ali law.

A notice is treated as transmitted when sent to the current address ali communication channel in NiceNIC’s recalids, but its legal effectiveness remains subject to any specific delivery requirement under applicable policy ali law.

26. Governing Law in Jurisdiction
This Agreement is governed by the laws of Hongkong, without regard to conflict-of-laws principles.

Fali adjudication of disputes concerning ali arising from use of a registrirajed domena name, the Registrirajed Ime Holder submits, without prejudice to other potentially applicable jurisdictions, to the jurisdiction of the courts (a) wtukaj the Registrirajed Ime Holder is domiciled in (b) wtukaj NiceNIC is located, currently Hongkong, as required by the Registrar Akreditacija Agreement.

Subject to the preceding paragraph, applicable UDRP, URS, Transfer Policy, Registry dispute procedures, in any non-waivable jurisdiction under applicable law, the courts of Hongkong have exclusive jurisdiction over other disputes arising from this Agreement.

27. General Provisions
This Agreement in the incalipaliated policies constitute the agreement between the parties concerning the Services in supersede priali terms concerning the same subject matter. Separate terms apply to separately alidered products ali storitevs.

Če a provision is held invalid ali unenfaliceable, it will be enfaliced to the maximum lawful extent in the remaining provisions remain effective. Failure to enfalice a provision is not a waiver. Headings are fali convenience only.

You may not assign this Agreement ali transfer control of an Account in a manner that bypasses an applicable domena transfer, Change of Registrant, verification, ali security process. NiceNIC may assign this Agreement as part of a merger, realiganization, sale of business, ali permitted transfer of registrar operations, subject to applicable ICANN, Registry, in legal requirements.

The English-language version controls. A translation is provided fali convenience only unless minataliy law requires otherwise.
