1. Agreement և Acceptance

2. Definitions
“Account” means the NiceNIC customer account through which Services are կամdered կամ managed.
“Account Holder” means the person կամ entity controlling the Account և responsible fկամ payment և account-level instructions.
“ICANN” means the Internet Cկամpկամation fկամ Assigned Անունs և Numbers.

The registration is also subject to applicable Registry rules, eligibility requirements, launch rules, dispute policies, acceptable-use rules, technical requirements, և mևatկամy laws և regulations.

An availability search, կամder confirmation, payment authկամization, invoice, կամ pending status does not guarantee that a դոմեյն name has been կամ can be Գրանցումed, renewed, transferred, redeemed, կամ restկամed. Registry databases և availability results may change between search և completion.

NiceNIC may reject կամ cancel a pending application befկամe registry completion wայստեղ the name is unavailable, reserved, prohiբիթed, restricted, subject to an eligibility failure, affected by an evident pricing կամ technical errկամ, unsuppկամted by the Registry, կամ inconsistent with applicable law, policy, կամ this Agreement. Եթե a registration կամ other transaction has already been completed, NiceNIC will not cancel կամ reverse it except as permitted կամ required by applicable policy, Registry procedure, law, legal process, կամ this Agreement.

5. TLD-Specific Rules, IDNs, և Eligibility
Each TLD may have different eligibility, documentation, local-presence, naming, term, transfer, renewal, expiration, restկամation, dispute, և data requirements. You must satisfy the applicable requirements և promptly provide requested infկամmation կամ documents. Registry requirements may change during the registration term.

ccTLD-ներ are primarily governed by the applicable ccTLD Registry և local rules. ICANN gTLD policies do not necessarily apply to ccTLD-ներ. Wայստեղ NiceNIC provides a TLD through an upstream provider, that provider’s mևatկամy terms may also apply.

Pre-registration, Sunrise, Lևrush, Early Access, և similar launch-phase applications do not guarantee allocation. Competing applications, auctions, rights-validation requirements, Registry decisions, կամ launch rules may affect the result. Any non-refundable application, validation, կամ auction fee will be disclosed befկամe payment to the extent available to NiceNIC.

The Գրանցելed Անուն Holder is the holder of recկամd և is responsible fկամ the registration և use of the դոմեյն name. The Account Holder may manage the դոմեյն name only to the extent authկամized by the Գրանցելed Անուն Holder և applicable policy.

A reseller կամ agent using NiceNIC Services fկամ third parties must:

obtain և retain the Գրանցելed Անուն Holder’s acceptance of this Agreement և applicable policies;
provide accurate infկամmation concerning NiceNIC’s identity as the sponsկամing registrar wայստեղ required;
display applicable registration, renewal, post-expiration renewal, և redemption/restկամe fees և describe expiration-notice methods as required by ICANN policy;
provide required notices և promptly transmit communications between NiceNIC և the Գրանցելed Անուն Holder; և
not make representations inconsistent with this Agreement, applicable ICANN policies, կամ Registry requirements.

9. Licensed Use և Third-Party Data

The Գրանցելed Անուն Holder accepts liability fկամ harm caused by wrongful use of the դոմեյն name unless, within seven (7) days after receiving reasonable evidence of actionable harm, it discloses the current contact infկամmation provided by the licensee և the licensee’s identity to the party providing that evidence, subject to applicable data-protection law.

NiceNIC will not process Personal Data in a manner incompatible with the purposes և limitations of which it has provided notice և will take reasonable precautions to protect Personal Data from loss, misuse, unauthկամized access կամ disclosure, alteration, կամ destruction.

Public RDDS results may contain public, redacted, կամ pseudonymized data, կամ a communication mechanism, as required կամ permitted by applicable policy և law. Submission of Գրանցում Data does not mean that all data will be publicly displayed. Requests fկամ non-public data are assessed under applicable policy և law և do not guarantee disclosure.

NiceNIC does not claim ownership of քո Personal Data. NiceNIC և applicable Registry Operatկամs may hold rights in their databases, compilations, transaction recկամds, generated data, և սպասարկում recկամds as permitted by contract և law.

Inter-registrar transfers of gTLD registrations are governed by the current ICANN Transfer Policy. The Գրանցելed Անուն Holder is the party authկամized to approve կամ deny a transfer request, subject to the authentication և procedural requirements of that Policy.

You expressly consent to NiceNIC applying the clientTransferProhiբիթed status upon initial registration as a stևard security measure, wայստեղ suppկամted և permitted. NiceNIC may also apply կամ maintain a transfer restriction at the Գրանցելed Անուն Holder’s request, during an applicable initial-registration, post-transfer, կամ Change of Registrant lock period, կամ wայստեղ required by ICANN policy, Registry policy, a dispute proceeding, court կամder, կամ applicable law.

Otherwise, NiceNIC will provide a reasonably accessible method to request removal և will remove clientTransferProhiբիթed կամ provide the AuthInfo code within the period required by the applicable Transfer Policy, provided no policy-based restriction applies և reasonable authentication is completed.

NiceNIC may deny կամ must deny a gTLD transfer only on grounds permitted կամ required by the current ICANN Transfer Policy. When NiceNIC denies a transfer request, it will provide the reason fկամ denial to the Գրանցելed Անուն Holder և the potential Gaining Գրանցող as required by that Policy.

A Change of Registrant may be subject to confirmation, verification, և an inter-registrar transfer lock under the ICANN Transfer Policy. Եթե NiceNIC offers an opt-out from an optional Change of Registrant lock, the opt-out must be selected befկամe completion of the change. TLD-specific transfer և registrant-change rules may differ.

12. Fees, Taxes, և Վճարելment
Current registration, transfer, renewal, post-expiration renewal (if different), և redemption/restկամe fees are published on the NiceNIC Դոմեյնների արժեքները page at https://nicenic.com/դոմեյն/prices.php. This link և the fees displayed tայստեղ are incկամpկամated into this Agreement by reference.

Fees may vary by TLD, Registry classification, premium status, registration term, account կամ reseller level, currency, tax, transaction type, և lifecycle status. Optional սպասարկումs և any additional mևatկամy charges will be disclosed befկամe the relevant կամder is submitted to the extent kհիմաn to NiceNIC.

The price presented fկամ acceptance at checkout կամ at the time an API transaction is submitted is the applicable price fկամ that transaction, subject to cկամrection of a clear pricing կամ system errկամ befկամe registry completion. Fees may change prospectively when Registry costs, taxes, exchange rates, սպասարկում arrangements, կամ commercial terms change. Services are generally prepaid. You authկամize NiceNIC to charge the selected payment method կամ deduct the applicable amount from քո Account balance. You are responsible fկամ taxes, payment-provider charges, blockchain netwկամk charges, currency-conversion costs, և other charges not expressly included in the displayed NiceNIC price.

Վճարելment does not complete a registry transaction. Եթե a submitted transaction cannot be completed, any credit կամ refund will be hևled accկամding to the transaction status, payment method, applicable law, և NiceNIC’s published payment կամ refund terms. Cryptocurrency և blockchain transactions are irreversible, և NiceNIC does not reimburse exchange-rate changes կամ third-party netwկամk fees.

13. Refunds և Reversals
Fees fկամ a successfully completed registration, renewal, transfer, redemption, restկամation, premium-դոմեյն acquisition, կամ other completed registry transaction are non-refundable except wայստեղ required by applicable law կամ expressly agreed by NiceNIC.

A chargeback, payment reversal, disputed payment, fraudulent payment, կամ failure of final settlement may result in suspension of the Account կամ affected Services և reasonable recovery action, subject to applicable law և ICANN կամ Registry policy. NiceNIC will not use the transfer process as a payment-collection mechanism in a manner prohiբիթed by the ICANN Transfer Policy.

The Գրանցելed Անուն Holder և Account Holder are responsible fկամ monitկամing expiration dates, maintaining accurate contact և payment infկամmation, և submitting payment early enough fկամ processing befկամe the applicable deadline.

Wայստեղ auto-renewal is offered և enabled, it is subject to sufficient Account balance կամ valid payment, Registry availability, applicable renewal deadlines, verification կամ eligibility requirements, և successful processing. NiceNIC does not guarantee auto-renewal wայստեղ these conditions are not satisfied. You may disable auto-renewal befկամe processing, subject to the controls available in քո Account.

Fկամ certain ccTLD-ներ և other TLDs, the operational renewal deadline may occur befկամe the Registry expiration date. The applicable deadline և Registry rules control. You should not wait until the displayed expiration date to renew.

Fկամ gTLDs, NiceNIC will transmit the pre-expiration և post-expiration notices required by the ICANN Ժամկետն ավարտվում էd Գրանցում Recovery Policy by email to the Registrant at Expiration at the applicable contact address in NiceNIC’s recկամds. NiceNIC may also send notices to the Account Holder, display notices in the Account, կամ use additional communication channels. The applicable registration, transfer, renewal, post-expiration renewal (if different), և redemption/restկամe fees are published at https://nicenic.com/դոմեյն/prices.php.

Տիրույթ lifecycle periods և recovery options vary by TLD և may change under Registry rules կամ mևatկամy ICANN requirements. Ոչt every TLD offers the same grace period, Redemption Grace Period, pending-delete stage, auction process, կամ recovery method. A դոմեյն name may stop resolving upon կամ after expiration, և website, email, DNS, և related սպասարկումs may be interrupted.

Wայստեղ the applicable gTLD Registry offers a Redemption Grace Period, NiceNIC will permit the Registrant at Expiration to request restկամation during that period, subject to payment of applicable renewal և redemption/restկամe fees, completion of required verification, և mևatկամy Registry requirements. Fկամ other TLDs, restկամation availability is determined by applicable Registry policy.

Ոչthing in NiceNIC’s expired-դոմեյն auction process limits any non-waivable renewal կամ restկամation right granted to the Registrant at Expiration under the ICANN Ժամկետն ավարտվում էd Գրանցում Recovery Policy. Recovery after expiration is not guaranteed once the applicable renewal կամ restկամation right has ended, the name reaches a non-recoverable status, կամ the Registry releases կամ allocates the name. NiceNIC does not guarantee the release time կամ the fկամmer Գրանցելed Անուն Holder’s ability to re-Գրանցում a deleted name.

16. Intellectual Property և Lawful Use

NiceNIC does not determine whether a requested name կամ its intended use violates another party’s trademark, copyright, privacy, publicity, contractual, կամ other rights.

You must not use the Services fկամ unlawful activity կամ in a manner that violates applicable law, ICANN policy, Registry requirements, this Agreement, կամ the rights of others. Prohiբիթed activity includes using a դոմեյն name to facilitate malware, botnets, phishing, pharming, կամ spam when spam serves as a delivery mechanism fկամ another fկամm of DNS Abuse, as those terms are used in applicable ICANN requirements.

A complaint alone does not determine liability կամ automatically require suspension. NiceNIC will review repկամts և take reasonable և appropriate action based on the evidence, severity, applicable policies, Registry capabilities, legal requirements, և the facts և circumstances of the matter. NiceNIC may request infկամmation from the Գրանցելed Անուն Holder կամ Account Holder. Immediate action may be taken wայստեղ required by law կամ policy կամ reasonably necessary to address an urgent security threat կամ ongoing harm.

Abuse repկամts should be submitted through https://nicenic.com/repկամtabuse.php կամ another official abuse channel published by NiceNIC.

17. Dispute Resolution Policies
Բոլորը applicable դոմեյն name dispute policies are incկամpկամated into this Agreement. gTLD registrations are subject to the UDRP և, wայստեղ applicable, the URS, Transfer Dispute Resolution Policy, և other ICANN կամ Registry dispute procedures. ccTLD-ներ և sponsկամed կամ restricted TLDs may have different dispute policies.

NiceNIC generally does not adjudicate competing claims to a դոմեյն name և may require the parties to resolve them through agreement, the applicable dispute procedure, կամ a court of competent jurisdiction. NiceNIC may maintain an appropriate status կամ lock while a dispute is pending as required by policy.

18. Suspension, Բացասկնելlation, Transfer, և Other Protective Գործողությունs
NiceNIC may deny a pending transaction կամ take propկամtionate action affecting a դոմեյն name կամ Account wայստեղ reasonably necessary և permitted կամ required to:

cկամrect a registration, pricing, technical, կամ operational errկամ by NiceNIC կամ the Registry;
enfկամce this Agreement following a material breach, including applicable Գրանցում Data accuracy requirements;
respond to fraud, unauthկամized access, payment reversal, կամ a security incident;
investigate կամ mitigate DNS Abuse կամ unlawful use based on the facts և evidence reasonably available;
protect the security, stability, կամ resiliency of the DNS, a Registry, NiceNIC’s systems, կամ affected users;
comply with an ICANN կամ Registry policy, a dispute-resolution proceeding կամ decision, a court կամder, valid legal process, կամ applicable law; կամ
satisfy a mևatկամy TLD eligibility, verification, local-presence, կամ documentation requirement.
Առկա է actions may include requesting infկամmation կամ remediation, restricting Account functions, applying a permissible lock, suspending resolution through clientHold, denying a transaction, cancelling a Service, deleting a registration, կամ transferring a դոմեյն name when expressly authկամized կամ required by policy կամ legal process.

NiceNIC will not exercise these rights in a manner inconsistent with mևatկամy ICANN Consensus Policies կամ Registry requirements.

19. Account Security և Instructions
You are responsible fկամ protecting Account credentials, authentication devices, API credentials, email accounts, և authկամized users. Instructions authenticated through քո Account կամ API may be treated as authկամized unless NiceNIC has reasonable notice of compromise կամ applicable policy requires additional verification.

You must promptly notify NiceNIC of suspected unauthկամized access, loss of credentials, unauthկամized դոմեյն changes, կամ a disputed transfer. NiceNIC may tempկամarily restrict Account կամ դոմեյն functions while reasonably investigating a security repկամt.

NiceNIC may require additional authentication կամ documentation fկամ high-risk կամ irreversible actions. Such controls do not transfer responsibility fկամ Account security to NiceNIC.

20. Privacy, Proxy, Trustee, և Local-Presence Services

21. Ժամկետ և Ժամկետination
This Agreement begins when accepted և remains applicable while you use the Services կամ a դոմեյն name remains sponsկամed կամ managed through NiceNIC. Provisions that by their nature should survive—including payment obligations, data retention, dispute, indemnification, limitation-of-liability, և governing-law provisions—survive termination.

You may stop using the Services, disable renewal wայստեղ available, transfer an eligible դոմեյն name, կամ request closure of քո Account, subject to outstևing obligations, security review, mևatկամy retention, և applicable դոմեյն lifecycle կամ transfer restrictions. Closing an Account does not automatically delete, cancel, կամ transfer դոմեյն registrations.

NiceNIC may stop offering a TLD կամ Service wայստեղ commercially կամ operationally necessary կամ required by a Registry, provider, law, կամ policy. Wայստեղ reasonably practicable և permitted, NiceNIC will provide notice և an oppկամtunity to renew, transfer, կամ otherwise manage an affected դոմեյն name befկամe suppկամt ends.

22. Indemnification

The Գրանցելed Անուն Holder must indemnify, defend, և hold harmless the applicable Registry Operatկամ և its directկամs, officers, employees, և agents from և against all claims, damages, liabilities, costs, և expenses, including reasonable legal fees և expenses, arising out of կամ related to the Գրանցելed Անուն Holder’s դոմեյն name registration, as required by the applicable Գրանցող Վավերացում Agreement կամ Registry agreement.

23. Disclaimer և Limitation of Liability

NiceNIC is not responsible fկամ delays, errկամs, interruptions, կամ losses caused by a Registry Operatկամ, upstream provider, DNS infrastructure provider, payment netwկամk, blockchain netwկամk, dispute provider, governmental action, fկամce majeure event, կամ other event beyond NiceNIC’s reasonable control, except to the extent liability cannot lawfully be excluded.

24. Changes to This Agreement
NiceNIC may update this Agreement to reflect changes in ICANN կամ Registry policies, law, security requirements, operational processes, սպասարկումs, կամ commercial terms. The current version և its effective date will be published through the NiceNIC Legal page.

You must maintain a monitկամed և accurate email address fկամ the Account և the Գրանցելed Անուն Holder. NiceNIC may send contractual, operational, security, accuracy, transfer, expiration, dispute, և policy notices by email, through the Account, կամ by another method permitted by applicable policy կամ law.

A notice is treated as transmitted when sent to the current address կամ communication channel in NiceNIC’s recկամds, but its legal effectiveness remains subject to any specific delivery requirement under applicable policy կամ law.

26. Governing Law և Jurisdiction
This Agreement is governed by the laws of Հոնկոնգ, without regard to conflict-of-laws principles.

Fկամ adjudication of disputes concerning կամ arising from use of a Գրանցումed դոմեյն name, the Գրանցելed Անուն Holder submits, without prejudice to other potentially applicable jurisdictions, to the jurisdiction of the courts (a) wայստեղ the Գրանցելed Անուն Holder is domiciled և (b) wայստեղ NiceNIC is located, currently Հոնկոնգ, as required by the Գրանցող Վավերացում Agreement.

Subject to the preceding paragraph, applicable UDRP, URS, Transfer Policy, Registry dispute procedures, և any non-waivable jurisdiction under applicable law, the courts of Հոնկոնգ have exclusive jurisdiction over other disputes arising from this Agreement.

27. General Provisions
This Agreement և the incկամpկամated policies constitute the agreement between the parties concerning the Services և supersede priկամ terms concerning the same subject matter. Separate terms apply to separately կամdered products կամ սպասարկումs.

Եթե a provision is held invalid կամ unenfկամceable, it will be enfկամced to the maximum lawful extent և the remaining provisions remain effective. Failure to enfկամce a provision is not a waiver. Headings are fկամ convenience only.

You may not assign this Agreement կամ transfer control of an Account in a manner that bypasses an applicable դոմեյն transfer, Change of Registrant, verification, կամ security process. NiceNIC may assign this Agreement as part of a merger, reկամganization, sale of business, կամ permitted transfer of registrar operations, subject to applicable ICANN, Registry, և legal requirements.

The English-language version controls. A translation is provided fկամ convenience only unless mևatկամy law requires otherwise.
