1.DEFINITIONS. In this Service Agreement (“Agreement”), “you” و “شما” refer to each customer (“Customer”) و “we”, “us” و “our” refer to Nicenic.com, Inc. (“Nicenic.com, Inc.”). 2.SELECTION OF A DOMAIN NAME. 3. FEES, PAYMENT AND TERM OF SERVICE. Nicenic.com, Inc. may take all remedies available to collect fees owed. Should you choose to renew یا otherwise lengthen the term of شما ثبت نام دامنه, then the term of this ثبت Agreement will be extended accیاdingly. Should you transfer شما دامنه name یا should the دامنه name otherwise be transferred due to another ثبتکننده, the terms و conditions of this contract shall cease و shall be replaced by the contractual terms in fیاce fیا the purpose of ثبت نامing دامنه names then in fیاce between SLD holders و the new ثبتکننده.
5. ACCURATE INFیاMATION. As further consideration fیا the Nicenic.com, Inc. سرویس(s), you agree to: (1) provide certain current, complete و accurate infیاmation about you as required by the application process; و (2) maintain و update this infیاmation as needed to keep it current, complete و accurate. We rely on this infیاmation to send you impیاtant infیاmation و notices regarding شما account و our سرویسs. ما privacy statement, located on our web site at http://www.iisp.hk و incیاpیاated اینجاin by reference sets fیاth شما و our rights و responsibilities with regard to شما personal infیاmation. You agree that we, in our sole discretion, may modify our privacy statement. We will post such revised statement on our web site at least thirty (30) calendar days befیاe it becomes effective. You agree that, by using our سرویسs after modifications to the privacy statement become effective, you have agreed to these modifications. You ackاکنونledge that if you do not agree to any such modification, you may terminate this Agreement. We will not refund any fees paid by you if you terminate شما Agreement with us. Even if you intend to license the use of our دامنه name registration سرویسs to a third party, you will remain our customer و you are responsible fیا complying with all terms و conditions of this Agreement. Subject to the requirements of our privacy statement, in یاder fیا us to comply with our legal و contractual obligations, you اینجاby grant to Nicenic.com, Inc. the right to disclose to third parties through an interactive publicly accessible registration database the following mوatیاy infیاmation that you are required to provide when ثبت نامing یا reserving a دامنه name: (i) the دامنه name(s) ثبت نامed by you; (ii) شما name و postal address; (iii) the name(s), postal address(es), e-mail address(es), voice telephone number و wاینجا available the fax number(s) of the technical و administrative contacts fیا شما دامنه name(s); (iv) the Internet protocol numbers of the primary nameserver و the secondary nameserver(s) fیا such name(s); (v) the cیاresponding names of those nameservers; (vi) the یاiginal creation date of the registration; و (vii) the expiration date of the registration. We, as are all accredited دامنه name registrars, are also required the government to make this infیاmation available in bulk fیاm to third parties who agree not to use it to (a) allow, enable یا otherwise suppیاt the transmission of mass unsolicited, commercial advertising یا solicitations via e-mail (spam) یا (b) enable high volume, automated, electronic processes that apply to our systems to ثبت نام دامنه names.
6. MODIFICATIONS TO AGREEMENT. Except as otherwise provided in this Agreement, you agree, during the term of this Agreement, that we may: (1) revise the terms و conditions of this Agreement; و/یا (2) change part of the سرویسs provided under this Agreement at any time. 7. MODIFICATIONS TO YOUR ACCOUNT. 8. 9. DOMAIN NAME DISPUTE POLICY MODIFICATIONS. You agree that we, in our sole discretion, may modify our dispute policy. We will post any such revised policy on our web site at least thirty (30) calendar days befیاe it becomes effective. You agree by maintaining the reservation یا registration of شما دامنه name after modifications to the dispute policy become effective, you have agreed to these modifications. You ackاکنونledge that if you do not agree to any such modification, you may terminate this Agreement. We will not refund any fees paid by you if you terminate شما Agreement with us.
10. DOMAIN NAME DISPUTES. You agree that, if شما use of our دامنه name registration سرویسs is challenged by a third party, you will be subject to the provisions specified in our dispute policy in effect at the time of the dispute. You agree that in the event a دامنه name dispute arises with any third party, you will indemnify و hold us harmless pursuant to the terms و conditions set fیاth below in this Agreement. اگر we are notified that a complaint has been filed with a judicial یا administrative body regarding شما use of our دامنه name registration سرویسs, you agree not to make any changes to شما دامنه name recیاd without our priیا approval. Furthermیاe, you agree that if you are subject to litigation regarding شما registration و use of our دامنه name registration سرویسs, we may deposit control of شما دامنه name recیاd into the registry of the judicial body by supplying a party with a registrar certificate from us.
11. افزودنitional Registry Requirements
The following provisions apply to any دامنه names that you ثبت نام through
Nicenic.com, Inc. in the relevant registry(ies).
A. (.INFO) With respect to any registration of a .INFO second level دامنه name, you agree to the following terms:
(1). You consent to the use, copying, distribution, publication, modification, و other processing of شما Personal Data by Afilias, the .INFO Registry Operatیا, و its designees و agents in a manner consistent with the purposes specified pursuant in its contract.
(2). You agree to submit to proceedings under ICANN's Unifیاm نام دامنه Dispute Policy (UDRP) و comply with the requirements set fیاth by Afilias fیا دامنه names ثبت نامed during the Sunrise Period, including the mوatیاy Sunrise Dispute Resolution Policy. These policies are subject to modification by Afilias in its discretion.
(3). You agree to immediately cیاrect و update the registration infیاmation fیا the .INFO ثبت نامed دامنه name during registration term fیا such دامنه name; failure to cیاrect this infیاmation shall constitute a breach of this Agreement.
(4)
. You ackاکنونledge that Afilias, the registry operatیا fیا .INFO, will have no liability of any kind fیا any loss یا liability resulting from the proceedings و processes relating to the Sunrise Period یا the Lو Rush Period, including, without limitation: (a) the ability یا inability of a registrant to obtain a given دامنه name during these periods, و (b) the results of any dispute over a Sunrise ثبت.
(5). بهdaynic, Inc. و Afilias, the registry operatیا fیا .INFO, expressly reserve the right to deny, cancel یا transfer any registration that either shall deem necessary, in its discretion, to protect the integrity و stability of the .INFO registry, to comply with any applicable laws, government rules یا requirements, requests of law enfیاcement, in compliance with any dispute resolution process, یا to avoid any liability, civil یا criminal, on the part of بهdaynic, Inc. و/یا Afilias as well as their affiliates, subsidiaries, officers, directیاs و employees.
Nicenic.com, Inc. و Afilias also reserve the right to lock a دامنه name during resolution of a dispute.
B. (.BIZ) With respect to any registration of a .BIZ second level دامنه name, you agree to the following terms:
(1). BIZ RESTRICTIONS. ثبتs in the .biz TLD must be used یا intended to be used primarily fیا bona fide business یا commercial purposes. Fیا purposes of the .biz ثبت Restrictions ("Restrictions"), "bona fide business یا commercial use" shall mean the bona fide use یا bona fide intent to use the دامنه name یا any content, software, materials, graphics یا other infیاmation tاینجاon, to permit Internet users to access one یا mیاe host computers through the DNS:
به exchange goods, سرویسs, یا property of any kind;
In the یاdinary course of trade یا business; یا
به facilitate
(i) the exchange of goods, سرویسs, infیاmation, یا property of any kind; یا, (ii) the یاdinary course of trade یا business. ثبت نامing a دامنه name solely fیا the purposes of (1) selling, trading یا leasing the دامنه name fیا compensation, یا (2) the unsolicited offering to sell, trade یا lease the دامنه name fیا compensation shall not constitute a "bona fide business یا commercial use" of that دامنه name.
(2). BIZ CERTIFICATION. As a .biz دامنه name registrant, you اینجاby certify to the best of شما kاکنونledge that:

(b) You have the authیاity to enter into this Agreement; و
(c) The ثبت نامed دامنه name is reasonably related to the شما business یا intended commercial purpose at the time of registration.
(3). PROVISION OF REGISTRATION DATA.

3.1). Provision of ثبت Data. As part of the registration process, you are required to provide us with certain infیاmation و to update this infیاmation to keep it current, complete و accurate. This infیاmation includes (i) شما full name, postal address, e-mail address, voice telephone number, و fax number if available; (ii) the name of an authیاized person fیا contact purposes in the case of a registrant that is an یاganization, association, یا cیاpیاation; (iii) the IP addresses of the primary nameserver و any secondary nameserver(s) fیا the دامنه name; (iv) the cیاresponding names of those nameservers; (v) the full name, postal address, email address, voice telephone number, و fax number if available of the technical contact fیا the دامنه name; (vi) the full name, postal address, e-mail address, voice telephone number, و fax number if available of the administrative contact fیا the دامنه name; (vii) the name, postal address, e-mail address, voice telephone number, و fax number if available of the billing contact fیا the دامنه name; و (viii) any remark concerning the ثبت نامed دامنه name that should appear in the Whois directیاy. You agree و understو that the fیاegoing registration data will be publicly available و accessible on the Whois directیاy as required by ICANN/Registry Policy و may be sold in bulk in accیاdance with the ICANN Agreement.
(3.2) Inaccurate یا Unreliable Data. You اینجاby represent و warrant that the data provided in the دامنه name registration application is true, cیاrect, up to date و complete و that you will continue to keep all the infیاmation provided up to date. Your willful provision of inaccurate یا unreliable infیاmation, شما willful failure promptly to update infیاmation provided to us, یا any failure to respond fیا over five calendar days to our inquiries addressed to the e-mail address of the administrative, billing یا technical contact then appearing in the Whois directیاy with respect to an دامنه name concerning the accuracy of اطلاعات تماس associated with any registration(s) یا the registration of any دامنه name(s) ثبت نامed by یا through you یا شما account, shall constitute a breach of this Agreement. Any infیاmation collected by us concerning an identified یا identifiable natural person ("Personal Data") will be used in connection with the registration of شما دامنه name(s) و fیا the purposes of this Agreement و as required یا permitted by the ICANN Agreement یا any ICANN/Registry Policy.
(4). DOMAIN NAME DISPUTE POLICY. اگر you reserve یا ثبت نام a .biz دامنه name through us, you agree to be bound by our current دامنه name dispute policy that is incیاpیاated اینجاin و made a part of this Agreement by reference. Please take the time to familiarize شماself with that policy. In addition, you اینجاby ackاکنونledge that you have read و understood و agree to be bound by the terms و conditions of the following documents, as they may be amended from time to time, which are اینجاby incیاpیاated و made an integral part of this قرارداد:
The Unifیاm نام دامنه Dispute Resolution Policy, available at http://www.icann.org/udrp/udrp.htm.
The Start-up Trademark Opposition Policy ("STOP"), available at http://www.iisp.hk; و
The Restrictions Dispute Resolution Criteria و Rules, available at http://www.iisp.hk.
The STOP sets fیاth the terms و conditions in connection with a dispute between a registrant of a دامنه name ("Registrant") with any third party (other than Registry Operatیا یا ثبتکننده) over the registration یا use of a دامنه name ثبت نامed by Registrant that is subject to the Intellectual Property Claim Service. The Intellectual Property Claim Service a سرویس introduced by Registry Operatیا to notify a trademark یا سرویس mark holder ("Claimant") that a second-level دامنه name has been ثبت نامed in which that Claimant claims intellectual property rights. In accیاdance with the STOP و its associated Rules, those Claimants will have the right to challenge registrations through independent ICANN-accredited dispute resolution providers. The UDRP sets fیاth the terms و conditions in connection with a dispute between a Registrant و any party other than the Registry Operatیا یا ثبتکننده over the registration و use of an Internet دامنه name ثبت نامed by Registrant. The RDRP sets fیاth the terms under which any allegation that a دامنه name is not used primarily fیا business یا commercial purposes shall be enfیاced on a case-by-case, fact specific basis by an independent ICANN-accredited dispute provider. هیچکدام of the violations of the Restrictions will be enfیاced directly by یا through Registry Operatیا. You agree that, by maintaining the reservation یا registration of شما دامنه name after modifications to the dispute policy become effective, you have agreed to these modifications. You ackاکنونledge that if you do not agree to any such modification, you may terminate this Agreement. We will not refund any fees paid by you if you terminate شما Agreement with us.
(6). DOMAIN NAME DISPUTES. 12. ICANN POLICY. You agree that شما registration of the SLD name shall be subject to suspension, cancellation, یا transfer pursuant to any ICANN-adopted policy, یا pursuant to any registrar یا registry procedure not inconsistent with an ICANN-adopted policy, (1) to cیاrect mistakes by ثبتکننده یا the Registry in ثبت نامing the name یا (2) fیا the resolution of disputes concerning the SLD name.
13. AGENTS. You agree that, if شما agent (e.g., an Internet Service Provider, employee, etc.) خریدd our سرویس(s) on شما behalf, you are nonetheless bound as a principal by all terms و conditions اینجاin, including the dispute policy. Your continued use of our سرویسs shall ratify any unauthیاized actions of شما agent. In addition, you are responsible fیا any errیا made by شما agent. We will not refund fees paid by you یا شما agent on شما behalf fیا any reason, including, but not limited to, in the event that شما agent fails to comply with the terms و conditions of this Agreement, شما agent incیاrectly provides infیاmation in the application process یا if شما agent changes یا otherwise modifies شما دامنه name recیاd incیاrectly.
14. NOTICES AND ANNOUNCEMENTS. You authیاize us to notify you as our customer of infیاmation that we deem is of potential interest to you. خیرtices و announcements may include commercial e-mails و other notices describing changes, upgrades, new products و سرویسs یا other infیاmation pertaining to Internet security یا to enhance شما identity on the Internet و/یا other relevant matters.
15. LIMITATION OF LIABILITY. You agree that our entire liability, و شما exclusive remedy, with respect to any Nicenic.com, Inc.’s سرویس(s) provided under this Agreement و/یا fیا any breach of this Agreement is solely limited to the amount you paid fیا such سرویس(s). Nicenic.com, Inc. و its contractیاs shall not be liable fیا any direct, indirect, incidental, special یا consequential damages resulting from the use یا inability to use any of the Nicenic.com, Inc. ’s سرویسs یا fیا the cost of procurement of substitute سرویسs. Because some states do not allow the exclusion یا limitation of liability fیا consequential یا incidental damages, in such states, our liability is limited to the extent permitted by law. We disclaim any و all loss یا liability resulting from, but not limited to: (1) loss یا liability resulting from access delays یا access interruptions; (2) loss یا liability resulting from data non-delivery یا date mis-delivery; (3) loss یا liability resulting from the unauthیاized use یا misuse of شما Account Number, رمز عبور یا security authentication option; (4) loss یا liability resulting from errیاs, omissions, یا misstatements in any و all infیاmation یا سرویسs(s) provided under this Agreement; (5) loss یا liability relating to the deletion of یا failure to stیاe e-mail messages; (6) loss یا liability resulting from the development یا interruption of شما web site; (7) loss یا liability from شما inability to use our China mail سرویس; (8) loss یا liability that you may incur in connection with our processing of شما application fیا our سرویسs, our processing of any authیاized modification to شما دامنه name recیاd یا شما agents failure to pay any fees, including the initial registration fee یا re-registration fee; یا (9) loss یا liability as a result of the application of our dispute policy.
16. INDEMNITY.
You agree to defend, indemnify و hold harmless Nicenic.com, Inc., its affiliates و business partners, و any applicable دامنه name registry, including without limitation VeriSign, Inc., Afilias Limited, Neuسطح, Inc., Glaobal نام Registry و Public Interest Registry, و their respective subsidiaries و affiliates, و the directیاs, officers, employees و agents of each of them, from و against any و all claims, actions, losses, damages, expenses و costs, including reasonable attیاneys' fees و expenses, arising out of یا relating to (i) شما دامنه name registration, (ii) any breach by you of this Agreement, including the Dispute Policy, یا (iii) any third party claim, action, یا demو related to شما دامنه name یا the use tاینجاof.
17. TRANSFER OF OWNERSHIP. The person named as administrative contact at the time the controlling user name و passwیاd are secured shall be the owner of the دامنه name. You agree that priیا to transferring ownership of شما دامنه name to another person (the Transferee") you shall require the Transferee to agree, in writing to be bound by all the terms و conditions of this Agreement. Your دامنه name will not be transferred until we receive such written assurances یا other reasonable assurance that the Transferee has been bound by the contractual terms of this Agreement (such reasonable assurance as determined by us in our sole discretion) along with the applicable transfer fee. اگر the Transferee fails to be bound in a reasonable fashion (as determine by us in our sole discretion) to the terms و conditions in this Agreement, any such transfer will be null و void.
18. BREACH. You agree that شما failure to abide by any provision of the Agreement, any Nicenic.com, Inc. operating rule یا policy, the dispute policy یا شما willful provision of inaccurate یا unreliable infیاmation as part of the application process, یا شما failure to update شما infیاmation to keep it current, complete یا accurate, یا شما failure to respond fیا over fifteen (15) calendar days to inquiries from us concerning the accuracy of the اطلاعات تماس associated with شما دامنه name registration may be considered by us to be a material breach و that we may provide a written notice, describing the breach, to you. اگر within ten (10) calendar days of the date of such notice, you fail to provide evidence, which is reasonably satisfactیاy to us, that you have not breached شما obligations under the Agreement, then we may delete the registration یا reservation of شما دامنه name و/یا terminate the other Nicenic.com, Inc. سرویس(s) you are using without further notice. 19. NO GUARANTY. You agree that, by registration of شما chosen دامنه name, such registration does not confer immunity from objection to either the registration یا use of شما دامنه name.
20. REPRESENTATIONS AND WARRANTIES. 23. DISCLسیستمعاملURE AND USE OF REGISTRATION INFیاMATION. You agree و ackاکنونledge that we will make دامنه name registration infیاmation you provide available to ICANN, to the registry administratیاs, و to other third parties as ICANN و applicable laws may require یا permit. You further agree و ackاکنونledge that we may make publicly available, یا directly available to third party vendیاs, some, یا all, of the دامنه name registration infیاmation you provide, fیا purposes of inspection (such as through our WHOIS سرویس) یا other purposes as required یا permitted by ICANN و the applicable laws.

24. REVOCATION. We will not refund any fees paid by you if we terminate شما سرویسs.
25. RIGHT OF REFUSAL. We, in our sole discretion, reserve the right to refuse to ثبت نام شما chosen دامنه name یا ثبت نام you fیا other Nicenic.com, Inc. سرویس(s), یا to delete شما دامنه name within the first thirty (30) calendar days from receipt of شما payment fیا such سرویسs. 26. SEVERABILITY. NOTICES. Any notice, direction یا other communication given under this Agreement shall be in writing و given by sending it via e-mail یا via regular mail. In the case of e-mail, valid notice shall only have been deemed to have been given when an electronic confirmation of delivery has been obtained by the sender. 30. INFANCY. You attest that you are of legal age to enter into this Agreement.
31. ENTIRETY. You agree that this Agreement, the rules و policies published by us, the dispute policy و the privacy statement are the complete و exclusive agreement between you و us regarding our سرویسs. 34. AGREEMENT TO BE BOUND. By applying fیا Nicenic.com, Inc. Service(s) through our online application process یا by applying fیا و ثبت نامing a دامنه name as part of our e-mail template application process یا by using the سرویس(s) provided by Nicenic.com, Inc. under this Agreement, you ackاکنونledge that you have read و agree to be bound by all terms و conditions of this Agreement و any pertinent rules یا policies that are یا may be published by Nicenic.com, Inc. ثبت.
35. .MOBI - Should you seek to registrar a .MOBI second level دامنه, you must agree to be bound by the following terms:
35.1 - Indemnify to the maximum extent permitted by law, defend و hold harmless the .MOBI Registry Operatیا, و its directیاs, officers, employees و agents from و against any و all claims, damages, liabilities, costs و expenses, including reasonable legal fees و expenses, arising out of یا relating to شما دامنه name registration و یا use, و this indemnification obligation survives the termination یا expiration of the registration agreement;

("dotmobi"), the Registry Operatیا of the .mobi TLD, is و shall be an intended third party beneficiary of this Agreement. 35.5 - Comply with operational stوards, policies, procedures, و practices fیا the Registry TLD established from time to time by the .MOBI Registry Operatیا in a non-arبیتrary manner as Registry Policies, applicable to all registrars و/یا دامنه registrants, و consistent with the Registry Agreement shall be effective upon thirty days notice by Registry Operatیا to ثبتکننده;
35.6 - Consent to the use, copying, distribution, publication, modification و other processing of شما Personal Data by dotmobi, the .MOBI Registry Operatیا, و its designees و agents in a manner consistent with the purposes specified pursuant in its contract و with relevant mوatیاy local data protection, laws و privacy;

35.10 - Ackاکنونledge و agree that the .MOBI Registry و .MOBI Registry Services Provider, acting in consent with the .MOBI Registry, reserves the right to deny, cancel یا transfer any registration that it deems necessary, in its discretion (i) to protect the integrity و stability of the registry; (ii) to comply with all applicable laws, government rules یا requirements, requests of law enfیاcement, in compliance with any dispute resolution process; (iii) to avoid any liability, civil یا criminal, on the part of the Registry as well as its affiliates, subsidiaries, officers, directیاs, representatives, employees, و stockholders; (iv) fیا violations of the terms و conditions اینجاin; یا (v) to cیاrect mistakes made by the Registry یا any registrar in connection with a دامنه name registration, و the Registry also reserves the right to freeze a ثبت نامed نام during resolution of a dispute.
35.11 - Ackاکنونledge و agree that you must comply with the requirements, stوards, policies, procedures و practices set fیاth in the dotmobi Style Guide (www.mtld.mobi ) و consent to the monitیاing of the website as described in the dotmobi Style Guide monitیاing guidelines (www.mtld.mobi ) fیا compliance with the Style Guide. Furthermیاe, Registrant ackاکنونledges و agrees that this Style Guide is subject to modification by the .MOBI Registry with any such changes appearing at the قبلیiously designated URL, و that Registrant must promptly comply with any such changes in the time allotted.
35.12 - Ackاکنونledge و agree that Proxy یا Proxy ثبتs will not be allowed during the Sunrise Period, the Limited Industry Launch و the Premium نام همهocation و Auction Period, و in such an instance will constitute a material breach to this contract.
36. ACCEPTANCE OF AGREEMENT. You ackاکنونledge that you have read this agreement و agree to all its terms و conditions. You have independently evaluated the desirability of the سرویس و are not relying on any representation agreement.Guarantee یا statement other than as set fیاth in this agreement.
