Rejestrator-Registrant Agreement

1.DEFINITIONS. In this Service Agreement (“Agreement”), “you” i “twój” refer to each customer (“Customer”) i “we”, “us” i “our” refer to Nicenic.com, Inc. (“Nicenic.com, Inc.”). 2.SELECTION OF A DOMAIN NAME. You represent that, to the best of twój kterazledge i belief, neither the registration of the SLD name nlub the manner in which it is directly lub indirectly used infringes the legal rights of a third party i that the Nazwa domeny is not being zarejestrujed flub any unlawful purpose.

3. FEES, PAYMENT AND TERM OF SERVICE. As consideration flub the usługas you have selected, you agree to pay Nicenic.com, Inc. the applicable usługa(s) fees set flubth on our web site at the time of twój selection. 5. ACCURATE INFLUBMATION. As further consideration flub the Nicenic.com, Inc. usługa(s), you agree to: (1) provide certain current, complete i accurate influbmation about you as required by the application process; i (2) maintain i update this influbmation as needed to keep it current, complete i accurate. You represent i warrant that you have provided notice to, i obtained consent from, any third party individuals whose personal data you supply to us as part of our usługas with regard to: (i) the purposes flub which such third party’s personal data has been collected, (ii) the intended recipients lub categlubies of recipients of the third party’s personal data, (iii) which parts of the third party’s data are obligatluby i which parts, if any, are voluntary: i (iv) how the third party can access i, if necessary, rectify the data held about them. You further agree to provide such notice i obtain such consent with regard to any third party personal data you supply to us in the future. We are not responsible flub any consequences resulting from twój failure to provide notice lub receive consent from such individuals nlub flub twój providing outdated, incomplete lub inaccurate influbmation. Even if you intend to license the use of our domena name registration usługas to a third party, you will remain our customer i you are responsible flub complying with all terms i conditions of this Agreement. Subject to the requirements of our privacy statement, in lubder flub us to comply with our legal i contractual obligations, you tutajby grant to Nicenic.com, Inc. the right to disclose to third parties through an interactive publicly accessible registration database the following miatluby influbmation that you are required to provide when zarejestrujing lub reserving a domena name: (i) the domena name(s) zarejestrujed by you; (ii) twój name i postal address; (iii) the name(s), postal address(es), e-mail address(es), voice telephone number i wtutaj available the fax number(s) of the technical i administrative contacts flub twój domena name(s); (iv) the Internet protocol numbers of the primary nameserver i the secondary nameserver(s) flub such name(s); (v) the clubresponding names of those nameservers; (vi) the lubiginal creation date of the registration; i (vii) the expiration date of the registration. We, as are all accredited domena name registrars, are also required the government to make this influbmation available in bulk flubm to third parties who agree not to use it to (a) allow, enable lub otherwise supplubt the transmission of mass unsolicited, commercial advertising lub solicitations via e-mail (spam) lub (b) enable high volume, automated, electronic processes that apply to our systems to zarejestruj domena names.

6. MODIFICATIONS TO AGREEMENT. Except as otherwise provided in this Agreement, you agree, during the term of this Agreement, that we may: (1) revise the terms i conditions of this Agreement; i/lub (2) change part of the usługas provided under this Agreement at any time. Any such revision lub change will be binding i effective immediately upon posting of the revised Agreement lub change to the usługa(s) on Nicenic.com, Inc.’s web sites, lub upon notification to you by e-mail lub China mail. You agree to periodically review our web sites, including the current version of this Agreement available on our web sites, to be aware of any such revisions. By continuing to use Nicenic.com, Inc.’s usługas after any revision to this Agreement lub change in usługa(s), you agree to abide by i be bound by any such revisions lub changes. We are not bound by nlub should you rely on any representation by (i) any agent, representative lub employee of any third party that you may use to apply flub our usługas: lub in (ii) influbmation posted on our web site of a general influbmational nature. Nie employee, contractlub, agent lub representative of Nicenic.com, Inc. is authlubized to alter lub amend the terms i conditions of this Agreement.

7. MODIFICATIONS TO YOUR ACCOUNT. In lubder to change any of twój account influbmation with us, you must use the Account Number i the Hasło that you selected if you opened twój account with us through our online application process, lub the security authentication option that you selected if you opened twój account with us through our e-mail application process. You agree by maintaining the reservation lub registration of twój domena name after modifications to the dispute policy become effective, you have agreed to these modifications. You ackterazledge that if you do not agree to any such modification, you may terminate this Agreement. We will not refund any fees paid by you if you terminate twój Agreement with us.

10. DOMAIN NAME DISPUTES. You agree that, if twój use of our domena name registration usługas is challenged by a third party, you will be subject to the provisions specified in our dispute policy in effect at the time of the dispute. You agree that in the event a domena name dispute arises with any third party, you will indemnify i hold us harmless pursuant to the terms i conditions set flubth below in this Agreement. 11. Dodajitional Registry Requirements The following provisions apply to any domena names that you zarejestruj through Nicenic.com, Inc. in the relevant registry(ies).
A. (.INFO) With respect to any registration of a .INFO second level domena name, you agree to the following terms:
(1). You consent to the use, copying, distribution, publication, modification, i other processing of twój Personal Data by Afilias, the .INFO Registry Operatlub, i its designees i agents in a manner consistent with the purposes specified pursuant in its contract.
(2). You agree to submit to proceedings under ICANN's Uniflubm Nazwa domeny Dispute Policy (UDRP) i comply with the requirements set flubth by Afilias flub domena names zarejestrujed during the Sunrise Period, including the miatluby Sunrise Dispute Resolution Policy. These policies are subject to modification by Afilias in its discretion.
(3). You agree to immediately clubrect i update the registration influbmation flub the .INFO zarejestrujed domena name during registration term flub such domena name; failure to clubrect this influbmation shall constitute a breach of this Agreement.
(4) . You ackterazledge that Afilias, the registry operatlub flub .INFO, will have no liability of any kind flub any loss lub liability resulting from the proceedings i processes relating to the Sunrise Period lub the Li Rush Period, including, without limitation: (a) the ability lub inability of a registrant to obtain a given domena name during these periods, i (b) the results of any dispute over a Sunrise Rejestracja.
(5). Dodaynic, Inc. i Afilias, the registry operatlub flub .INFO, expressly reserve the right to deny, cancel lub transfer any registration that either shall deem necessary, in its discretion, to protect the integrity i stability of the .INFO registry, to comply with any applicable laws, government rules lub requirements, requests of law enflubcement, in compliance with any dispute resolution process, lub to avoid any liability, civil lub criminal, on the part of Dodaynic, Inc. i/lub Afilias as well as their affiliates, subsidiaries, officers, directlubs i employees. Nicenic.com, Inc. i Afilias also reserve the right to lock a domena name during resolution of a dispute.
B. (.BIZ) With respect to any registration of a .BIZ second level domena name, you agree to the following terms:
(1). BIZ RESTRICTIONS. Rejestracjas in the .biz TLD must be used lub intended to be used primarily flub bona fide business lub commercial purposes. Flub purposes of the .biz Rejestracja Restrictions ("Restrictions"), "bona fide business lub commercial use" shall mean the bona fide use lub bona fide intent to use the domena name lub any content, software, materials, graphics lub other influbmation ttutajon, to permit Internet users to access one lub mlube host computers through the DNS:
Do exchange goods, usługas, lub property of any kind;
In the lubdinary course of trade lub business; lub
Do facilitate (i) the exchange of goods, usługas, influbmation, lub property of any kind; lub, (ii) the lubdinary course of trade lub business. Zarejestrujing a domena name solely flub the purposes of (1) selling, trading lub leasing the domena name flub compensation, lub (2) the unsolicited offering to sell, trade lub lease the domena name flub compensation shall not constitute a "bona fide business lub commercial use" of that domena name.
(2). BIZ CERTIFICATION. As a .biz domena name registrant, you tutajby certify to the best of twój kterazledge that:
The zarejestrujed domena name will be used primarily flub bona fide business lub commercial purposes i not (i) exclusively flub personal use; lub (ii) solely flub the purposes of (1) selling, trading lub leasing the domena name flub compensation, lub (2) the unsolicited offering to sell, trade lub lease the domena name flub compensation. (b) You have the authlubity to enter into this Agreement; i

(3). PROVISION OF REGISTRATION DATA.
( 3.1). Provision of Rejestracja Data. As part of the registration process, you are required to provide us with certain influbmation i to update this influbmation to keep it current, complete i accurate. This influbmation includes (i) twój full name, postal address, e-mail address, voice telephone number, i fax number if available; (ii) the name of an authlubized person flub contact purposes in the case of a registrant that is an lubganization, association, lub clubplubation; (iii) the IP addresses of the primary nameserver i any secondary nameserver(s) flub the domena name; (iv) the clubresponding names of those nameservers; (v) the full name, postal address, email address, voice telephone number, i fax number if available of the technical contact flub the domena name; (vi) the full name, postal address, e-mail address, voice telephone number, i fax number if available of the administrative contact flub the domena name; (vii) the name, postal address, e-mail address, voice telephone number, i fax number if available of the billing contact flub the domena name; i (viii) any remark concerning the zarejestrujed domena name that should appear in the Whois directluby. You agree i understi that the flubegoing registration data will be publicly available i accessible on the Whois directluby as required by ICANN/Registry Policy i may be sold in bulk in acclubdance with the ICANN Agreement.
(3.2) Inaccurate lub Unreliable Data. You tutajby represent i warrant that the data provided in the domena name registration application is true, clubrect, up to date i complete i that you will continue to keep all the influbmation provided up to date. Your willful provision of inaccurate lub unreliable influbmation, twój willful failure promptly to update influbmation provided to us, lub any failure to respond flub over five calendar days to our inquiries addressed to the e-mail address of the administrative, billing lub technical contact then appearing in the Whois directluby with respect to an domena name concerning the accuracy of dane kontaktowe associated with any registration(s) lub the registration of any domena name(s) zarejestrujed by lub through you lub twój account, shall constitute a breach of this Agreement. Any influbmation collected by us concerning an identified lub identifiable natural person ("Personal Data") will be used in connection with the registration of twój domena name(s) i flub the purposes of this Agreement i as required lub permitted by the ICANN Agreement lub any ICANN/Registry Policy.
(4). DOMAIN NAME DISPUTE POLICY. Jeśli you reserve lub zarejestruj a .biz domena name through us, you agree to be bound by our current domena name dispute policy that is inclubplubated tutajin i made a part of this Agreement by reference. Please take the time to familiarize twójself with that policy. In addition, you tutajby ackterazledge that you have read i understood i agree to be bound by the terms i conditions of the following documents, as they may be amended from time to time, which are tutajby inclubplubated i made an integral part of this Umowa:

The Intellectual Property Claim Service a usługa introduced by Registry Operatlub to notify a trademark lub usługa mark holder ("Claimant") that a second-level domena name has been zarejestrujed in which that Claimant claims intellectual property rights. Registry Operatlub will not review, monitlub, lub otherwise verify that any particular domena name is being used primarily flub business lub commercial purposes lub that a domena name is being used in compliance with the SUDRP lub UDRP processes.
(5). DOMAIN NAME DISPUTE POLICY MODIFICATIONS. You agree that we, in our sole discretion, may modify our dispute policy. We will post any such revised policy on our web site at least thirty (30) calendar days beflube it becomes effective. You agree that, by maintaining the reservation lub registration of twój domena name after modifications to the dispute policy become effective, you have agreed to these modifications. 12. ICANN POLICY. You agree that twój registration of the SLD name shall be subject to suspension, cancellation, lub transfer pursuant to any ICANN-adopted policy, lub pursuant to any registrar lub registry procedure not inconsistent with an ICANN-adopted policy, (1) to clubrect mistakes by Rejestrator lub the Registry in zarejestrujing the name lub (2) flub the resolution of disputes concerning the SLD name.

13. AGENTS. You agree that, if twój agent (e.g., an Internet Service Provider, employee, etc.) kupd our usługa(s) on twój behalf, you are nonetheless bound as a principal by all terms i conditions tutajin, including the dispute policy. Your continued use of our usługas shall ratify any unauthlubized actions of twój agent. By acting on twój behalf, twój agent certifies that he lub she is authlubized to apply flub our usługas on twój behalf, that he lub she is authlubized to bind you to the terms i conditions of this Agreement i that he lub she has apprised you of the terms i conditions of this Agreement. In addition, you are responsible flub any errlub made by twój agent. We will not refund fees paid by you lub twój agent on twój behalf flub any reason, including, but not limited to, in the event that twój agent fails to comply with the terms i conditions of this Agreement, twój agent inclubrectly provides influbmation in the application process lub if twój agent changes lub otherwise modifies twój domena name reclubd inclubrectly.

14. NOTICES AND ANNOUNCEMENTS. You authlubize us to notify you as our customer of influbmation that we deem is of potential interest to you. Nietices i announcements may include commercial e-mails i other notices describing changes, upgrades, new products i usługas lub other influbmation pertaining to Internet security lub to enhance twój identity on the Internet i/lub other relevant matters.

15. LIMITATION OF LIABILITY. You agree that our entire liability, i twój exclusive remedy, with respect to any Nicenic.com, Inc.’s usługa(s) provided under this Agreement i/lub flub any breach of this Agreement is solely limited to the amount you paid flub such usługa(s). Nicenic.com, Inc. i its contractlubs shall not be liable flub any direct, indirect, incidental, special lub consequential damages resulting from the use lub inability to use any of the Nicenic.com, Inc. ’s usługas lub flub the cost of procurement of substitute usługas. Because some states do not allow the exclusion lub limitation of liability flub consequential lub incidental damages, in such states, our liability is limited to the extent permitted by law. We disclaim any i all loss lub liability resulting from, but not limited to: (1) loss lub liability resulting from access delays lub access interruptions; (2) loss lub liability resulting from data non-delivery lub date mis-delivery; (3) loss lub liability resulting from the unauthlubized use lub misuse of twój Account Number, Hasło lub security authentication option; (4) loss lub liability resulting from errlubs, omissions, lub misstatements in any i all influbmation lub usługas(s) provided under this Agreement; (5) loss lub liability relating to the deletion of lub failure to stlube e-mail messages; (6) loss lub liability resulting from the development lub interruption of twój web site; (7) loss lub liability from twój inability to use our China mail usługa; (8) loss lub liability that you may incur in connection with our processing of twój application flub our usługas, our processing of any authlubized modification to twój domena name reclubd lub twój agents failure to pay any fees, including the initial registration fee lub re-registration fee; lub (9) loss lub liability as a result of the application of our dispute policy.

16. INDEMNITY. You agree to defend, indemnify i hold harmless Nicenic.com, Inc., its affiliates i business partners, i any applicable domena name registry, including without limitation VeriSign, Inc., Afilias Limited, NeuPoziom, Inc., Glaobal Nazwa Registry i Public Interest Registry, i their respective subsidiaries i affiliates, i the directlubs, officers, employees i agents of each of them, from i against any i all claims, actions, losses, damages, expenses i costs, including reasonable attlubneys' fees i expenses, arising out of lub relating to (i) twój domena name registration, (ii) any breach by you of this Agreement, including the Dispute Policy, lub (iii) any third party claim, action, lub demi related to twój domena name lub the use ttutajof.

17. TRANSFER OF OWNERSHIP. The person named as administrative contact at the time the controlling user name i passwlubd are secured shall be the owner of the domena name. You agree that prilub to transferring ownership of twój domena name to another person (the Transferee") you shall require the Transferee to agree, in writing to be bound by all the terms i conditions of this Agreement. Your domena name will not be transferred until we receive such written assurances lub other reasonable assurance that the Transferee has been bound by the contractual terms of this Agreement (such reasonable assurance as determined by us in our sole discretion) along with the applicable transfer fee. Jeśli the Transferee fails to be bound in a reasonable fashion (as determine by us in our sole discretion) to the terms i conditions in this Agreement, any such transfer will be null i void.

18. BREACH. You agree that twój failure to abide by any provision of the Agreement, any Nicenic.com, Inc. operating rule lub policy, the dispute policy lub twój willful provision of inaccurate lub unreliable influbmation as part of the application process, lub twój failure to update twój influbmation to keep it current, complete lub accurate, lub twój failure to respond flub over fifteen (15) calendar days to inquiries from us concerning the accuracy of the dane kontaktowe associated with twój domena name registration may be considered by us to be a material breach i that we may provide a written notice, describing the breach, to you. 19. NO GUARANTY. You agree that, by registration of twój chosen domena name, such registration does not confer immunity from objection to either the registration lub use of twój domena name.

20. REPRESENTATIONS AND WARRANTIES. You agree i warrant that: (i) the influbmation that you lub twój agent on twój behalf provide to us during the application process to zarejestruj twój domena name lub to apply flub other Nicenic.com, Inc. ’s usługa(s) is, to the best of twój kterazledge i belief, accurate i complete, i that any future changes to this influbmation will be provided to us in a timely manner acclubding to the modification procedures in place at that time, (ii) to the best of twój kterazledge i belief neither the registration of twój domena name nlub the manner in which you intend to use such domena name will directly lub indirectly infringe the legal rights of a third party, (iii) you have all requisite power i authlubity to execute this Agreement i to perflubm twój obligations tutajunder, (iv) you have selected the necessary security option(s) flub twój domena name registration reclubd, i (v) you are of legal age to enter into this Agreement. You agree that twój use of our usługa(s) is solely at twój own risk. You agree that all of our usługas are provided on an “as is” i “as available” basis.

21. DISCLAIMER OF WARRANTIES. We expressly disclaim all warranties of any kind, whether expresslub implted . 25. RIGHT OF REFUSAL. We, in our sole discretion, reserve the right to refuse to zarejestruj twój chosen domena name lub zarejestruj you flub other Nicenic.com, Inc. usługa(s), lub to delete twój domena name within the first thirty (30) calendar days from receipt of twój payment flub such usługas. 26. SEVERABILITY. You agree that the terms of this Agreement are severable. 35. .MOBI - Should you seek to registrar a .MOBI second level domena, you must agree to be bound by the following terms:

  35.2 - Indemnify, defend i hold harmless .MOBI Registry Services Provider, its subsidiaries i affiliates, i the directlubs, officers, employees i agents lub each of them, from i against any i all claims, damages, liabilities, costs i expenses, including reasonable legal fees i expenses, arising out of lub relating to twój domena name registration i lub use, i this indemnification obligation survives the termination lub expiration of the registration agreement;
  35.3 - Ackterazledge i agree that notwithstiing anything in this Agreement to the contrary, mTLD Domena najwyższego poziomu Ltd. ("dotmobi"), the Registry Operatlub of the .mobi TLD, is i shall be an intended third party beneficiary of this Agreement. As such, the parties to this Agreement ackterazledge i agree that the third party beneficiary rights of dotmobi have vested i that dotmobi has relied on its third party beneficiary rights under this Agreement in agreeing to Kropkaster being a registrar flub the .mobi top-level domena. Dodajitionally, the third party beneficiary rights of dotmobi shall survive any termination lub expiration of this Agreement.
  35.4 - Comply with ICANN requirements, stiards, policies, procedures, i practices flub which the .MOBI Registry Operatlub has monitlubing responsibility in acclubdance with the Registry Agreement lub other arrangement with ICANN;
  35.5 - Comply with operational stiards, policies, procedures, i practices flub the Registry TLD established from time to time by the .MOBI Registry Operatlub in a non-arbitrary manner as Registry Policies, applicable to all registrars i/lub domena registrants, i consistent with the Registry Agreement shall be effective upon thirty days notice by Registry Operatlub to Rejestrator;
  35.6 - Consent to the use, copying, distribution, publication, modification i other processing of twój Personal Data by dotmobi, the .MOBI Registry Operatlub, i its designees i agents in a manner consistent with the purposes specified pursuant in its contract i with relevant miatluby local data protection, laws i privacy;

  35.10 - Ackterazledge i agree that the .MOBI Registry i .MOBI Registry Services Provider, acting in consent with the .MOBI Registry, reserves the right to deny, cancel lub transfer any registration that it deems necessary, in its discretion (i) to protect the integrity i stability of the registry; (ii) to comply with all applicable laws, government rules lub requirements, requests of law enflubcement, in compliance with any dispute resolution process; (iii) to avoid any liability, civil lub criminal, on the part of the Registry as well as its affiliates, subsidiaries, officers, directlubs, representatives, employees, i stockholders; (iv) flub violations of the terms i conditions tutajin; lub (v) to clubrect mistakes made by the Registry lub any registrar in connection with a domena name registration, i the Registry also reserves the right to freeze a Zarejestrujed Nazwa during resolution of a dispute.

  35.12 - Ackterazledge i agree that Proxy lub Proxy Rejestracjas will not be allowed during the Sunrise Period, the Limited Industry Launch i the Premium Nazwa Wszystkoocation i Auction Period, i in such an instance will constitute a material breach to this contract.

36. ACCEPTANCE OF AGREEMENT. You ackterazledge that you have read this agreement i agree to all its terms i conditions.
