Registrar-Registrant Agreement

1.DEFINITIONS. In this Service Agreement (“Agreement”), “you” și “tău” refer to each customer (“Customer”) și “we”, “us” și “our” refer to Nicenic.com, Inc. (“Nicenic.com, Inc.”). 3. FEES, PAYMENT AND TERM OF SERVICE. 5. ACCURATE INFSAUMATION. As further consideration fsau the Nicenic.com, Inc. serviciu(s), you agree to: (1) provide certain current, complete și accurate infsaumation about you as required by the application process; și (2) maintain și update this infsaumation as needed to keep it current, complete și accurate. We rely on this infsaumation to send you impsautant infsaumation și notices regarding tău account și our servicius. We will not process the personal date that we collect from you in a way incompatible with the purposes și other limitations described in our privacy statement și we will take reasonable precautions to protect tău personal date from loss, misuse și unauthsauized access, disclosure, alteration sau destruction. You represent și warrant that you have provided notice to, și obtained consent from, any third party individuals whose personal data you supply to us as part of our servicius with regard to: (i) the purposes fsau which such third party’s personal data has been collected, (ii) the intended recipients sau categsauies of recipients of the third party’s personal data, (iii) which parts of the third party’s data are obligatsauy și which parts, if any, are voluntary: și (iv) how the third party can access și, if necessary, rectify the data held about them. You further agree to provide such notice și obtain such consent with regard to any third party personal data you supply to us in the future. We are not responsible fsau any consequences resulting from tău failure to provide notice sau receive consent from such individuals nsau fsau tău providing outdated, incomplete sau inaccurate infsaumation. Even if you intend to license the use of our domeniu name registration servicius to a third party, you will remain our customer și you are responsible fsau complying with all terms și conditions of this Agreement. Subject to the requirements of our privacy statement, in sauder fsau us to comply with our legal și contractual obligations, you aiciby grant to Nicenic.com, Inc. the right to disclose to third parties through an interactive publicly accessible registration database the following mșiatsauy infsaumation that you are required to provide when înregistreazăing sau reserving a domeniu name: (i) the domeniu name(s) înregistreazăed by you; (ii) tău name și postal address; (iii) the name(s), postal address(es), e-mail address(es), voice telephone number și waici available the fax number(s) of the technical și administrative contacts fsau tău domeniu name(s); (iv) the Internet protocol numbers of the primary nameserver și the secondary nameserver(s) fsau such name(s); (v) the csauresponding names of those nameservers; (vi) the sauiginal creation date of the registration; și (vii) the expiration date of the registration. We, as are all accredited domeniu name registrars, are also required the government to make this infsaumation available in bulk fsaum to third parties who agree not to use it to (a) allow, enable sau otherwise suppsaut the transmission of mass unsolicited, commercial advertising sau solicitations via e-mail (spam) sau (b) enable high volume, automated, electronic processes that apply to our systems to înregistrează domeniu names.

6. MODIFICATIONS TO AGREEMENT. We are not bound by nsau should you rely on any representation by (i) any agent, representative sau employee of any third party that you may use to apply fsau our servicius: sau in (ii) infsaumation posted on our web site of a general infsaumational nature. Nu employee, contractsau, agent sau representative of Nicenic.com, Inc. is authsauized to alter sau amend the terms și conditions of this Agreement.

7. MODIFICATIONS TO YOUR ACCOUNT. In sauder to change any of tău account infsaumation with us, you must use the Account Number și the Parolă that you selected if you opened tău account with us through our online application process, sau the security authentication option that you selected if you opened tău account with us through our e-mail application process. 9. DOMAIN NAME DISPUTE POLICY MODIFICATIONS. You agree that we, in our sole discretion, may modify our dispute policy. We will post any such revised policy on our web site at least thirty (30) calendar days befsaue it becomes effective. You agree by maintaining the reservation sau registration of tău domeniu name after modifications to the dispute policy become effective, you have agreed to these modifications. You ackacumledge that if you do not agree to any such modification, you may terminate this Agreement. We will not refund any fees paid by you if you terminate tău Agreement with us.

10. DOMAIN NAME DISPUTES. You agree that, if tău use of our domeniu name registration servicius is challenged by a third party, you will be subject to the provisions specified in our dispute policy in effect at the time of the dispute. You agree that in the event a domeniu name dispute arises with any third party, you will indemnify și hold us harmless pursuant to the terms și conditions set fsauth below in this Agreement. Dacă we are notified that a complaint has been filed with a judicial sau administrative body regarding tău use of our domeniu name registration servicius, you agree not to make any changes to tău domeniu name recsaud without our prisau approval. 11. Adaugăitional Registry Requirements The following provisions apply to any domeniu names that you înregistrează through Nicenic.com, Inc. in the relevant registry(ies).
A. (.INFO) With respect to any registration of a .INFO second level domeniu name, you agree to the following terms:
(1). You consent to the use, copying, distribution, publication, modification, și other processing of tău Personal Data by Afilias, the .INFO Registry Operatsau, și its designees și agents in a manner consistent with the purposes specified pursuant in its contract.
(2). You agree to submit to proceedings under ICANN's Unifsaum Nume de domeniu Dispute Policy (UDRP) și comply with the requirements set fsauth by Afilias fsau domeniu names înregistreazăed during the Sunrise Period, including the mșiatsauy Sunrise Dispute Resolution Policy. These policies are subject to modification by Afilias in its discretion.

(4) . You ackacumledge that Afilias, the registry operatsau fsau .INFO, will have no liability of any kind fsau any loss sau liability resulting from the proceedings și processes relating to the Sunrise Period sau the Lși Rush Period, including, without limitation: (a) the ability sau inability of a registrant to obtain a given domeniu name during these periods, și (b) the results of any dispute over a Sunrise Înregistrare.
(5). Pentrudaynic, Inc. și Afilias, the registry operatsau fsau .INFO, expressly reserve the right to deny, cancel sau transfer any registration that either shall deem necessary, in its discretion, to protect the integrity și stability of the .INFO registry, to comply with any applicable laws, government rules sau requirements, requests of law enfsaucement, in compliance with any dispute resolution process, sau to avoid any liability, civil sau criminal, on the part of Pentrudaynic, Inc. și/sau Afilias as well as their affiliates, subsidiaries, officers, directsaus și employees. Nicenic.com, Inc. și Afilias also reserve the right to lock a domeniu name during resolution of a dispute.
B. (.BIZ) With respect to any registration of a .BIZ second level domeniu name, you agree to the following terms:
(1). BIZ RESTRICTIONS. Înregistrares in the .biz TLD must be used sau intended to be used primarily fsau bona fide business sau commercial purposes. Fsau purposes of the .biz Înregistrare Restrictions ("Restrictions"), "bona fide business sau commercial use" shall mean the bona fide use sau bona fide intent to use the domeniu name sau any content, software, materials, graphics sau other infsaumation taicion, to permit Internet users to access one sau msaue host computers through the DNS:
Pentru exchange goods, servicius, sau property of any kind;
In the saudinary course of trade sau business; sau
Pentru facilitate (i) the exchange of goods, servicius, infsaumation, sau property of any kind; sau, (ii) the saudinary course of trade sau business. (2). BIZ CERTIFICATION. As a .biz domeniu name registrant, you aiciby certify to the best of tău kacumledge that:

(b) You have the authsauity to enter into this Agreement; și

(3). PROVISION OF REGISTRATION DATA.
( 3.1). Provision of Înregistrare Data. As part of the registration process, you are required to provide us with certain infsaumation și to update this infsaumation to keep it current, complete și accurate. This infsaumation includes (i) tău full name, postal address, e-mail address, voice telephone number, și fax number if available; (ii) the name of an authsauized person fsau contact purposes in the case of a registrant that is an sauganization, association, sau csaupsauation; (iii) the IP addresses of the primary nameserver și any secondary nameserver(s) fsau the domeniu name; (iv) the csauresponding names of those nameservers; (v) the full name, postal address, email address, voice telephone number, și fax number if available of the technical contact fsau the domeniu name; (vi) the full name, postal address, e-mail address, voice telephone number, și fax number if available of the administrative contact fsau the domeniu name; (vii) the name, postal address, e-mail address, voice telephone number, și fax number if available of the billing contact fsau the domeniu name; și (viii) any remark concerning the înregistreazăed domeniu name that should appear in the Whois directsauy. You agree și understși that the fsauegoing registration data will be publicly available și accessible on the Whois directsauy as required by ICANN/Registry Policy și may be sold in bulk in accsaudance with the ICANN Agreement.
(3.2) Inaccurate sau Unreliable Data. You aiciby represent și warrant that the data provided in the domeniu name registration application is true, csaurect, up to date și complete și that you will continue to keep all the infsaumation provided up to date. Your willful provision of inaccurate sau unreliable infsaumation, tău willful failure promptly to update infsaumation provided to us, sau any failure to respond fsau over five calendar days to our inquiries addressed to the e-mail address of the administrative, billing sau technical contact then appearing in the Whois directsauy with respect to an domeniu name concerning the accuracy of date de contact associated with any registration(s) sau the registration of any domeniu name(s) înregistreazăed by sau through you sau tău account, shall constitute a breach of this Agreement. Any infsaumation collected by us concerning an identified sau identifiable natural person ("Personal Data") will be used in connection with the registration of tău domeniu name(s) și fsau the purposes of this Agreement și as required sau permitted by the ICANN Agreement sau any ICANN/Registry Policy.
(4). DOMAIN NAME DISPUTE POLICY. Dacă you reserve sau înregistrează a .biz domeniu name through us, you agree to be bound by our current domeniu name dispute policy that is incsaupsauated aiciin și made a part of this Agreement by reference. Please take the time to familiarize tăuself with that policy. In addition, you aiciby ackacumledge that you have read și understood și agree to be bound by the terms și conditions of the following documents, as they may be amended from time to time, which are aiciby incsaupsauated și made an integral part of this Acord:
The Unifsaum Nume de domeniu Dispute Resolution Policy, available at http://www.icann.org/udrp/udrp.htm.
The Start-up Trademark Opposition Policy ("STOP"), available at http://www.iisp.hk; și
The Restrictions Dispute Resolution Criteria și Rules, available at http://www.iisp.hk.
The STOP sets fsauth the terms și conditions in connection with a dispute between a registrant of a domeniu name ("Registrant") with any third party (other than Registry Operatsau sau Registrar) over the registration sau use of a domeniu name înregistreazăed by Registrant that is subject to the Intellectual Property Claim Service. The Intellectual Property Claim Service a serviciu introduced by Registry Operatsau to notify a trademark sau serviciu mark holder ("Claimant") that a second-level domeniu name has been înregistreazăed in which that Claimant claims intellectual property rights. In accsaudance with the STOP și its associated Rules, those Claimants will have the right to challenge registrations through independent ICANN-accredited dispute resolution providers. (6). DOMAIN NAME DISPUTES. 12. ICANN POLICY. You agree that tău registration of the SLD name shall be subject to suspension, cancellation, sau transfer pursuant to any ICANN-adopted policy, sau pursuant to any registrar sau registry procedure not inconsistent with an ICANN-adopted policy, (1) to csaurect mistakes by Registrar sau the Registry in înregistreazăing the name sau (2) fsau the resolution of disputes concerning the SLD name.

13. AGENTS. You agree that, if tău agent (e.g., an Internet Service Provider, employee, etc.) cumpărăd our serviciu(s) on tău behalf, you are nonetheless bound as a principal by all terms și conditions aiciin, including the dispute policy. Your continued use of our servicius shall ratify any unauthsauized actions of tău agent. In addition, you are responsible fsau any errsau made by tău agent. We will not refund fees paid by you sau tău agent on tău behalf fsau any reason, including, but not limited to, in the event that tău agent fails to comply with the terms și conditions of this Agreement, tău agent incsaurectly provides infsaumation in the application process sau if tău agent changes sau otherwise modifies tău domeniu name recsaud incsaurectly.

14. NOTICES AND ANNOUNCEMENTS. You authsauize us to notify you as our customer of infsaumation that we deem is of potential interest to you. Nutices și announcements may include commercial e-mails și other notices describing changes, upgrades, new products și servicius sau other infsaumation pertaining to Internet security sau to enhance tău identity on the Internet și/sau other relevant matters.

15. LIMITATION OF LIABILITY. You agree that our entire liability, și tău exclusive remedy, with respect to any Nicenic.com, Inc.’s serviciu(s) provided under this Agreement și/sau fsau any breach of this Agreement is solely limited to the amount you paid fsau such serviciu(s). Nicenic.com, Inc. și its contractsaus shall not be liable fsau any direct, indirect, incidental, special sau consequential damages resulting from the use sau inability to use any of the Nicenic.com, Inc. ’s servicius sau fsau the cost of procurement of substitute servicius. Because some states do not allow the exclusion sau limitation of liability fsau consequential sau incidental damages, in such states, our liability is limited to the extent permitted by law. We disclaim any și all loss sau liability resulting from, but not limited to: (1) loss sau liability resulting from access delays sau access interruptions; (2) loss sau liability resulting from data non-delivery sau date mis-delivery; (3) loss sau liability resulting from the unauthsauized use sau misuse of tău Account Number, Parolă sau security authentication option; (4) loss sau liability resulting from errsaus, omissions, sau misstatements in any și all infsaumation sau servicius(s) provided under this Agreement; (5) loss sau liability relating to the deletion of sau failure to stsaue e-mail messages; (6) loss sau liability resulting from the development sau interruption of tău web site; (7) loss sau liability from tău inability to use our China mail serviciu; (8) loss sau liability that you may incur in connection with our processing of tău application fsau our servicius, our processing of any authsauized modification to tău domeniu name recsaud sau tău agents failure to pay any fees, including the initial registration fee sau re-registration fee; sau (9) loss sau liability as a result of the application of our dispute policy.

16. INDEMNITY. You agree to defend, indemnify și hold harmless Nicenic.com, Inc., its affiliates și business partners, și any applicable domeniu name registry, including without limitation VeriSign, Inc., Afilias Limited, NeuNivel, Inc., Glaobal Nume Registry și Public Interest Registry, și their respective subsidiaries și affiliates, și the directsaus, officers, employees și agents of each of them, from și against any și all claims, actions, losses, damages, expenses și costs, including reasonable attsauneys' fees și expenses, arising out of sau relating to (i) tău domeniu name registration, (ii) any breach by you of this Agreement, including the Dispute Policy, sau (iii) any third party claim, action, sau demși related to tău domeniu name sau the use taiciof.

17. TRANSFER OF OWNERSHIP. The person named as administrative contact at the time the controlling user name și passwsaud are secured shall be the owner of the domeniu name. You agree that prisau to transferring ownership of tău domeniu name to another person (the Transferee") you shall require the Transferee to agree, in writing to be bound by all the terms și conditions of this Agreement. Your domeniu name will not be transferred until we receive such written assurances sau other reasonable assurance that the Transferee has been bound by the contractual terms of this Agreement (such reasonable assurance as determined by us in our sole discretion) along with the applicable transfer fee. 18. BREACH. 19. NO GUARANTY. You agree that, by registration of tău chosen domeniu name, such registration does not confer immunity from objection to either the registration sau use of tău domeniu name.

20. REPRESENTATIONS AND WARRANTIES.   35.5 - Comply with operational stșiards, policies, procedures, și practices fsau the Registry TLD established from time to time by the .MOBI Registry Operatsau in a non-arbitrary manner as Registry Policies, applicable to all registrars și/sau domeniu registrants, și consistent with the Registry Agreement shall be effective upon thirty days notice by Registry Operatsau to Registrar;
  35.6 - Consent to the use, copying, distribution, publication, modification și other processing of tău Personal Data by dotmobi, the .MOBI Registry Operatsau, și its designees și agents in a manner consistent with the purposes specified pursuant in its contract și with relevant mșiatsauy local data protection, laws și privacy;

  35.10 - Ackacumledge și agree that the .MOBI Registry și .MOBI Registry Services Provider, acting in consent with the .MOBI Registry, reserves the right to deny, cancel sau transfer any registration that it deems necessary, in its discretion (i) to protect the integrity și stability of the registry; (ii) to comply with all applicable laws, government rules sau requirements, requests of law enfsaucement, in compliance with any dispute resolution process; (iii) to avoid any liability, civil sau criminal, on the part of the Registry as well as its affiliates, subsidiaries, officers, directsaus, representatives, employees, și stockholders; (iv) fsau violations of the terms și conditions aiciin; sau (v) to csaurect mistakes made by the Registry sau any registrar in connection with a domeniu name registration, și the Registry also reserves the right to freeze a Înregistreazăed Nume during resolution of a dispute.

Furthermsaue, Registrant ackacumledges și agrees that this Style Guide is subject to modification by the .MOBI Registry with any such changes appearing at the anterioriously designated URL, și that Registrant must promptly comply with any such changes in the time allotted.
  35.12 - Ackacumledge și agree that Proxy sau Proxy Înregistrares will not be allowed during the Sunrise Period, the Limited Industry Launch și the Premium Nume Toateocation și Auction Period, și in such an instance will constitute a material breach to this contract.
