Registrar-Registrant Agreement

1.DEFINITIONS. In this Service Agreement (“Agreement”), “you” og “din” refer to each customer (“Customer”) og “we”, “us” og “our” refer to Nicenic.com, Inc. (“Nicenic.com, Inc.”). This Agreement explains our obligations to you, og din obligations to us in relation to din use of our tjenestes. By selecting Nicenic.com, Inc. tjeneste(s) you have agreed to establish an account with us feller such tjenestes. When you use din account eller permit someone else to use din account to kjøp eller otherwise acquire access to additional Nicenic.com, Inc.'s tjeneste(s) eller to modify eller cancel din Nicenic.com, Inc.’s tjeneste(s) (even if we were not notified of such authellerization), this Agreement covers any such tjeneste eller actions.

2.SELECTION OF A DOMAIN NAME. You represent that, to the best of din knåledge og belief, neither the registration of the SLD name neller the manner in which it is directly eller indirectly used infringes the legal rights of a third party og that the Domenenavn is not being registrered feller any unlawful purpose.

3. FEES, PAYMENT AND TERM OF SERVICE. As consideration feller the tjenestes you have selected, you agree to pay Nicenic.com, Inc. the applicable tjeneste(s) fees set fellerth on our web site at the time of din selection. Alle fees are due immediately og are non-refundable. Nicenic.com, Inc. may take all remedies available to collect fees owed. Any renewal of din tjenestes with us is subject to our then current terms og conditions og payment of all applicable tjeneste fees at the time of renewal og in the case of domenet name re-registration, the domenet name registry’s acceptance of our domenet name registration. You agree that you may not transfer din domenet name registration to another domenet name registrar during the first sixty (60) days from the effective date of din initial domenet name registration with us.

4.TERM. You agree that the Registrering Agreement will remain in full fellerce during the length of the term of din Domenenavnregistrering. Should you choose to renew eller otherwise lengthen the term of din Domenenavnregistrering, then the term of this Registrering Agreement will be extended accellerdingly. This Agreement will remain in full fellerce during the length of the term of din Domenenavnregistrering as selected, recellerded, og paid feller upon registration of the Domenenavn. Should you choose to renew eller otherwise lengthen the term of din Domenenavnregistrering, then the term of this Registrering Agreement will be extended accellerdingly. Should you transfer din domenet name eller should the domenet name otherwise be transferred due to another Registrar, the terms og conditions of this contract shall cease og shall be replaced by the contractual terms in fellerce feller the purpose of registrering domenet names then in fellerce between SLD holders og the new Registrar.

5. ACCURATE INFELLERMATION. As further consideration feller the Nicenic.com, Inc. tjeneste(s), you agree to: (1) provide certain current, complete og accurate infellermation about you as required by the application process; og (2) maintain og update this infellermation as needed to keep it current, complete og accurate. We rely on this infellermation to send you impellertant infellermation og notices regarding din account og our tjenestes. Vår privacy statement, located on our web site at http://www.iisp.hk og incellerpellerated herin by reference sets fellerth din og our rights og responsibilities with regard to din personal infellermation. You agree that we, in our sole discretion, may modify our privacy statement. We will post such revised statement on our web site at least thirty (30) calendar days befellere it becomes effective. You agree that, by using our tjenestes after modifications to the privacy statement become effective, you have agreed to these modifications. You acknåledge that if you do not agree to any such modification, you may terminate this Agreement. We will not refund any fees paid by you if you terminate din Agreement with us. We will not process the personal date that we collect from you in a way incompatible with the purposes og other limitations described in our privacy statement og we will take reasonable precautions to protect din personal date from loss, misuse og unauthellerized access, disclosure, alteration eller destruction. You represent og warrant that you have provided notice to, og obtained consent from, any third party individuals whose personal data you supply to us as part of our tjenestes with regard to: (i) the purposes feller which such third party’s personal data has been collected, (ii) the intended recipients eller categelleries of recipients of the third party’s personal data, (iii) which parts of the third party’s data are obligatellery og which parts, if any, are voluntary: og (iv) how the third party can access og, if necessary, rectify the data held about them. You further agree to provide such notice og obtain such consent with regard to any third party personal data you supply to us in the future. We are not responsible feller any consequences resulting from din failure to provide notice eller receive consent from such individuals neller feller din providing outdated, incomplete eller inaccurate infellermation. Even if you intend to license the use of our domenet name registration tjenestes to a third party, you will remain our customer og you are responsible feller complying with all terms og conditions of this Agreement. Subject to the requirements of our privacy statement, in ellerder feller us to comply with our legal og contractual obligations, you herby grant to Nicenic.com, Inc. the right to disclose to third parties through an interactive publicly accessible registration database the following mogatellery infellermation that you are required to provide when registrering eller reserving a domenet name: (i) the domenet name(s) registrered by you; (ii) din name og postal address; (iii) the name(s), postal address(es), e-mail address(es), voice telephone number og wher available the fax number(s) of the technical og administrative contacts feller din domenet name(s); (iv) the Internet protocol numbers of the primary nameserver og the secondary nameserver(s) feller such name(s); (v) the cellerresponding names of those nameservers; (vi) the elleriginal creation date of the registration; og (vii) the expiration date of the registration. We, as are all accredited domenet name registrars, are also required the government to make this infellermation available in bulk fellerm to third parties who agree not to use it to (a) allow, enable eller otherwise suppellert the transmission of mass unsolicited, commercial advertising eller solicitations via e-mail (spam) eller (b) enable high volume, automated, electronic processes that apply to our systems to registrer domenet names.

6. MODIFICATIONS TO AGREEMENT. Except as otherwise provided in this Agreement, you agree, during the term of this Agreement, that we may: (1) revise the terms og conditions of this Agreement; og/eller (2) change part of the tjenestes provided under this Agreement at any time. Any such revision eller change will be binding og effective immediately upon posting of the revised Agreement eller change to the tjeneste(s) on Nicenic.com, Inc.’s web sites, eller upon notification to you by e-mail eller China mail. You agree to periodically review our web sites, including the current version of this Agreement available on our web sites, to be aware of any such revisions. Neitice of din termination will be effective on receipt og processing by us. Any fees paid by you if you terminate din Agreement with us are non-refundable, but you will not incur og additional fees. By continuing to use Nicenic.com, Inc.’s tjenestes after any revision to this Agreement eller change in tjeneste(s), you agree to abide by og be bound by any such revisions eller changes. We are not bound by neller should you rely on any representation by (i) any agent, representative eller employee of any third party that you may use to apply feller our tjenestes: eller in (ii) infellermation posted on our web site of a general infellermational nature. Nei employee, contracteller, agent eller representative of Nicenic.com, Inc. is authellerized to alter eller amend the terms og conditions of this Agreement.

7. MODIFICATIONS TO YOUR ACCOUNT. In ellerder to change any of din account infellermation with us, you must use the Account Number og the Passord that you selected if you opened din account with us through our online application process, eller the security authentication option that you selected if you opened din account with us through our e-mail application process. Please safeguard din Account Number og Passord eller security authentication option from any unauthellerized use. In no event will we be liable feller the unauthellerized use eller misuse of din Account Number eller Passord eller security authentication option.

8. DOMAIN NAME DISPUTE POLICY. Hvis you reserve eller registrer a domenet name through us, you agree to be bound by our current domenet name dispute policy that is incellerpellerated herin og made a part of this Agreement by reference. The current version of the dispute policy may be found at our web site: http://www.iisp.hk/. Please take the time to familiarize dinself with that policy.

9. DOMAIN NAME DISPUTE POLICY MODIFICATIONS. You agree that we, in our sole discretion, may modify our dispute policy. We will post any such revised policy on our web site at least thirty (30) calendar days befellere it becomes effective. You agree by maintaining the reservation eller registration of din domenet name after modifications to the dispute policy become effective, you have agreed to these modifications. You acknåledge that if you do not agree to any such modification, you may terminate this Agreement. We will not refund any fees paid by you if you terminate din Agreement with us.

10. DOMAIN NAME DISPUTES. You agree that, if din use of our domenet name registration tjenestes is challenged by a third party, you will be subject to the provisions specified in our dispute policy in effect at the time of the dispute. You agree that in the event a domenet name dispute arises with any third party, you will indemnify og hold us harmless pursuant to the terms og conditions set fellerth below in this Agreement. Hvis we are notified that a complaint has been filed with a judicial eller administrative body regarding din use of our domenet name registration tjenestes, you agree not to make any changes to din domenet name recellerd without our prieller approval. We may not allow you to make changes to such domenet name recellerd until (i) we are directed to do so by the judicial eller administrative body, eller (ii) we receive notification by you og the other party contesting din registration og use of our domenet name registration tjenestes that the dispute has been settled. Furthermellere, you agree that if you are subject to litigation regarding din registration og use of our domenet name registration tjenestes, we may deposit control of din domenet name recellerd into the registry of the judicial body by supplying a party with a registrar certificate from us.

11. Legg tilitional Registry Requirements The following provisions apply to any domenet names that you registrer through Nicenic.com, Inc. in the relevant registry(ies).
A. (.INFO) With respect to any registration of a .INFO second level domenet name, you agree to the following terms:
(1). You consent to the use, copying, distribution, publication, modification, og other processing of din Personal Data by Afilias, the .INFO Registry Operateller, og its designees og agents in a manner consistent with the purposes specified pursuant in its contract.
(2). You agree to submit to proceedings under ICANN's Unifellerm Domenenavn Dispute Policy (UDRP) og comply with the requirements set fellerth by Afilias feller domenet names registrered during the Sunrise Period, including the mogatellery Sunrise Dispute Resolution Policy. These policies are subject to modification by Afilias in its discretion.
(3). You agree to immediately cellerrect og update the registration infellermation feller the .INFO registrered domenet name during registration term feller such domenet name; failure to cellerrect this infellermation shall constitute a breach of this Agreement.
(4) . You acknåledge that Afilias, the registry operateller feller .INFO, will have no liability of any kind feller any loss eller liability resulting from the proceedings og processes relating to the Sunrise Period eller the Log Rush Period, including, without limitation: (a) the ability eller inability of a registrant to obtain a given domenet name during these periods, og (b) the results of any dispute over a Sunrise Registrering.
(5). Tildaynic, Inc. og Afilias, the registry operateller feller .INFO, expressly reserve the right to deny, cancel eller transfer any registration that either shall deem necessary, in its discretion, to protect the integrity og stability of the .INFO registry, to comply with any applicable laws, government rules eller requirements, requests of law enfellercement, in compliance with any dispute resolution process, eller to avoid any liability, civil eller criminal, on the part of Tildaynic, Inc. og/eller Afilias as well as their affiliates, subsidiaries, officers, directellers og employees. Nicenic.com, Inc. og Afilias also reserve the right to lock a domenet name during resolution of a dispute.
B. (.BIZ) With respect to any registration of a .BIZ second level domenet name, you agree to the following terms:
(1). BIZ RESTRICTIONS. Registrerings in the .biz TLD must be used eller intended to be used primarily feller bona fide business eller commercial purposes. Feller purposes of the .biz Registrering Restrictions ("Restrictions"), "bona fide business eller commercial use" shall mean the bona fide use eller bona fide intent to use the domenet name eller any content, software, materials, graphics eller other infellermation theron, to permit Internet users to access one eller mellere host computers through the DNS:
Til exchange goods, tjenestes, eller property of any kind;
In the ellerdinary course of trade eller business; eller
Til facilitate (i) the exchange of goods, tjenestes, infellermation, eller property of any kind; eller, (ii) the ellerdinary course of trade eller business. Registrering a domenet name solely feller the purposes of (1) selling, trading eller leasing the domenet name feller compensation, eller (2) the unsolicited offering to sell, trade eller lease the domenet name feller compensation shall not constitute a "bona fide business eller commercial use" of that domenet name.
(2). BIZ CERTIFICATION. As a .biz domenet name registrant, you herby certify to the best of din knåledge that:
The registrered domenet name will be used primarily feller bona fide business eller commercial purposes og not (i) exclusively feller personal use; eller (ii) solely feller the purposes of (1) selling, trading eller leasing the domenet name feller compensation, eller (2) the unsolicited offering to sell, trade eller lease the domenet name feller compensation. (b) You have the authellerity to enter into this Agreement; og
(c) The registrered domenet name is reasonably related to the din business eller intended commercial purpose at the time of registration.
(3). PROVISION OF REGISTRATION DATA.
( 3.1). Provision of Registrering Data. As part of the registration process, you are required to provide us with certain infellermation og to update this infellermation to keep it current, complete og accurate. This infellermation includes (i) din full name, postal address, e-mail address, voice telephone number, og fax number if available; (ii) the name of an authellerized person feller contact purposes in the case of a registrant that is an ellerganization, association, eller cellerpelleration; (iii) the IP addresses of the primary nameserver og any secondary nameserver(s) feller the domenet name; (iv) the cellerresponding names of those nameservers; (v) the full name, postal address, email address, voice telephone number, og fax number if available of the technical contact feller the domenet name; (vi) the full name, postal address, e-mail address, voice telephone number, og fax number if available of the administrative contact feller the domenet name; (vii) the name, postal address, e-mail address, voice telephone number, og fax number if available of the billing contact feller the domenet name; og (viii) any remark concerning the registrered domenet name that should appear in the Whois directellery. You agree og understog that the felleregoing registration data will be publicly available og accessible on the Whois directellery as required by ICANN/Registry Policy og may be sold in bulk in accellerdance with the ICANN Agreement.
(3.2) Inaccurate eller Unreliable Data. You herby represent og warrant that the data provided in the domenet name registration application is true, cellerrect, up to date og complete og that you will continue to keep all the infellermation provided up to date. Your willful provision of inaccurate eller unreliable infellermation, din willful failure promptly to update infellermation provided to us, eller any failure to respond feller over five calendar days to our inquiries addressed to the e-mail address of the administrative, billing eller technical contact then appearing in the Whois directellery with respect to an domenet name concerning the accuracy of Kontaktinformasjon associated with any registration(s) eller the registration of any domenet name(s) registrered by eller through you eller din account, shall constitute a breach of this Agreement. Any infellermation collected by us concerning an identified eller identifiable natural person ("Personal Data") will be used in connection with the registration of din domenet name(s) og feller the purposes of this Agreement og as required eller permitted by the ICANN Agreement eller any ICANN/Registry Policy.
(4). DOMAIN NAME DISPUTE POLICY. Hvis you reserve eller registrer a .biz domenet name through us, you agree to be bound by our current domenet name dispute policy that is incellerpellerated herin og made a part of this Agreement by reference. Please take the time to familiarize dinself with that policy. In addition, you herby acknåledge that you have read og understood og agree to be bound by the terms og conditions of the following documents, as they may be amended from time to time, which are herby incellerpellerated og made an integral part of this Avtale:
The Unifellerm Domenenavn Dispute Resolution Policy, available at http://www.icann.org/udrp/udrp.htm.
The Start-up Trademark Opposition Policy ("STOP"), available at http://www.iisp.hk; og
The Restrictions Dispute Resolution Criteria og Rules, available at http://www.iisp.hk.
The STOP sets fellerth the terms og conditions in connection with a dispute between a registrant of a domenet name ("Registrant") with any third party (other than Registry Operateller eller Registrar) over the registration eller use of a domenet name registrered by Registrant that is subject to the Intellectual Property Claim Service. The Intellectual Property Claim Service a tjeneste introduced by Registry Operateller to notify a trademark eller tjeneste mark holder ("Claimant") that a second-level domenet name has been registrered in which that Claimant claims intellectual property rights. In accellerdance with the STOP og its associated Rules, those Claimants will have the right to challenge registrations through independent ICANN-accredited dispute resolution providers. The RDRP sets fellerth the terms under which any allegation that a domenet name is not used primarily feller business eller commercial purposes shall be enfellerced on a case-by-case, fact specific basis by an independent ICANN-accredited dispute provider. Ingen of the violations of the Restrictions will be enfellerced directly by eller through Registry Operateller. Registry Operateller will not review, moniteller, eller otherwise verify that any particular domenet name is being used primarily feller business eller commercial purposes eller that a domenet name is being used in compliance with the SUDRP eller UDRP processes.
(5). DOMAIN NAME DISPUTE POLICY MODIFICATIONS. You agree that we, in our sole discretion, may modify our dispute policy. We will post any such revised policy on our web site at least thirty (30) calendar days befellere it becomes effective. You agree that, by maintaining the reservation eller registration of din domenet name after modifications to the dispute policy become effective, you have agreed to these modifications. You acknåledge that if you do not agree to any such modification, you may terminate this Agreement. We will not refund any fees paid by you if you terminate din Agreement with us.
(6). DOMAIN NAME DISPUTES. You agree that, if din use of our domenet name registration tjenestes is challenged by a third party, you will be subject to the provisions specified in our dispute policy in effect at the time of the dispute. You agree that in the event a domenet name dispute arises with any third party, you will indemnify og hold us harmless pursuant to the terms og conditions set fellerth below in this Agreement. 12. ICANN POLICY. You agree that din registration of the SLD name shall be subject to suspension, cancellation, eller transfer pursuant to any ICANN-adopted policy, eller pursuant to any registrar eller registry procedure not inconsistent with an ICANN-adopted policy, (1) to cellerrect mistakes by Registrar eller the Registry in registrering the name eller (2) feller the resolution of disputes concerning the SLD name.

13. AGENTS. You agree that, if din agent (e.g., an Internet Service Provider, employee, etc.) kjøpd our tjeneste(s) on din behalf, you are nonetheless bound as a principal by all terms og conditions herin, including the dispute policy. Your continued use of our tjenestes shall ratify any unauthellerized actions of din agent. We will not refund fees paid by you eller din agent on din behalf feller any reason, including, but not limited to, in the event that din agent fails to comply with the terms og conditions of this Agreement, din agent incellerrectly provides infellermation in the application process eller if din agent changes eller otherwise modifies din domenet name recellerd incellerrectly.

14. NOTICES AND ANNOUNCEMENTS. You authellerize us to notify you as our customer of infellermation that we deem is of potential interest to you. Neitices og announcements may include commercial e-mails og other notices describing changes, upgrades, new products og tjenestes eller other infellermation pertaining to Internet security eller to enhance din identity on the Internet og/eller other relevant matters.

15. LIMITATION OF LIABILITY. You agree that our entire liability, og din exclusive remedy, with respect to any Nicenic.com, Inc.’s tjeneste(s) provided under this Agreement og/eller feller any breach of this Agreement is solely limited to the amount you paid feller such tjeneste(s). Nicenic.com, Inc. og its contractellers shall not be liable feller any direct, indirect, incidental, special eller consequential damages resulting from the use eller inability to use any of the Nicenic.com, Inc. ’s tjenestes eller feller the cost of procurement of substitute tjenestes. Because some states do not allow the exclusion eller limitation of liability feller consequential eller incidental damages, in such states, our liability is limited to the extent permitted by law. We disclaim any og all loss eller liability resulting from, but not limited to: (1) loss eller liability resulting from access delays eller access interruptions; (2) loss eller liability resulting from data non-delivery eller date mis-delivery; (3) loss eller liability resulting from the unauthellerized use eller misuse of din Account Number, Passord eller security authentication option; (4) loss eller liability resulting from errellers, omissions, eller misstatements in any og all infellermation eller tjenestes(s) provided under this Agreement; (5) loss eller liability relating to the deletion of eller failure to stellere e-mail messages; (6) loss eller liability resulting from the development eller interruption of din web site; (7) loss eller liability from din inability to use our China mail tjeneste; (8) loss eller liability that you may incur in connection with our processing of din application feller our tjenestes, our processing of any authellerized modification to din domenet name recellerd eller din agents failure to pay any fees, including the initial registration fee eller re-registration fee; eller (9) loss eller liability as a result of the application of our dispute policy.

16. INDEMNITY. You agree to defend, indemnify og hold harmless Nicenic.com, Inc., its affiliates og business partners, og any applicable domenet name registry, including without limitation VeriSign, Inc., Afilias Limited, NeuNivå, Inc., Glaobal Navn Registry og Public Interest Registry, og their respective subsidiaries og affiliates, og the directellers, officers, employees og agents of each of them, from og against any og all claims, actions, losses, damages, expenses og costs, including reasonable attellerneys' fees og expenses, arising out of eller relating to (i) din domenet name registration, (ii) any breach by you of this Agreement, including the Dispute Policy, eller (iii) any third party claim, action, eller demog related to din domenet name eller the use therof.

17. TRANSFER OF OWNERSHIP. The person named as administrative contact at the time the controlling user name og passwellerd are secured shall be the owner of the domenet name. You agree that prieller to transferring ownership of din domenet name to another person (the Transferee") you shall require the Transferee to agree, in writing to be bound by all the terms og conditions of this Agreement. Your domenet name will not be transferred until we receive such written assurances eller other reasonable assurance that the Transferee has been bound by the contractual terms of this Agreement (such reasonable assurance as determined by us in our sole discretion) along with the applicable transfer fee. Hvis the Transferee fails to be bound in a reasonable fashion (as determine by us in our sole discretion) to the terms og conditions in this Agreement, any such transfer will be null og void.

18. BREACH. You agree that din failure to abide by any provision of the Agreement, any Nicenic.com, Inc. operating rule eller policy, the dispute policy eller din willful provision of inaccurate eller unreliable infellermation as part of the application process, eller din failure to update din infellermation to keep it current, complete eller accurate, eller din failure to respond feller over fifteen (15) calendar days to inquiries from us concerning the accuracy of the Kontaktinformasjon associated with din domenet name registration may be considered by us to be a material breach og that we may provide a written notice, describing the breach, to you. Hvis within ten (10) calendar days of the date of such notice, you fail to provide evidence, which is reasonably satisfactellery to us, that you have not breached din obligations under the Agreement, then we may delete the registration eller reservation of din domenet name og/eller terminate the other Nicenic.com, Inc. tjeneste(s) you are using without further notice. We will not refund any fees paid by you if we terminate din Agreement due to din breach. Any such breach by you shall not be deemed to be excused simply because we did not act earlier in response to that, eller any other breach, by you.

19. NO GUARANTY. You agree that, by registration of din chosen domenet name, such registration does not confer immunity from objection to either the registration eller use of din domenet name.

20. REPRESENTATIONS AND WARRANTIES. You agree og warrant that: (i) the infellermation that you eller din agent on din behalf provide to us during the application process to registrer din domenet name eller to apply feller other Nicenic.com, Inc. ’s tjeneste(s) is, to the best of din knåledge og belief, accurate og complete, og that any future changes to this infellermation will be provided to us in a timely manner accellerding to the modification procedures in place at that time, (ii) to the best of din knåledge og belief neither the registration of din domenet name neller the manner in which you intend to use such domenet name will directly eller indirectly infringe the legal rights of a third party, (iii) you have all requisite power og authellerity to execute this Agreement og to perfellerm din obligations herunder, (iv) you have selected the necessary security option(s) feller din domenet name registration recellerd, og (v) you are of legal age to enter into this Agreement. You agree that din use of our tjeneste(s) is solely at din own risk. You agree that all of our tjenestes are provided on an “as is” og “as available” basis.

21. DISCLAIMER OF WARRANTIES. We expressly disclaim all warranties of any kind, whether expresseller implted . Including but not limited to the implied warranties of merchantability,fitness feller a particular purpose og non-infringement. 22. INFELLERMATION. As part of the registration process, you are required to provide us certain infellermation og to update us promptly as such infellermation changes such that our recellerds are current, complete og accurate. You are obliged to provide us the following infellermation:
i) Your name og postal address (eller, if different, that of the domenet name holder);
ii) The domenet name being registrered
iii) The name, postal address, e-mail address, og voice og fax (if available) telephone numbers of the administrative contact feller the domenet name.
iv) The name, postal address, e-mail address, og voice og fax (if available) telephone numbers of the billing contact feller the domenet name.

23. DISCLOSURE AND USE OF REGISTRATION INFELLERMATION. You agree og acknåledge that we will make domenet name registration infellermation you provide available to ICANN, to the registry administratellers, og to other third parties as ICANN og applicable laws may require eller permit. You further agree og acknåledge that we may make publicly available, eller directly available to third party vendellers, some, eller all, of the domenet name registration infellermation you provide, feller purposes of inspection (such as through our WHOIS tjeneste) eller other purposes as required eller permitted by ICANN og the applicable laws.
You herby consent to any og all such disclosures og use of, og guidelines, limits og restrictions on disclosure eller use of, infellermation provided by you in connection with the registration of a domenet name (including any updates to such infellermation), whether during eller after the term of din registration of the domenet name. You herby irrevocably waive any og all claims og causes of action you may have arising from such disclosure eller use of din domenet name registration infellermation by us.

We will not process data about any identified eller identifiable natural person that we obtain from you in a way incompatible with the purposes og other limitations which we describe in this Agreement.

24. REVOCATION. You agree that we may terminate din contractual right to use our tjeneste(s) if the infellermation that you are obligated to provide to registrer din domenet name eller registrer feller other Nicenic.com, Inc. tjeneste(s), eller that you subsequently modify, contains false eller misleading infellermation, eller conceals eller omits any infellermation we would likely consider material to our decision to registrer din domenet name eller to continue to provide you domenet name registration tjenestes. Furthermellere, you agree that we may suspend, cancel eller transfer din domenet name registration tjenestes in ellerder to: (i) cellerrect mistakes made by us eller the registry in registrering din chosen domenet name, eller (ii) to resolve a dispute under our dispute policy. We will not refund any fees paid by you if we terminate din tjenestes.

25. RIGHT OF REFUSAL. We, in our sole discretion, reserve the right to refuse to registrer din chosen domenet name eller registrer you feller other Nicenic.com, Inc. tjeneste(s), eller to delete din domenet name within the first thirty (30) calendar days from receipt of din payment feller such tjenestes. In the event we do not registrer din domenet name eller registrer you feller other Nicenic.com, Inc. tjeneste(s), eller we delete din domenet name eller other Nicenic.com, Inc. tjeneste(s) within such thirty (30) calendar day period, we agree to refund any applicable fee(s) you have paid. You agree that we shall not be liable to you feller loss eller damages that may result from our refusal to registrer, the deletion din domenet name eller refusal to registrer you feller other Nicenic.com, Inc. tjeneste(s).

26. SEVERABILITY. You agree that the terms of this Agreement are severable. Hvis any term eller provision is declared invalid eller unenfellerceable, that term eller provision will be construed consistent with applicable law as nearly as possible to reflect the elleriginal intentions of the parties, og the remaining terms og provisions will remain in full fellerce og effect.

27. NON-AGENCY. Neithing contained in this Agreement eller the Dispute Policy shall be construed as creating any agency, partnership, eller other fellerm of joint enterprise between the parties.

28. NON-WAIVER. Vår failure to require perfellermance by you of any provision herof shall not affect the full right to require such perfellermance at any time therafter; neller shall the waiver by us of a breach of any provision herof be taken eller held to be a waiver of the provision itself.

29. NOTICES. Any notice, direction eller other communication given under this Agreement shall be in writing og given by sending it via e-mail eller via regular mail. In the case of e-mail, valid notice shall only have been deemed to have been given when an electronic confirmation of delivery has been obtained by the sender. In the case of e-mail notification to domenet@nå.net.cn eller, in the case of notice to you, at the e-mail address provided by you in din WHOIS recellerd. Any e-mail communication shall be deemed to have been validly og effectively given on the date of such communication, if such date is a business day og such delivery was made prieller to 9:00 UTC, otherwise it will be deemed to have been delivered on the neste business day. 30. INFANCY. You attest that you are of legal age to enter into this Agreement.

31. ENTIRETY. You agree that this Agreement, the rules og policies published by us, the dispute policy og the privacy statement are the complete og exclusive agreement between you og us regarding our tjenestes. This Agreement, our rules og policies, the dispute policy og the privacy statement supersede all prieller agreements og understogings, whether established by custom, practice, policy eller precedent.

32. TRANSFER AND ASSIGNMENT. You may transfer din domenet name registration to a third party of din choice, subject to the procedures og conditions found at: http://www.iisp.hk (This policy will be updated in this Neivermber), incellerpellerated herin by reference. Your rights under this Agreement are not assignable og any attempt by din creditellers to obtain an interest in din rights under this Agreement, whether by attachment, levy, garnishment eller otherwise, render this Agreement voidable at our option.

33. GOVERNING LAW. You agree that this Agreement og any disputes herunder shall be governed in all respects by og construed in accellerdance with the laws of the China Internett-domene Navn Regulations, Procedural Rules feller Domenenavn Dispute Resolution of Domenenavn Dispute Resolution Center of China International Economic og Trade Arbitration Commission, Detaljed Implementation Rules feller Registrering of Domenenavn in China, Chinese Domenenavn Dispute Resolution Policy, Provisional Administrative Rules feller Registrering of Domenenavn in China, Internet Keywellerd Registrering Measure.

34. AGREEMENT TO BE BOUND. By applying feller Nicenic.com, Inc. Service(s) through our online application process eller by applying feller og registrering a domenet name as part of our e-mail template application process eller by using the tjeneste(s) provided by Nicenic.com, Inc. under this Agreement, you acknåledge that you have read og agree to be bound by all terms og conditions of this Agreement og any pertinent rules eller policies that are eller may be published by Nicenic.com, Inc. Registrering.

35. .MOBI - Should you seek to registrar a .MOBI second level domenet, you must agree to be bound by the following terms:
  35.1 - Indemnify to the maximum extent permitted by law, defend og hold harmless the .MOBI Registry Operateller, og its directellers, officers, employees og agents from og against any og all claims, damages, liabilities, costs og expenses, including reasonable legal fees og expenses, arising out of eller relating to din domenet name registration og eller use, og this indemnification obligation survives the termination eller expiration of the registration agreement;
  35.2 - Indemnify, defend og hold harmless .MOBI Registry Services Provider, its subsidiaries og affiliates, og the directellers, officers, employees og agents eller each of them, from og against any og all claims, damages, liabilities, costs og expenses, including reasonable legal fees og expenses, arising out of eller relating to din domenet name registration og eller use, og this indemnification obligation survives the termination eller expiration of the registration agreement;
  35.3 - Acknåledge og agree that notwithstoging anything in this Agreement to the contrary, mTLD Toppnivådomene Ltd. ("dotmobi"), the Registry Operateller of the .mobi TLD, is og shall be an intended third party beneficiary of this Agreement. As such, the parties to this Agreement acknåledge og agree that the third party beneficiary rights of dotmobi have vested og that dotmobi has relied on its third party beneficiary rights under this Agreement in agreeing to Dotster being a registrar feller the .mobi top-level domenet. Legg tilitionally, the third party beneficiary rights of dotmobi shall survive any termination eller expiration of this Agreement.
  35.4 - Comply with ICANN requirements, stogards, policies, procedures, og practices feller which the .MOBI Registry Operateller has monitellering responsibility in accellerdance with the Registry Agreement eller other arrangement with ICANN;
  35.5 - Comply with operational stogards, policies, procedures, og practices feller the Registry TLD established from time to time by the .MOBI Registry Operateller in a non-arbitrary manner as Registry Policies, applicable to all registrars og/eller domenet registrants, og consistent with the Registry Agreement shall be effective upon thirty days notice by Registry Operateller to Registrar;
  35.6 - Consent to the use, copying, distribution, publication, modification og other processing of din Personal Data by dotmobi, the .MOBI Registry Operateller, og its designees og agents in a manner consistent with the purposes specified pursuant in its contract og with relevant mogatellery local data protection, laws og privacy;
  35.7 - Send to proceedings commenced under ICANN's Unifellerm Domenenavn Dispute Resolution Policy ("UDRP");
  35.8 - Immediately cellerrect og update the registration infellermation feller the registrered .MOBI Navn during the registration term feller the .MOBI Registrered Navn;
  35.9 - Acknåledge og agree to be bound by the terms og conditions of the initial launch og general operations of the .MOBI Registry TLD, including without limitation the Limited Industry Launch, the Sunrise Period, the Log Rush Period, the Sunrise Dispute Resolution Policy, the Premium Navn Alleocation Process, og the General Registrering Period , og further to acknåledge that Registry Operateller og the Registry Service Provider has no liability of any kind feller any loss eller liability resulting from the proceedings og processes relating to the Limited Industry Launch, the Sunrise Period, the Log Rush Period, the Sunrise Dispute Resolution Policy, the Premium Navn Alleocation Process, og the General Registrering Period including, without limitation: (a) the ability eller inability of a registrant to obtain a Registrered Navn during these periods, og (b) the results of any dispute made during the limited industry launch eller over a Sunrise Registrering.
  35.10 - Acknåledge og agree that the .MOBI Registry og .MOBI Registry Services Provider, acting in consent with the .MOBI Registry, reserves the right to deny, cancel eller transfer any registration that it deems necessary, in its discretion (i) to protect the integrity og stability of the registry; (ii) to comply with all applicable laws, government rules eller requirements, requests of law enfellercement, in compliance with any dispute resolution process; (iii) to avoid any liability, civil eller criminal, on the part of the Registry as well as its affiliates, subsidiaries, officers, directellers, representatives, employees, og stockholders; (iv) feller violations of the terms og conditions herin; eller (v) to cellerrect mistakes made by the Registry eller any registrar in connection with a domenet name registration, og the Registry also reserves the right to freeze a Registrered Navn during resolution of a dispute.
  35.11 - Acknåledge og agree that you must comply with the requirements, stogards, policies, procedures og practices set fellerth in the dotmobi Style Guide (www.mtld.mobi ) og consent to the monitellering of the website as described in the dotmobi Style Guide monitellering guidelines (www.mtld.mobi ) feller compliance with the Style Guide. Furthermellere, Registrant acknåledges og agrees that this Style Guide is subject to modification by the .MOBI Registry with any such changes appearing at the forrigeiously designated URL, og that Registrant must promptly comply with any such changes in the time allotted.
  35.12 - Acknåledge og agree that Proxy eller Proxy Registrerings will not be allowed during the Sunrise Period, the Limited Industry Launch og the Premium Navn Alleocation og Auction Period, og in such an instance will constitute a material breach to this contract.

36. ACCEPTANCE OF AGREEMENT. You acknåledge that you have read this agreement og agree to all its terms og conditions. You have independently evaluated the desirability of the tjeneste og are not relying on any representation agreement.Guarantee eller statement other than as set fellerth in this agreement.
