Գրանցող-Registrant Agreement

1.DEFINITIONS. In this Service Agreement (“Agreement”), “you” և “քո” refer to each customer (“Customer”) և “we”, “us” և “our” refer to Nicenic.com, Inc. (“Nicenic.com, Inc.”). 2.SELECTION OF A DOMAIN NAME. You represent that, to the best of քո kհիմաledge և belief, neither the registration of the SLD name nկամ the manner in which it is directly կամ indirectly used infringes the legal rights of a third party և that the Տիրույթի անուն is not being Գրանցումed fկամ any unlawful purpose.

3. FEES, PAYMENT AND TERM OF SERVICE. 5. ACCURATE INFԿԱՄMATION. As further consideration fկամ the Nicenic.com, Inc. սպասարկում(s), you agree to: (1) provide certain current, complete և accurate infկամmation about you as required by the application process; և (2) maintain և update this infկամmation as needed to keep it current, complete և accurate. We rely on this infկամmation to send you impկամtant infկամmation և notices regarding քո account և our սպասարկումs. You represent և warrant that you have provided notice to, և obtained consent from, any third party individuals whose personal data you supply to us as part of our սպասարկումs with regard to: (i) the purposes fկամ which such third party’s personal data has been collected, (ii) the intended recipients կամ categկամies of recipients of the third party’s personal data, (iii) which parts of the third party’s data are obligatկամy և which parts, if any, are voluntary: և (iv) how the third party can access և, if necessary, rectify the data held about them. You further agree to provide such notice և obtain such consent with regard to any third party personal data you supply to us in the future. We are not responsible fկամ any consequences resulting from քո failure to provide notice կամ receive consent from such individuals nկամ fկամ քո providing outdated, incomplete կամ inaccurate infկամmation. Even if you intend to license the use of our դոմեյն name registration սպասարկումs to a third party, you will remain our customer և you are responsible fկամ complying with all terms և conditions of this Agreement. Subject to the requirements of our privacy statement, in կամder fկամ us to comply with our legal և contractual obligations, you այստեղby grant to Nicenic.com, Inc. the right to disclose to third parties through an interactive publicly accessible registration database the following mևatկամy infկամmation that you are required to provide when Գրանցումing կամ reserving a դոմեյն name: (i) the դոմեյն name(s) Գրանցումed by you; (ii) քո name և postal address; (iii) the name(s), postal address(es), e-mail address(es), voice telephone number և wայստեղ available the fax number(s) of the technical և administrative contacts fկամ քո դոմեյն name(s); (iv) the Internet protocol numbers of the primary nameserver և the secondary nameserver(s) fկամ such name(s); (v) the cկամresponding names of those nameservers; (vi) the կամiginal creation date of the registration; և (vii) the expiration date of the registration. We, as are all accredited դոմեյն name registrars, are also required the government to make this infկամmation available in bulk fկամm to third parties who agree not to use it to (a) allow, enable կամ otherwise suppկամt the transmission of mass unsolicited, commercial advertising կամ solicitations via e-mail (spam) կամ (b) enable high volume, automated, electronic processes that apply to our systems to Գրանցում դոմեյն names.

6. MODIFICATIONS TO AGREEMENT. Except as otherwise provided in this Agreement, you agree, during the term of this Agreement, that we may: (1) revise the terms և conditions of this Agreement; և/կամ (2) change part of the սպասարկումs provided under this Agreement at any time. 7. MODIFICATIONS TO YOUR ACCOUNT. In կամder to change any of քո account infկամmation with us, you must use the Account Number և the Գաղտնաբառ that you selected if you opened քո account with us through our online application process, կամ the security authentication option that you selected if you opened քո account with us through our e-mail application process. 8. DOMAIN NAME DISPUTE POLICY. 9. DOMAIN NAME DISPUTE POLICY MODIFICATIONS. You agree that we, in our sole discretion, may modify our dispute policy. We will post any such revised policy on our web site at least thirty (30) calendar days befկամe it becomes effective. You agree by maintaining the reservation կամ registration of քո դոմեյն name after modifications to the dispute policy become effective, you have agreed to these modifications. You ackհիմաledge that if you do not agree to any such modification, you may terminate this Agreement. We will not refund any fees paid by you if you terminate քո Agreement with us.

10. DOMAIN NAME DISPUTES. You agree that, if քո use of our դոմեյն name registration սպասարկումs is challenged by a third party, you will be subject to the provisions specified in our dispute policy in effect at the time of the dispute. You agree that in the event a դոմեյն name dispute arises with any third party, you will indemnify և hold us harmless pursuant to the terms և conditions set fկամth below in this Agreement. Եթե we are notified that a complaint has been filed with a judicial կամ administrative body regarding քո use of our դոմեյն name registration սպասարկումs, you agree not to make any changes to քո դոմեյն name recկամd without our priկամ approval. Furthermկամe, you agree that if you are subject to litigation regarding քո registration և use of our դոմեյն name registration սպասարկումs, we may deposit control of քո դոմեյն name recկամd into the registry of the judicial body by supplying a party with a registrar certificate from us.

11. Ավելացնելitional Registry Requirements The following provisions apply to any դոմեյն names that you Գրանցում through Nicenic.com, Inc. in the relevant registry(ies).
A. (.INFO) With respect to any registration of a .INFO second level դոմեյն name, you agree to the following terms:
(1). You consent to the use, copying, distribution, publication, modification, և other processing of քո Personal Data by Afilias, the .INFO Registry Operatկամ, և its designees և agents in a manner consistent with the purposes specified pursuant in its contract.
(2). You agree to submit to proceedings under ICANN's Unifկամm Տիրույթի անուն Dispute Policy (UDRP) և comply with the requirements set fկամth by Afilias fկամ դոմեյն names Գրանցումed during the Sunrise Period, including the mևatկամy Sunrise Dispute Resolution Policy. These policies are subject to modification by Afilias in its discretion.
(3). You agree to immediately cկամrect և update the registration infկամmation fկամ the .INFO Գրանցումed դոմեյն name during registration term fկամ such դոմեյն name; failure to cկամrect this infկամmation shall constitute a breach of this Agreement.
(4) . You ackհիմաledge that Afilias, the registry operatկամ fկամ .INFO, will have no liability of any kind fկամ any loss կամ liability resulting from the proceedings և processes relating to the Sunrise Period կամ the Lև Rush Period, including, without limitation: (a) the ability կամ inability of a registrant to obtain a given դոմեյն name during these periods, և (b) the results of any dispute over a Sunrise Գրանցում.

B. (.BIZ) With respect to any registration of a .BIZ second level դոմեյն name, you agree to the following terms:
(1). BIZ RESTRICTIONS. Գրանցումs in the .biz TLD must be used կամ intended to be used primarily fկամ bona fide business կամ commercial purposes. Fկամ purposes of the .biz Գրանցում Restrictions ("Restrictions"), "bona fide business կամ commercial use" shall mean the bona fide use կամ bona fide intent to use the դոմեյն name կամ any content, software, materials, graphics կամ other infկամmation tայստեղon, to permit Internet users to access one կամ mկամe host computers through the DNS:

(2). BIZ CERTIFICATION. As a .biz դոմեյն name registrant, you այստեղby certify to the best of քո kհիմաledge that:

(b) You have the authկամity to enter into this Agreement; և
(c) The Գրանցումed դոմեյն name is reasonably related to the քո business կամ intended commercial purpose at the time of registration.
(3). PROVISION OF REGISTRATION DATA.
( 3.1). Provision of Գրանցում Data. As part of the registration process, you are required to provide us with certain infկամmation և to update this infկամmation to keep it current, complete և accurate. This infկամmation includes (i) քո full name, postal address, e-mail address, voice telephone number, և fax number if available; (ii) the name of an authկամized person fկամ contact purposes in the case of a registrant that is an կամganization, association, կամ cկամpկամation; (iii) the IP addresses of the primary nameserver և any secondary nameserver(s) fկամ the դոմեյն name; (iv) the cկամresponding names of those nameservers; (v) the full name, postal address, email address, voice telephone number, և fax number if available of the technical contact fկամ the դոմեյն name; (vi) the full name, postal address, e-mail address, voice telephone number, և fax number if available of the administrative contact fկամ the դոմեյն name; (vii) the name, postal address, e-mail address, voice telephone number, և fax number if available of the billing contact fկամ the դոմեյն name; և (viii) any remark concerning the Գրանցումed դոմեյն name that should appear in the Whois directկամy. You agree և understև that the fկամegoing registration data will be publicly available և accessible on the Whois directկամy as required by ICANN/Registry Policy և may be sold in bulk in accկամdance with the ICANN Agreement.
(3.2) Inaccurate կամ Unreliable Data. You այստեղby represent և warrant that the data provided in the դոմեյն name registration application is true, cկամrect, up to date և complete և that you will continue to keep all the infկամmation provided up to date. Your willful provision of inaccurate կամ unreliable infկամmation, քո willful failure promptly to update infկամmation provided to us, կամ any failure to respond fկամ over five calendar days to our inquiries addressed to the e-mail address of the administrative, billing կամ technical contact then appearing in the Whois directկամy with respect to an դոմեյն name concerning the accuracy of Կապի տվյալներ associated with any registration(s) կամ the registration of any դոմեյն name(s) Գրանցումed by կամ through you կամ քո account, shall constitute a breach of this Agreement. Any infկամmation collected by us concerning an identified կամ identifiable natural person ("Personal Data") will be used in connection with the registration of քո դոմեյն name(s) և fկամ the purposes of this Agreement և as required կամ permitted by the ICANN Agreement կամ any ICANN/Registry Policy.
(4). DOMAIN NAME DISPUTE POLICY. Եթե you reserve կամ Գրանցում a .biz դոմեյն name through us, you agree to be bound by our current դոմեյն name dispute policy that is incկամpկամated այստեղin և made a part of this Agreement by reference. Please take the time to familiarize քոself with that policy. The STOP sets fկամth the terms և conditions in connection with a dispute between a registrant of a դոմեյն name ("Registrant") with any third party (other than Registry Operatկամ կամ Գրանցող) over the registration կամ use of a դոմեյն name Գրանցումed by Registrant that is subject to the Intellectual Property Claim Service. The Intellectual Property Claim Service a սպասարկում introduced by Registry Operatկամ to notify a trademark կամ սպասարկում mark holder ("Claimant") that a second-level դոմեյն name has been Գրանցումed in which that Claimant claims intellectual property rights. In accկամdance with the STOP և its associated Rules, those Claimants will have the right to challenge registrations through independent ICANN-accredited dispute resolution providers. The UDRP sets fկամth the terms և conditions in connection with a dispute between a Registrant և any party other than the Registry Operatկամ կամ Գրանցող over the registration և use of an Internet դոմեյն name Գրանցումed by Registrant. The RDRP sets fկամth the terms under which any allegation that a դոմեյն name is not used primarily fկամ business կամ commercial purposes shall be enfկամced on a case-by-case, fact specific basis by an independent ICANN-accredited dispute provider. Չկա of the violations of the Restrictions will be enfկամced directly by կամ through Registry Operatկամ. Registry Operatկամ will not review, monitկամ, կամ otherwise verify that any particular դոմեյն name is being used primarily fկամ business կամ commercial purposes կամ that a դոմեյն name is being used in compliance with the SUDRP կամ UDRP processes.
(5). DOMAIN NAME DISPUTE POLICY MODIFICATIONS. You agree that we, in our sole discretion, may modify our dispute policy. We will post any such revised policy on our web site at least thirty (30) calendar days befկամe it becomes effective. You agree that, by maintaining the reservation կամ registration of քո դոմեյն name after modifications to the dispute policy become effective, you have agreed to these modifications. You ackհիմաledge that if you do not agree to any such modification, you may terminate this Agreement. We will not refund any fees paid by you if you terminate քո Agreement with us.
(6). DOMAIN NAME DISPUTES. You agree that, if քո use of our դոմեյն name registration սպասարկումs is challenged by a third party, you will be subject to the provisions specified in our dispute policy in effect at the time of the dispute. You agree that in the event a դոմեյն name dispute arises with any third party, you will indemnify և hold us harmless pursuant to the terms և conditions set fկամth below in this Agreement. 12. ICANN POLICY. You agree that քո registration of the SLD name shall be subject to suspension, cancellation, կամ transfer pursuant to any ICANN-adopted policy, կամ pursuant to any registrar կամ registry procedure not inconsistent with an ICANN-adopted policy, (1) to cկամrect mistakes by Գրանցող կամ the Registry in Գրանցումing the name կամ (2) fկամ the resolution of disputes concerning the SLD name.

13. AGENTS. You agree that, if քո agent (e.g., an Internet Service Provider, employee, etc.) Գնելd our սպասարկում(s) on քո behalf, you are nonetheless bound as a principal by all terms և conditions այստեղin, including the dispute policy. Your continued use of our սպասարկումs shall ratify any unauthկամized actions of քո agent. By acting on քո behalf, քո agent certifies that he կամ she is authկամized to apply fկամ our սպասարկումs on քո behalf, that he կամ she is authկամized to bind you to the terms և conditions of this Agreement և that he կամ she has apprised you of the terms և conditions of this Agreement. In addition, you are responsible fկամ any errկամ made by քո agent. We will not refund fees paid by you կամ քո agent on քո behalf fկամ any reason, including, but not limited to, in the event that քո agent fails to comply with the terms և conditions of this Agreement, քո agent incկամrectly provides infկամmation in the application process կամ if քո agent changes կամ otherwise modifies քո դոմեյն name recկամd incկամrectly.

14. NOTICES AND ANNOUNCEMENTS. You authկամize us to notify you as our customer of infկամmation that we deem is of potential interest to you. Ոչtices և announcements may include commercial e-mails և other notices describing changes, upgrades, new products և սպասարկումs կամ other infկամmation pertaining to Internet security կամ to enhance քո identity on the Internet և/կամ other relevant matters.

15. LIMITATION OF LIABILITY. You agree that our entire liability, և քո exclusive remedy, with respect to any Nicenic.com, Inc.’s սպասարկում(s) provided under this Agreement և/կամ fկամ any breach of this Agreement is solely limited to the amount you paid fկամ such սպասարկում(s). Nicenic.com, Inc. և its contractկամs shall not be liable fկամ any direct, indirect, incidental, special կամ consequential damages resulting from the use կամ inability to use any of the Nicenic.com, Inc. ’s սպասարկումs կամ fկամ the cost of procurement of substitute սպասարկումs. Because some states do not allow the exclusion կամ limitation of liability fկամ consequential կամ incidental damages, in such states, our liability is limited to the extent permitted by law. We disclaim any և all loss կամ liability resulting from, but not limited to: (1) loss կամ liability resulting from access delays կամ access interruptions; (2) loss կամ liability resulting from data non-delivery կամ date mis-delivery; (3) loss կամ liability resulting from the unauthկամized use կամ misuse of քո Account Number, Գաղտնաբառ կամ security authentication option; (4) loss կամ liability resulting from errկամs, omissions, կամ misstatements in any և all infկամmation կամ սպասարկումs(s) provided under this Agreement; (5) loss կամ liability relating to the deletion of կամ failure to stկամe e-mail messages; (6) loss կամ liability resulting from the development կամ interruption of քո web site; (7) loss կամ liability from քո inability to use our China mail սպասարկում; (8) loss կամ liability that you may incur in connection with our processing of քո application fկամ our սպասարկումs, our processing of any authկամized modification to քո դոմեյն name recկամd կամ քո agents failure to pay any fees, including the initial registration fee կամ re-registration fee; կամ (9) loss կամ liability as a result of the application of our dispute policy.

16. INDEMNITY. You agree to defend, indemnify և hold harmless Nicenic.com, Inc., its affiliates և business partners, և any applicable դոմեյն name registry, including without limitation VeriSign, Inc., Afilias Limited, NeuՈրակ, Inc., Glaobal Անուն Registry և Public Interest Registry, և their respective subsidiaries և affiliates, և the directկամs, officers, employees և agents of each of them, from և against any և all claims, actions, losses, damages, expenses և costs, including reasonable attկամneys' fees և expenses, arising out of կամ relating to (i) քո դոմեյն name registration, (ii) any breach by you of this Agreement, including the Dispute Policy, կամ (iii) any third party claim, action, կամ demև related to քո դոմեյն name կամ the use tայստեղof.

17. TRANSFER OF OWNERSHIP. The person named as administrative contact at the time the controlling user name և passwկամd are secured shall be the owner of the դոմեյն name. You agree that priկամ to transferring ownership of քո դոմեյն name to another person (the Transferee") you shall require the Transferee to agree, in writing to be bound by all the terms և conditions of this Agreement. Your դոմեյն name will not be transferred until we receive such written assurances կամ other reasonable assurance that the Transferee has been bound by the contractual terms of this Agreement (such reasonable assurance as determined by us in our sole discretion) along with the applicable transfer fee. 18. BREACH. 20. REPRESENTATIONS AND WARRANTIES. 23. DISCLՕպերացիոն համակարգ (OS)URE AND USE OF REGISTRATION INFԿԱՄMATION. You agree և ackհիմաledge that we will make դոմեյն name registration infկամmation you provide available to ICANN, to the registry administratկամs, և to other third parties as ICANN և applicable laws may require կամ permit. 24. REVOCATION. 25. RIGHT OF REFUSAL. 26. SEVERABILITY. You agree that the terms of this Agreement are severable. In the case of e-mail, valid notice shall only have been deemed to have been given when an electronic confirmation of delivery has been obtained by the sender. 30. INFANCY. You attest that you are of legal age to enter into this Agreement.

31. ENTIRETY. You agree that this Agreement, the rules և policies published by us, the dispute policy և the privacy statement are the complete և exclusive agreement between you և us regarding our սպասարկումs. 32. TRANSFER AND ASSIGNMENT. 34. AGREEMENT TO BE BOUND. By applying fկամ Nicenic.com, Inc. Service(s) through our online application process կամ by applying fկամ և Գրանցումing a դոմեյն name as part of our e-mail template application process կամ by using the սպասարկում(s) provided by Nicenic.com, Inc. under this Agreement, you ackհիմաledge that you have read և agree to be bound by all terms և conditions of this Agreement և any pertinent rules կամ policies that are կամ may be published by Nicenic.com, Inc. 35. .MOBI - Should you seek to registrar a .MOBI second level դոմեյն, you must agree to be bound by the following terms:

  35.3 - Ackհիմաledge և agree that notwithstևing anything in this Agreement to the contrary, mTLD Առաջնահերթ տիրույթ Ltd. ("dotmobi"), the Registry Operatկամ of the .mobi TLD, is և shall be an intended third party beneficiary of this Agreement. As such, the parties to this Agreement ackհիմաledge և agree that the third party beneficiary rights of dotmobi have vested և that dotmobi has relied on its third party beneficiary rights under this Agreement in agreeing to Կետster being a registrar fկամ the .mobi top-level դոմեյն.   35.5 - Comply with operational stևards, policies, procedures, և practices fկամ the Registry TLD established from time to time by the .MOBI Registry Operatկամ in a non-arբիթrary manner as Registry Policies, applicable to all registrars և/կամ դոմեյն registrants, և consistent with the Registry Agreement shall be effective upon thirty days notice by Registry Operatկամ to Գրանցող;
  35.6 - Consent to the use, copying, distribution, publication, modification և other processing of քո Personal Data by dotmobi, the .MOBI Registry Operatկամ, և its designees և agents in a manner consistent with the purposes specified pursuant in its contract և with relevant mևatկամy local data protection, laws և privacy;

  35.10 - Ackհիմաledge և agree that the .MOBI Registry և .MOBI Registry Services Provider, acting in consent with the .MOBI Registry, reserves the right to deny, cancel կամ transfer any registration that it deems necessary, in its discretion (i) to protect the integrity և stability of the registry; (ii) to comply with all applicable laws, government rules կամ requirements, requests of law enfկամcement, in compliance with any dispute resolution process; (iii) to avoid any liability, civil կամ criminal, on the part of the Registry as well as its affiliates, subsidiaries, officers, directկամs, representatives, employees, և stockholders; (iv) fկամ violations of the terms և conditions այստեղin; կամ (v) to cկամrect mistakes made by the Registry կամ any registrar in connection with a դոմեյն name registration, և the Registry also reserves the right to freeze a Գրանցելed Անուն during resolution of a dispute.
  35.11 - Ackհիմաledge և agree that you must comply with the requirements, stևards, policies, procedures և practices set fկամth in the dotmobi Style Guide (www.mtld.mobi ) և consent to the monitկամing of the website as described in the dotmobi Style Guide monitկամing guidelines (www.mtld.mobi ) fկամ compliance with the Style Guide. Furthermկամe, Registrant ackհիմաledges և agrees that this Style Guide is subject to modification by the .MOBI Registry with any such changes appearing at the առաջiously designated URL, և that Registrant must promptly comply with any such changes in the time allotted.
