1.DEFINITIONS. In this Service Agreement (“Agreement”), “you” і “ваш” refer to each customer (“Customer”) і “we”, “us” і “our” refer to Nicenic.com, Inc. (“Nicenic.com, Inc.”). 2.SELECTION OF A DOMAIN NAME. 3. FEES, PAYMENT AND TERM OF SERVICE. Should you transfer ваш домен name або should the домен name otherwise be transferred due to another Реєстратор, the terms і conditions of this contract shall cease і shall be replaced by the contractual terms in fабоce fабо the purpose of зареєструватиing домен names then in fабоce between SLD holders і the new Реєстратор.

5. ACCURATE INFАБОMATION. As further consideration fабо the Nicenic.com, Inc. послуга(s), you agree to: (1) provide certain current, complete і accurate infабоmation about you as required by the application process; і (2) maintain і update this infабоmation as needed to keep it current, complete і accurate. We rely on this infабоmation to send you impабоtant infабоmation і notices regarding ваш account і our послугаs. Наш privacy statement, located on our web site at http://www.iisp.hk і incабоpабоated тутin by reference sets fабоth ваш і our rights і responsibilities with regard to ваш personal infабоmation. You agree that we, in our sole discretion, may modify our privacy statement. We will post such revised statement on our web site at least thirty (30) calendar days befабоe it becomes effective. You agree that, by using our послугаs after modifications to the privacy statement become effective, you have agreed to these modifications. You ackзаразledge that if you do not agree to any such modification, you may terminate this Agreement. We will not refund any fees paid by you if you terminate ваш Agreement with us. We will not process the personal date that we collect from you in a way incompatible with the purposes і other limitations described in our privacy statement і we will take reasonable precautions to protect ваш personal date from loss, misuse і unauthабоized access, disclosure, alteration або destruction. You represent і warrant that you have provided notice to, і obtained consent from, any third party individuals whose personal data you supply to us as part of our послугаs with regard to: (i) the purposes fабо which such third party’s personal data has been collected, (ii) the intended recipients або categабоies of recipients of the third party’s personal data, (iii) which parts of the third party’s data are obligatабоy і which parts, if any, are voluntary: і (iv) how the third party can access і, if necessary, rectify the data held about them. You further agree to provide such notice і obtain such consent with regard to any third party personal data you supply to us in the future. We are not responsible fабо any consequences resulting from ваш failure to provide notice або receive consent from such individuals nабо fабо ваш providing outdated, incomplete або inaccurate infабоmation. Even if you intend to license the use of our домен name registration послугаs to a third party, you will remain our customer і you are responsible fабо complying with all terms і conditions of this Agreement. Subject to the requirements of our privacy statement, in абоder fабо us to comply with our legal і contractual obligations, you тутby grant to Nicenic.com, Inc. the right to disclose to third parties through an interactive publicly accessible registration database the following mіatабоy infабоmation that you are required to provide when зареєструватиing або reserving a домен name: (i) the домен name(s) зареєструватиed by you; (ii) ваш name і postal address; (iii) the name(s), postal address(es), e-mail address(es), voice telephone number і wтут available the fax number(s) of the technical і administrative contacts fабо ваш домен name(s); (iv) the Internet protocol numbers of the primary nameserver і the secondary nameserver(s) fабо such name(s); (v) the cабоresponding names of those nameservers; (vi) the абоiginal creation date of the registration; і (vii) the expiration date of the registration. We, as are all accredited домен name registrars, are also required the government to make this infабоmation available in bulk fабоm to third parties who agree not to use it to (a) allow, enable або otherwise suppабоt the transmission of mass unsolicited, commercial advertising або solicitations via e-mail (spam) або (b) enable high volume, automated, electronic processes that apply to our systems to зареєструвати домен names.

6. MODIFICATIONS TO AGREEMENT. Except as otherwise provided in this Agreement, you agree, during the term of this Agreement, that we may: (1) revise the terms і conditions of this Agreement; і/або (2) change part of the послугаs provided under this Agreement at any time. Ні employee, contractабо, agent або representative of Nicenic.com, Inc. is authабоized to alter або amend the terms і conditions of this Agreement.

7. MODIFICATIONS TO YOUR ACCOUNT. In абоder to change any of ваш account infабоmation with us, you must use the Account Number і the Пароль that you selected if you opened ваш account with us through our online application process, або the security authentication option that you selected if you opened ваш account with us through our e-mail application process. 8. DOMAIN NAME DISPUTE POLICY. 9. DOMAIN NAME DISPUTE POLICY MODIFICATIONS. You agree that we, in our sole discretion, may modify our dispute policy. We will post any such revised policy on our web site at least thirty (30) calendar days befабоe it becomes effective. You agree by maintaining the reservation або registration of ваш домен name after modifications to the dispute policy become effective, you have agreed to these modifications. You ackзаразledge that if you do not agree to any such modification, you may terminate this Agreement. We will not refund any fees paid by you if you terminate ваш Agreement with us.

10. DOMAIN NAME DISPUTES. You agree that, if ваш use of our домен name registration послугаs is challenged by a third party, you will be subject to the provisions specified in our dispute policy in effect at the time of the dispute. You agree that in the event a домен name dispute arises with any third party, you will indemnify і hold us harmless pursuant to the terms і conditions set fабоth below in this Agreement. Furthermабоe, you agree that if you are subject to litigation regarding ваш registration і use of our домен name registration послугаs, we may deposit control of ваш домен name recабоd into the registry of the judicial body by supplying a party with a registrar certificate from us.

11. Додатиitional Registry Requirements The following provisions apply to any домен names that you зареєструвати through Nicenic.com, Inc. in the relevant registry(ies).
A. (.INFO) With respect to any registration of a .INFO second level домен name, you agree to the following terms:
(1). You consent to the use, copying, distribution, publication, modification, і other processing of ваш Personal Data by Afilias, the .INFO Registry Operatабо, і its designees і agents in a manner consistent with the purposes specified pursuant in its contract.
(2). (4) . You ackзаразledge that Afilias, the registry operatабо fабо .INFO, will have no liability of any kind fабо any loss або liability resulting from the proceedings і processes relating to the Sunrise Period або the Lі Rush Period, including, without limitation: (a) the ability або inability of a registrant to obtain a given домен name during these periods, і (b) the results of any dispute over a Sunrise Реєстрація.
(5). Доdaynic, Inc. і Afilias, the registry operatабо fабо .INFO, expressly reserve the right to deny, cancel або transfer any registration that either shall deem necessary, in its discretion, to protect the integrity і stability of the .INFO registry, to comply with any applicable laws, government rules або requirements, requests of law enfабоcement, in compliance with any dispute resolution process, або to avoid any liability, civil або criminal, on the part of Доdaynic, Inc. і/або Afilias as well as their affiliates, subsidiaries, officers, directабоs і employees. Nicenic.com, Inc. і Afilias also reserve the right to lock a домен name during resolution of a dispute.
B. (.BIZ) With respect to any registration of a .BIZ second level домен name, you agree to the following terms:
(1). BIZ RESTRICTIONS. Реєстраціяs in the .biz TLD must be used або intended to be used primarily fабо bona fide business або commercial purposes. Fабо purposes of the .biz Реєстрація Restrictions ("Restrictions"), "bona fide business або commercial use" shall mean the bona fide use або bona fide intent to use the домен name або any content, software, materials, graphics або other infабоmation tтутon, to permit Internet users to access one або mабоe host computers through the DNS:

In the абоdinary course of trade або business; або
До facilitate (i) the exchange of goods, послугаs, infабоmation, або property of any kind; або, (ii) the абоdinary course of trade або business. Зареєструватиing a домен name solely fабо the purposes of (1) selling, trading або leasing the домен name fабо compensation, або (2) the unsolicited offering to sell, trade або lease the домен name fабо compensation shall not constitute a "bona fide business або commercial use" of that домен name.
(2). BIZ CERTIFICATION. As a .biz домен name registrant, you тутby certify to the best of ваш kзаразledge that:

(b) You have the authабоity to enter into this Agreement; і

(3). PROVISION OF REGISTRATION DATA.
( 3.1). Provision of Реєстрація Data. As part of the registration process, you are required to provide us with certain infабоmation і to update this infабоmation to keep it current, complete і accurate. This infабоmation includes (i) ваш full name, postal address, e-mail address, voice telephone number, і fax number if available; (ii) the name of an authабоized person fабо contact purposes in the case of a registrant that is an абоganization, association, або cабоpабоation; (iii) the IP addresses of the primary nameserver і any secondary nameserver(s) fабо the домен name; (iv) the cабоresponding names of those nameservers; (v) the full name, postal address, email address, voice telephone number, і fax number if available of the technical contact fабо the домен name; (vi) the full name, postal address, e-mail address, voice telephone number, і fax number if available of the administrative contact fабо the домен name; (vii) the name, postal address, e-mail address, voice telephone number, і fax number if available of the billing contact fабо the домен name; і (viii) any remark concerning the зареєструватиed домен name that should appear in the Whois directабоy. You agree і understі that the fабоegoing registration data will be publicly available і accessible on the Whois directабоy as required by ICANN/Registry Policy і may be sold in bulk in accабоdance with the ICANN Agreement.
(3.2) Inaccurate або Unreliable Data. You тутby represent і warrant that the data provided in the домен name registration application is true, cабоrect, up to date і complete і that you will continue to keep all the infабоmation provided up to date. Your willful provision of inaccurate або unreliable infабоmation, ваш willful failure promptly to update infабоmation provided to us, або any failure to respond fабо over five calendar days to our inquiries addressed to the e-mail address of the administrative, billing або technical contact then appearing in the Whois directабоy with respect to an домен name concerning the accuracy of контактні дані associated with any registration(s) або the registration of any домен name(s) зареєструватиed by або through you або ваш account, shall constitute a breach of this Agreement. Any infабоmation collected by us concerning an identified або identifiable natural person ("Personal Data") will be used in connection with the registration of ваш домен name(s) і fабо the purposes of this Agreement і as required або permitted by the ICANN Agreement або any ICANN/Registry Policy.
(4). DOMAIN NAME DISPUTE POLICY. In addition, you тутby ackзаразledge that you have read і understood і agree to be bound by the terms і conditions of the following documents, as they may be amended from time to time, which are тутby incабоpабоated і made an integral part of this Угода:

The Start-up Trademark Opposition Policy ("STOP"), available at http://www.iisp.hk; і
The Restrictions Dispute Resolution Criteria і Rules, available at http://www.iisp.hk.
The STOP sets fабоth the terms і conditions in connection with a dispute between a registrant of a домен name ("Registrant") with any third party (other than Registry Operatабо або Реєстратор) over the registration або use of a домен name зареєструватиed by Registrant that is subject to the Intellectual Property Claim Service. The Intellectual Property Claim Service a послуга introduced by Registry Operatабо to notify a trademark або послуга mark holder ("Claimant") that a second-level домен name has been зареєструватиed in which that Claimant claims intellectual property rights. In accабоdance with the STOP і its associated Rules, those Claimants will have the right to challenge registrations through independent ICANN-accredited dispute resolution providers. The UDRP sets fабоth the terms і conditions in connection with a dispute between a Registrant і any party other than the Registry Operatабо або Реєстратор over the registration і use of an Internet домен name зареєструватиed by Registrant. The RDRP sets fабоth the terms under which any allegation that a домен name is not used primarily fабо business або commercial purposes shall be enfабоced on a case-by-case, fact specific basis by an independent ICANN-accredited dispute provider. (5). DOMAIN NAME DISPUTE POLICY MODIFICATIONS. You agree that we, in our sole discretion, may modify our dispute policy. 12. ICANN POLICY. You agree that ваш registration of the SLD name shall be subject to suspension, cancellation, або transfer pursuant to any ICANN-adopted policy, або pursuant to any registrar або registry procedure not inconsistent with an ICANN-adopted policy, (1) to cабоrect mistakes by Реєстратор або the Registry in зареєструватиing the name або (2) fабо the resolution of disputes concerning the SLD name.

13. AGENTS. You agree that, if ваш agent (e.g., an Internet Service Provider, employee, etc.) придбатиd our послуга(s) on ваш behalf, you are nonetheless bound as a principal by all terms і conditions тутin, including the dispute policy. Your continued use of our послугаs shall ratify any unauthабоized actions of ваш agent. By acting on ваш behalf, ваш agent certifies that he або she is authабоized to apply fабо our послугаs on ваш behalf, that he або she is authабоized to bind you to the terms і conditions of this Agreement і that he або she has apprised you of the terms і conditions of this Agreement. In addition, you are responsible fабо any errабо made by ваш agent. We will not refund fees paid by you або ваш agent on ваш behalf fабо any reason, including, but not limited to, in the event that ваш agent fails to comply with the terms і conditions of this Agreement, ваш agent incабоrectly provides infабоmation in the application process або if ваш agent changes або otherwise modifies ваш домен name recабоd incабоrectly.

14. NOTICES AND ANNOUNCEMENTS. You authабоize us to notify you as our customer of infабоmation that we deem is of potential interest to you. Ніtices і announcements may include commercial e-mails і other notices describing changes, upgrades, new products і послугаs або other infабоmation pertaining to Internet security або to enhance ваш identity on the Internet і/або other relevant matters.

15. LIMITATION OF LIABILITY. You agree that our entire liability, і ваш exclusive remedy, with respect to any Nicenic.com, Inc.’s послуга(s) provided under this Agreement і/або fабо any breach of this Agreement is solely limited to the amount you paid fабо such послуга(s). Nicenic.com, Inc. і its contractабоs shall not be liable fабо any direct, indirect, incidental, special або consequential damages resulting from the use або inability to use any of the Nicenic.com, Inc. ’s послугаs або fабо the cost of procurement of substitute послугаs. Because some states do not allow the exclusion або limitation of liability fабо consequential або incidental damages, in such states, our liability is limited to the extent permitted by law. We disclaim any і all loss або liability resulting from, but not limited to: (1) loss або liability resulting from access delays або access interruptions; (2) loss або liability resulting from data non-delivery або date mis-delivery; (3) loss або liability resulting from the unauthабоized use або misuse of ваш Account Number, Пароль або security authentication option; (4) loss або liability resulting from errабоs, omissions, або misstatements in any і all infабоmation або послугаs(s) provided under this Agreement; (5) loss або liability relating to the deletion of або failure to stабоe e-mail messages; (6) loss або liability resulting from the development або interruption of ваш web site; (7) loss або liability from ваш inability to use our China mail послуга; (8) loss або liability that you may incur in connection with our processing of ваш application fабо our послугаs, our processing of any authабоized modification to ваш домен name recабоd або ваш agents failure to pay any fees, including the initial registration fee або re-registration fee; або (9) loss або liability as a result of the application of our dispute policy.

16. INDEMNITY. You agree to defend, indemnify і hold harmless Nicenic.com, Inc., its affiliates і business partners, і any applicable домен name registry, including without limitation VeriSign, Inc., Afilias Limited, NeuРівень, Inc., Glaobal Ім’я Registry і Public Interest Registry, і their respective subsidiaries і affiliates, і the directабоs, officers, employees і agents of each of them, from і against any і all claims, actions, losses, damages, expenses і costs, including reasonable attабоneys' fees і expenses, arising out of або relating to (i) ваш домен name registration, (ii) any breach by you of this Agreement, including the Dispute Policy, або (iii) any third party claim, action, або demі related to ваш домен name або the use tтутof.

17. TRANSFER OF OWNERSHIP. The person named as administrative contact at the time the controlling user name і passwабоd are secured shall be the owner of the домен name. You agree that priабо to transferring ownership of ваш домен name to another person (the Transferee") you shall require the Transferee to agree, in writing to be bound by all the terms і conditions of this Agreement. Your домен name will not be transferred until we receive such written assurances або other reasonable assurance that the Transferee has been bound by the contractual terms of this Agreement (such reasonable assurance as determined by us in our sole discretion) along with the applicable transfer fee. Якщо the Transferee fails to be bound in a reasonable fashion (as determine by us in our sole discretion) to the terms і conditions in this Agreement, any such transfer will be null і void.

18. BREACH. You agree that ваш failure to abide by any provision of the Agreement, any Nicenic.com, Inc. operating rule або policy, the dispute policy або ваш willful provision of inaccurate або unreliable infабоmation as part of the application process, або ваш failure to update ваш infабоmation to keep it current, complete або accurate, або ваш failure to respond fабо over fifteen (15) calendar days to inquiries from us concerning the accuracy of the контактні дані associated with ваш домен name registration may be considered by us to be a material breach і that we may provide a written notice, describing the breach, to you. We will not refund any fees paid by you if we terminate ваш Agreement due to ваш breach. Any such breach by you shall not be deemed to be excused simply because we did not act earlier in response to that, або any other breach, by you.

19. NO GUARANTY. You agree that, by registration of ваш chosen домен name, such registration does not confer immunity from objection to either the registration або use of ваш домен name.

20. REPRESENTATIONS AND WARRANTIES. You agree і warrant that: (i) the infабоmation that you або ваш agent on ваш behalf provide to us during the application process to зареєструвати ваш домен name або to apply fабо other Nicenic.com, Inc. ’s послуга(s) is, to the best of ваш kзаразledge і belief, accurate і complete, і that any future changes to this infабоmation will be provided to us in a timely manner accабоding to the modification procedures in place at that time, (ii) to the best of ваш kзаразledge і belief neither the registration of ваш домен name nабо the manner in which you intend to use such домен name will directly або indirectly infringe the legal rights of a third party, (iii) you have all requisite power і authабоity to execute this Agreement і to perfабоm ваш obligations тутunder, (iv) you have selected the necessary security option(s) fабо ваш домен name registration recабоd, і (v) you are of legal age to enter into this Agreement. You agree that ваш use of our послуга(s) is solely at ваш own risk. You agree that all of our послугаs are provided on an “as is” і “as available” basis.

31. ENTIRETY. 32. TRANSFER AND ASSIGNMENT. 34. AGREEMENT TO BE BOUND. By applying fабо Nicenic.com, Inc. Service(s) through our online application process або by applying fабо і зареєструватиing a домен name as part of our e-mail template application process або by using the послуга(s) provided by Nicenic.com, Inc. under this Agreement, you ackзаразledge that you have read і agree to be bound by all terms і conditions of this Agreement і any pertinent rules або policies that are або may be published by Nicenic.com, Inc. 35. .MOBI - Should you seek to registrar a .MOBI second level домен, you must agree to be bound by the following terms:
  35.1 - Indemnify to the maximum extent permitted by law, defend і hold harmless the .MOBI Registry Operatабо, і its directабоs, officers, employees і agents from і against any і all claims, damages, liabilities, costs і expenses, including reasonable legal fees і expenses, arising out of або relating to ваш домен name registration і або use, і this indemnification obligation survives the termination або expiration of the registration agreement;

  35.4 - Comply with ICANN requirements, stіards, policies, procedures, і practices fабо which the .MOBI Registry Operatабо has monitабоing responsibility in accабоdance with the Registry Agreement або other arrangement with ICANN;
  35.5 - Comply with operational stіards, policies, procedures, і practices fабо the Registry TLD established from time to time by the .MOBI Registry Operatабо in a non-arбітrary manner as Registry Policies, applicable to all registrars і/або домен registrants, і consistent with the Registry Agreement shall be effective upon thirty days notice by Registry Operatабо to Реєстратор;
  35.6 - Consent to the use, copying, distribution, publication, modification і other processing of ваш Personal Data by dotmobi, the .MOBI Registry Operatабо, і its designees і agents in a manner consistent with the purposes specified pursuant in its contract і with relevant mіatабоy local data protection, laws і privacy;

  35.10 - Ackзаразledge і agree that the .MOBI Registry і .MOBI Registry Services Provider, acting in consent with the .MOBI Registry, reserves the right to deny, cancel або transfer any registration that it deems necessary, in its discretion (i) to protect the integrity і stability of the registry; (ii) to comply with all applicable laws, government rules або requirements, requests of law enfабоcement, in compliance with any dispute resolution process; (iii) to avoid any liability, civil або criminal, on the part of the Registry as well as its affiliates, subsidiaries, officers, directабоs, representatives, employees, і stockholders; (iv) fабо violations of the terms і conditions тутin; або (v) to cабоrect mistakes made by the Registry або any registrar in connection with a домен name registration, і the Registry also reserves the right to freeze a Зареєструватиed Ім’я during resolution of a dispute.
  35.11 - Ackзаразledge і agree that you must comply with the requirements, stіards, policies, procedures і practices set fабоth in the dotmobi Style Guide (www.mtld.mobi ) і consent to the monitабоing of the website as described in the dotmobi Style Guide monitабоing guidelines (www.mtld.mobi ) fабо compliance with the Style Guide. Furthermабоe, Registrant ackзаразledges і agrees that this Style Guide is subject to modification by the .MOBI Registry with any such changes appearing at the назадiously designated URL, і that Registrant must promptly comply with any such changes in the time allotted.
  35.12 - Ackзаразledge і agree that Proxy або Proxy Реєстраціяs will not be allowed during the Sunrise Period, the Limited Industry Launch і the Premium Ім’я Всіocation і Auction Period, і in such an instance will constitute a material breach to this contract.
