EXCLUSIVE DOMAIN BROKERAGE AGREEMENT

NOW THEREFأوE, النطاق Parties do هناby agree as follows:

1.TERM OF THE AGREEMENT: SELLER grants BROKER النطاق exclusive right و authأوity to sell النطاق DOMAINS fأو six شهرnths from contract date (النطاق “Exclusive Sale Period”). إذا at least one DOMAIN is sold within النطاق initial Exclusive Sale Period, النطاقn النطاق Exclusive Sale Period shall be extended fأو an additional 4 شهرnths if by mutual agreement by both parties.

Once a DOMAIN is submitted by SELLER in writing by ADDENDA, النطاق DOMAIN becomes subject to this AGREEMENT.

2.EXCLUSIVITY: During النطاق Exclusive Sale Period, SELLER agrees not to use, appoint أو engage any person أو entity oالنطاقr than BROKER to act as its agent, sales representative أو in a similar capacity with respect to النطاق DOMAINS during النطاق term of this AGREEMENT. 3.NON CIRCUMVENTION: In addition to any oالنطاقr rights BROKER may have, during النطاق term of this AGREEMENT و fأو a period of one (1) سنة following النطاق termination of this AGREEMENT, SELLER shall not, directly أو indirectly:Make contact أو attempt to make contact, solicit أو attempt to solicit, negotiate أو attempt to negotiate, enter into أو attempt to enter into any AGREEMENT, و/أو transact أو attempt to transact any business with any potential شراءr (أو such شراءr's attأوneys, agents (oالنطاقr than BROKER), representatives, employees, officers, directأوs, principals, owners, shareholders, members, managers أو any person أو entity that is connected, directly أو indirectly, with such شراءr) exclusively procured by أو first introduced to SELLER by BROKER in respect of النطاق DOMAINS, except to النطاق extent such contact is through, أو with النطاق priأو written consent of BROKER; و Commit any oالنطاقr acts, directly أو indirectly, which would affect in any way whatsoever, circumvent النطاق restrictive covenant stated in subparagraph 3(a) immediately above. In النطاق event that SELLER violates النطاق provisions of Section 3(a) أو (b), BROKER shall be entitled to receive النطاق Fee (as هناinafter defined). Fأو clarity, Section 3(a), 3(b) و 3(c) above shall only apply to النطاق DOMAINS.

4.BROKER COMPENSATION: a.SELLER agrees to pay BROKER a fee fأو each أو any DOMAINS sold (النطاق “Fee”) equal to twenty percent (20%) of النطاق الإجمالي Sales السعر (net of sales tax و direct expenses, including, but not limited to, escrow fees و expenses under Section 6, below) received by النطاق SELLER. b.The Fee with respect to each sale of a DOMAIN consummated during النطاق Exclusive Sale Period shall be paid by SELLER to BROKER from escrow أو by wire transfer within 2 business days of receipt of funds by SELLER.

7.BROKER RESPONSIBILITIES: BROKER agrees to use commercially reasonable effأوts to secure شراءers fأو النطاق DOMAINS during النطاق Exclusive Sale Period. BROKER agrees that its responsibilities shall be perfأوmed in a diligent, competent و professional manner. SELLER ackالآنledges و agrees that this AGREEMENT does not require BROKER to render الخدمةs solely to SELLER أو to devote BROKER's entire business time و effأوt to النطاق perfأوmance of its duties هناunder. During النطاق Exclusive Sale Period, BROKER shall have النطاق right to act as a sales representative, distributأو و/أو marketing agent fأو persons و entities oالنطاقr than SELLER, including, without limitation, persons و entities who are أو who may be in competition with SELLER. BROKER agrees to act in good faith و in النطاق best interests of SELLER. BROKER agrees to infأوm SELLER of all significant offers fأو DOMAINS. BROKER retains النطاق right to engage oالنطاقr brokers و parties to help sell أو co-broker النطاق DOMAINS و النطاق BROKER will pay all fees owed to any such party, if any, out of Fees payable to BROKER by SELLER هناin.

8.SELLER RESPONSIBILITIES: SELLER agrees to do النطاق following during النطاق Exclusive Sales Period: Refer all السابقious, pending, و future inquiries fأو DOMAINS to BROKER, unless inquiries are directed towards a pأوtfolio instead of an individual DOMAIN; إذا النطاق النطاقات are currently parked to add (أو replace) on its lوing page a direct sales link as النطاق BROKER directs. 10.ESCROW: It is anticipated that an established company that provides النطاق escrow الخدمةs will be used fأو النطاق payment و transfer of DOMAINS which includes النطاق BROKER'S escrow الخدمة through Bank of America.

11.INDEMNIFICATION: Each Party هناby agrees to indemnify و hold harmless النطاق oالنطاقr Party, its officers, directأوs, shareholders, employees و agents, from و against any و all loss, damage, liability أو expense (including reasonable attأوneys' fees و costs), to which النطاقy may be put أو which النطاقy may incur by reason of, أو in connection with, any misrepresentation made by النطاق oالنطاقr Party, any breach of any of warranties by النطاق oالنطاقr Party, النطاق oالنطاقr Party's failure to fulfill any of its covenants أو obligations under this AGREEMENT, أو any trademark, copyright أو patent infringement arising out of أو relating to النطاق DOMAINS, أو in any way arising out of النطاق oالنطاقr Party being a party to, أو النطاق oالنطاقr Party's perfأوmance of, this AGREEMENT, oالنطاقr than through النطاق oالنطاقr Party's gross negligence أو willful misconduct. The fأوegoing obligation shall exist only if النطاق Party (i) promptly notifies النطاق oالنطاقr Party of such claim, (ii) provides النطاق oالنطاقr Party with reasonable infأوmation, assistance و cooperation in defending النطاق lawsuit أو proceeding و (iii) gives النطاق oالنطاقr Party exclusive control و sole authأوity over النطاق defense و settlement of such claim.

12.JOINT MATERIALS: The Parties agree that all marketing materials developed in connection with النطاق الخدمةs perfأوmed by BROKER هناunder shall be النطاق joint property of BROKER و SELLER و neiالنطاقr party shall use such materials after النطاق Exclusive Sale Period without النطاق priأو written approval of النطاق oالنطاقr Party.

13.RELATIONSHIP OF THE PARTIES; REPأوTING OF INCOME. BROKER is retained هناunder as an independent contractأو و nothing هناin contained shall create an employer/employee, principal/agent, partnership أو joint venture relationship between النطاق Parties. The Parties agree that BROKER shall include all compensation it receives هناunder in its own books أو account fأو inclusion on its own applicable tax return, that BROKER shall be responsible fأو payment of all income و employment taxes النطاقreon, و that such compensation will not be subject to any offset, employee payroll taxes أو oالنطاقr deduction. إذا The SELLER is a US resident أو Citizen SELLER will receive from BROKER a 1099 repأوting النطاق gross proceeds received from النطاق BROKER و النطاق parking revenue received by النطاق Broker.

21.COUNTERPARTS: This AGREEMENT may be executed in one أو شهرre counterparts, each of which shall be deemed an أوiginal, but all of which togeالنطاقr shall constitute one و النطاق same instrument.
