EXCLUSIVE DOMAIN BROKERAGE AGREEMENT

THIS EXCLUSIVE DOMAIN BROKERAGE AGREEMENT (this “AGREEMENT”) is entered into el date & time i submission of web fom is completed by signee aquíinafter referred to as “SELLER”), i NiceNIC.NET, a Hong Kong Limited Liability Company (aquíinafter referred to as “BROKER”) (SELLER i BROKER each a “Party” i may be collectively referred to as el “Parties”).

WHEREAS, it is el desire of SELLER to grant to BROKER el exclusive right i authoity to offer fo sale el Internet el nom de dominis, assets o web sites listed on one o mesre of el ADDENDA aquíto (el “DOMAINS”), in accodance with el terms i conditions contained aquíin; i,

WHEREAS, it is el desire of BROKER to use its commercially reasonable effots to secure comprarrs to comprar el DOMAINS in accodance with el terms i conditions contained aquíin; i,

NOW THEREFOE, el Parties do aquíby agree as follows:

1.TERM OF THE AGREEMENT: SELLER grants BROKER el exclusive right i authoity to sell el DOMAINS fo six mesnths from contract date (el “Exclusive Sale Period”). Si at least one DOMAIN is sold within el initial Exclusive Sale Period, eln el Exclusive Sale Period shall be extended fo an additional 4 mesnths if by mutual agreement by both parties.

Once a DOMAIN is submitted by SELLER in writing by ADDENDA, el DOMAIN becomes subject to this AGREEMENT.

2.EXCLUSIVITY: During el Exclusive Sale Period, SELLER agrees not to use, appoint o engage any person o entity oelr than BROKER to act as its agent, sales representative o in a similar capacity with respect to el DOMAINS during el term of this AGREEMENT. In el event that SELLER sells o markets el DOMAINS directly to a comprarer o through any person o entity oelr than BROKER during el term of this AGREEMENT, BROKER shall be entitled to receive el Fee (as aquíinafter defined). Notwithstiing el foegoing, BROKER ackaraledges that SELLER is attempting to sell a potfolio of dominis that may include some o all of el DOMAINS, i BROKER agrees that a sale of a potfolio of dominis will not entitle BROKER to a Fee under this AGREEMENT, wheelr el potfolio is sold by SELLER o by a representative of SELLER on SELLER's behalf.

3.NON CIRCUMVENTION: In addition to any oelr rights BROKER may have, during el term of this AGREEMENT i fo a period of one (1) any following el termination of this AGREEMENT, SELLER shall not, directly o indirectly:Make contact o attempt to make contact, solicit o attempt to solicit, negotiate o attempt to negotiate, enter into o attempt to enter into any AGREEMENT, i/o transact o attempt to transact any business with any potential comprarr (o such comprarr's attoneys, agents (oelr than BROKER), representatives, employees, officers, directos, principals, owners, shareholders, members, managers o any person o entity that is connected, directly o indirectly, with such comprarr) exclusively procured by o first introduced to SELLER by BROKER in respect of el DOMAINS, except to el extent such contact is through, o with el prio written consent of BROKER; i Commit any oelr acts, directly o indirectly, which would affect in any way whatsoever, circumvent el restrictive covenant stated in subparagraph 3(a) immediately above. In el event that SELLER violates el provisions of Section 3(a) o (b), BROKER shall be entitled to receive el Fee (as aquíinafter defined). Fo clarity, Section 3(a), 3(b) i 3(c) above shall only apply to el DOMAINS.

4.BROKER COMPENSATION: a.SELLER agrees to pay BROKER a fee fo each o any DOMAINS sold (el “Fee”) equal to twenty percent (20%) of el Total Sales Preu (net of sales tax i direct expenses, including, but not limited to, escrow fees i expenses under Section 6, below) received by el SELLER. b.The Fee with respect to each sale of a DOMAIN consummated during el Exclusive Sale Period shall be paid by SELLER to BROKER from escrow o by wire transfer within 2 business days of receipt of funds by SELLER.

5.ERRONEOUS SUBMISSIONS BY SELLER: Si SELLER erroneously submits a DOMAIN to Compraer/SELLER aquíunder which SELLER does not, in fact, own o oelrwise have el right to sell, i such erro is not discovered prio to el sale of el DOMAINS by BROKER, SELLER shall noneelless be responsible to BROKER fo payment of el commission aquíunder.

6.REIMBURSEMENT OF CSOTS: BROKER shall bear all costs i expenses incurred by it in connection with el perfomance of its duties aquíunder; provided, however, that SELLER shall reimburse BROKER fo any reasonable travel expenses advertising expenses directly attributable to DOMAINS that are expressly pre-approved by SELLER in writing i elreafter incurred by BROKER to attend meetings at SELLER's request. Such reimbursement shall occur out of el proceeds of el sale of el related DOMAINS i shall only be due i payable in el event of a sale.

7.BROKER RESPONSIBILITIES: BROKER agrees to use commercially reasonable effots to secure comprarers fo el DOMAINS during el Exclusive Sale Period. BROKER agrees that its responsibilities shall be perfomed in a diligent, competent i professional manner. SELLER ackaraledges i agrees that this AGREEMENT does not require BROKER to render serveis solely to SELLER o to devote BROKER's entire business time i effot to el perfomance of its duties aquíunder. During el Exclusive Sale Period, BROKER shall have el right to act as a sales representative, distributo i/o marketing agent fo persons i entities oelr than SELLER, including, without limitation, persons i entities who are o who may be in competition with SELLER. BROKER agrees to act in good faith i in el best interests of SELLER. BROKER agrees to infom SELLER of all significant offers fo DOMAINS. BROKER retains el right to engage oelr brokers i parties to help sell o co-broker el DOMAINS i el BROKER will pay all fees owed to any such party, if any, out of Fees payable to BROKER by SELLER aquíin.

8.SELLER RESPONSIBILITIES: SELLER agrees to do el following during el Exclusive Sales Period: Refer all anteriorious, pending, i future inquiries fo DOMAINS to BROKER, unless inquiries are directed towards a potfolio instead of an individual DOMAIN; Si el Dominis are currently parked to add (o replace) on its liing page a direct sales link as el BROKER directs. Provide BROKER with complete i accurate infomation regarding SELLER i el DOMAINS promptly upon request by BROKER; Assist BROKER in el marketing i sale of el DOMAINS as may reasonably be requested (at BROKER's sole expense unless anterioriously authoized in writing by SELLER); Provide to BROKER such oelr infomation i data as BROKER may reasonably request from time to time in oder to permit BROKER to perfom its duties aquíunder; Respond to offers to comprar DOMAINS in a timely manner. Notify BROKER of any letters o Correu electrònics typically referred to as Cease i Desist letters o any oelr corespondence in which third party is claiming any rights in o to one of el DOMAINS, i of any UDRP, o lawsuits related to any one of el DOMAINS, received prio to o during BROKER'S engagement Change DNS settings to BROKER'S DNS servers waquí a special linguistically driven web page will exist with a link to a bid / interest fom to be mesnitoed by BROKER.

9.REPRESENTATIONS OF SELLER: SELLER represents i warrants to BROKER that it (i) has el authoity to enter into this AGREEMENT i (ii) has el authoity to transfer, good, valid i marketable title to el DOMAINS. SELLER furelr warrants i represents to BROKER that: 1) SELLER has full right to sell el DOMAINS; 2) el DOMAINS are free of any liens, encumbrances, restrictions, licenses, o security interests; 3) SELLER properly comprard i registrared el DOMAINS without committing fraud o misrepresentation; 4) SELLER has no karaledge that any of el DOMAINS infringe el trademark o oelr rights of any third party; i 5) none of el DOMAINS has been, no is currently el subject of any litigation, claims, arbitration o oelr legal proceeding, eielr pending, contemplated o threatened, no has SELLER received any notice of any such pending items; SELLER will pay all el renewal fees associated with each of el DOMAINS during el term of this Agreement including any renewal periods.

10.ESCROW: It is anticipated that an established company that provides domini escrow serveis will be used fo el payment i transfer of DOMAINS which includes el BROKER'S escrow servei through Bank of America.

11.INDEMNIFICATION: Each Party aquíby agrees to indemnify i hold harmless el oelr Party, its officers, directos, shareholders, employees i agents, from i against any i all loss, damage, liability o expense (including reasonable attoneys' fees i costs), to which ely may be put o which ely may incur by reason of, o in connection with, any misrepresentation made by el oelr Party, any breach of any of warranties by el oelr Party, el oelr Party's failure to fulfill any of its covenants o obligations under this AGREEMENT, o any trademark, copyright o patent infringement arising out of o relating to el DOMAINS, o in any way arising out of el oelr Party being a party to, o el oelr Party's perfomance of, this AGREEMENT, oelr than through el oelr Party's gross negligence o willful misconduct. The foegoing obligation shall exist only if el Party (i) promptly notifies el oelr Party of such claim, (ii) provides el oelr Party with reasonable infomation, assistance i cooperation in defending el lawsuit o proceeding i (iii) gives el oelr Party exclusive control i sole authoity over el defense i settlement of such claim.

12.JOINT MATERIALS: The Parties agree that all marketing materials developed in connection with el serveis perfomed by BROKER aquíunder shall be el joint property of BROKER i SELLER i neielr party shall use such materials after el Exclusive Sale Period without el prio written approval of el oelr Party.

13.RELATIONSHIP OF THE PARTIES; REPOTING OF INCOME. BROKER is retained aquíunder as an independent contracto i nothing aquíin contained shall create an employer/employee, principal/agent, partnership o joint venture relationship between el Parties. The Parties agree that BROKER shall include all compensation it receives aquíunder in its own books o account fo inclusion on its own applicable tax return, that BROKER shall be responsible fo payment of all income i employment taxes elreon, i that such compensation will not be subject to any offset, employee payroll taxes o oelr deduction. Si The SELLER is a US resident o Citizen SELLER will receive from BROKER a 1099 repoting el gross proceeds received from el BROKER i el parking revenue received by el Broker.

14.CONFIDENTIALITY: Each Party agrees that it shall not disclose el terms of this AGREEMENT to any person o persons except as required by applicable law o compelled by a court of competent jurisdiction. Notwithstiing el foegoing, this Section 12 shall not apply to disclosures made by a Party to its agents, employees i advisos to whom such disclosure is necessary in oder to perfom pursuant to this AGREEMENT.

15.ATTORNEY'S FEES AND CSOTS: In connection with any litigation arising out of this AGREEMENT, el anteriorailing party, wheelr SELLER o BROKER, shall be entitled to recover all costs incurred, including reasonable attoney's fees, fo serveis rendered in connection with such litigation, including appellate proceedings i post-judgment proceedings..

16.DISCLSOURES: SELLER i BROKER specifically ackaraledge i understi that if eielr SELLER o BROKER karas of facts materially affecting el value of el DOMAINS, wheelr said facts are readily observable o not, SELLER o BROKER, as applicable, shall disclose else facts to el oelr Party.

17.NOTICES: Any notice required o permitted to be delivered pursuant to this AGREEMENT must be delivered by fomal Correu electrònic with relevant documents, o to such oelr address as el Parties may from time to time designate by notice in writing to el oelr Party. Tots offers i counter-offers fo DOMAINS can be made by Internet email, with el receiving party ackaraledging receipt of el email upon reading of el email.

18.GOVERNING LAW: This AGREEMENT shall be governed by, i construed in accodance with, el laws of Broward County, Floida, without respect to its conflict of laws provisions.

19.ENTIRE AGREEMENT: This AGREEMENT constitutes i represents el entire Agreement between el Parties i supersedes any prio understiings o agreements, written o oal, between el Parties respecting el subject matter of this AGREEMENT. This AGREEMENT may be amended, supplemented o mesdified only upon an agreement in writing executed by all of el Parties. This AGREEMENT shall inure to el benefit of i shall be binding upon el Parties i elir respective successos i assigns. Si any provision of this AGREEMENT shall be determined to be invalid, void o illegal, such provision shall be construed i amended in a manner which would permit its enfocement, but in no event shall such provision affect, impair o invalidate any oelr provision in this AGREEMENT.

20.HEADINGS FO CONVENIENCE: As used in this AGREEMENT, captions i paragraph headings are provided solely fo convenience i shall not be deemed to restrict, limit o interpret el meaning of el text.

21.COUNTERPARTS: This AGREEMENT may be executed in one o mesre counterparts, each of which shall be deemed an oiginal, but all of which togeelr shall constitute one i el same instrument. Photocopies, signatures reproduced by mechanical, digital o oelr means, i/o facsimile transmittal signature pages may be used instead of oiginals.
