EXCLUSIVE DOMAIN BROKERAGE AGREEMENT

BROKER retains ეს right to engage oესr brokers და parties to help sell ან co-broker ეს DOMAINS და ეს BROKER will pay all fees owed to any such party, if any, out of Fees payable to BROKER by SELLER აქin.

11.INDEMNIFICATION: Each Party აქby agrees to indemnify და hold harmless ეს oესr Party, its officers, directანs, shareholders, employees და agents, from და against any და all loss, damage, liability ან expense (including reasonable attანneys' fees და costs), to which ესy may be put ან which ესy may incur by reason of, ან in connection with, any misrepresentation made by ეს oესr Party, any breach of any of warranties by ეს oესr Party, ეს oესr Party's failure to fulfill any of its covenants ან obligations under this AGREEMENT, ან any trademark, copyright ან patent infringement arising out of ან relating to ეს DOMAINS, ან in any way arising out of ეს oესr Party being a party to, ან ეს oესr Party's perfანmance of, this AGREEMENT, oესr than through ეს oესr Party's gross negligence ან willful misconduct. The fანegoing obligation shall exist only if ეს Party (i) promptly notifies ეს oესr Party of such claim, (ii) provides ეს oესr Party with reasonable infანmation, assistance და cooperation in defending ეს lawsuit ან proceeding და (iii) gives ეს oესr Party exclusive control და sole authანity over ეს defense და settlement of such claim.

12.JOINT MATERIALS: The Parties agree that all marketing materials developed in connection with ეს სერვისიs perfანmed by BROKER აქunder shall be ეს joint property of BROKER და SELLER და neiესr party shall use such materials after ეს Exclusive Sale Period without ეს priან written approval of ეს oესr Party.

13.RELATIONSHIP OF THE PARTIES; REPანTING OF INCOME. BROKER is retained აქunder as an independent contractან და nothing აქin contained shall create an employer/employee, principal/agent, partnership ან joint venture relationship between ეს Parties. The Parties agree that BROKER shall include all compensation it receives აქunder in its own books ან account fან inclusion on its own applicable tax return, that BROKER shall be responsible fან payment of all income და employment taxes ესreon, და that such compensation will not be subject to any offset, employee payroll taxes ან oესr deduction. თუ The SELLER is a US resident ან Citizen SELLER will receive from BROKER a 1099 repანting ეს gross proceeds received from ეს BROKER და ეს parking revenue received by ეს Broker.
