EXCLUSIVE DOMAIN BROKERAGE AGREEMENT

THIS EXCLUSIVE DOMAIN BROKERAGE AGREEMENT (this “AGREEMENT”) is entered into ang date & time at submission of web fom is completed by signee ditoinafter referred to as “SELLER”), at NiceNIC.NET, a Hong Kong Limited Liability Company (ditoinafter referred to as “BROKER”) (SELLER at BROKER each a “Party” at may be collectively referred to as ang “Parties”).

WHEREAS, it is ang desire of SELLER to grant to BROKER ang exclusive right at authoity to offer fo sale ang Internet pangalan ng domains, assets o web sites listed on one o buwanre of ang ADDENDA ditoto (ang “DOMAINS”), in accodance with ang terms at conditions contained ditoin; at,

WHEREAS, it is ang desire of BROKER to use its commercially reasonable effots to secure bumilirs to bumili ang DOMAINS in accodance with ang terms at conditions contained ditoin; at,

NOW THEREFOE, ang Parties do ditoby agree as follows:

1.TERM OF THE AGREEMENT: SELLER grants BROKER ang exclusive right at authoity to sell ang DOMAINS fo six buwannths from contract date (ang “Exclusive Sale Period”). Kung at least one DOMAIN is sold within ang initial Exclusive Sale Period, angn ang Exclusive Sale Period shall be extended fo an additional 4 buwannths if by mutual agreement by both parties.

Once a DOMAIN is submitted by SELLER in writing by ADDENDA, ang DOMAIN becomes subject to this AGREEMENT.

2.EXCLUSIVITY: During ang Exclusive Sale Period, SELLER agrees not to use, appoint o engage any person o entity oangr than BROKER to act as its agent, sales representative o in a similar capacity with respect to ang DOMAINS during ang term of this AGREEMENT. In ang event that SELLER sells o markets ang DOMAINS directly to a bumilier o through any person o entity oangr than BROKER during ang term of this AGREEMENT, BROKER shall be entitled to receive ang Fee (as ditoinafter defined). Hinditwithstating ang foegoing, BROKER ackngayonledges that SELLER is attempting to sell a potfolio of domains that may include some o all of ang DOMAINS, at BROKER agrees that a sale of a potfolio of domains will not entitle BROKER to a Fee under this AGREEMENT, wheangr ang potfolio is sold by SELLER o by a representative of SELLER on SELLER's behalf.

3.NON CIRCUMVENTION: In addition to any oangr rights BROKER may have, during ang term of this AGREEMENT at fo a period of one (1) taon following ang termination of this AGREEMENT, SELLER shall not, directly o indirectly:Make contact o attempt to make contact, solicit o attempt to solicit, negotiate o attempt to negotiate, enter into o attempt to enter into any AGREEMENT, at/o transact o attempt to transact any business with any potential bumilir (o such bumilir's attoneys, agents (oangr than BROKER), representatives, employees, officers, directos, principals, owners, shareholders, members, managers o any person o entity that is connected, directly o indirectly, with such bumilir) exclusively procured by o first introduced to SELLER by BROKER in respect of ang DOMAINS, except to ang extent such contact is through, o with ang prio written consent of BROKER; at Commit any oangr acts, directly o indirectly, which would affect in any way whatsoever, circumvent ang restrictive covenant stated in subparagraph 3(a) immediately above. In ang event that SELLER violates ang provisions of Section 3(a) o (b), BROKER shall be entitled to receive ang Fee (as ditoinafter defined). Fo clarity, Section 3(a), 3(b) at 3(c) above shall only apply to ang DOMAINS.

4.BROKER COMPENSATION: a.SELLER agrees to pay BROKER a fee fo each o any DOMAINS sold (ang “Fee”) equal to twenty percent (20%) of ang Kabuuan Sales Presyo (net of sales tax at direct expenses, including, but not limited to, escrow fees at expenses under Section 6, below) received by ang SELLER. b.The Fee with respect to each sale of a DOMAIN consummated during ang Exclusive Sale Period shall be paid by SELLER to BROKER from escrow o by wire transfer within 2 business days of receipt of funds by SELLER.

5.ERRONEOUS SUBMISSIONS BY SELLER: Kung SELLER erroneously submits a DOMAIN to Bumilier/SELLER ditounder which SELLER does not, in fact, own o oangrwise have ang right to sell, at such erro is not discovered prio to ang sale of ang DOMAINS by BROKER, SELLER shall noneangless be responsible to BROKER fo payment of ang commission ditounder.

6.REIMBURSEMENT OF COSTS: BROKER shall bear all costs at expenses incurred by it in connection with ang perfomance of its duties ditounder; provided, however, that SELLER shall reimburse BROKER fo any reasonable travel expenses advertising expenses directly attributable to DOMAINS that are expressly pre-approved by SELLER in writing at angreafter incurred by BROKER to attend meetings at SELLER's request. Such reimbursement shall occur out of ang proceeds of ang sale of ang related DOMAINS at shall only be due at payable in ang event of a sale.

7.BROKER RESPONSIBILITIES: BROKER agrees to use commercially reasonable effots to secure bumiliers fo ang DOMAINS during ang Exclusive Sale Period. BROKER agrees that its responsibilities shall be perfomed in a diligent, competent at professional manner. SELLER ackngayonledges at agrees that this AGREEMENT does not require BROKER to render Serbisyos solely to SELLER o to devote BROKER's entire business time at effot to ang perfomance of its duties ditounder. During ang Exclusive Sale Period, BROKER shall have ang right to act as a sales representative, distributo at/o marketing agent fo persons at entities oangr than SELLER, including, without limitation, persons at entities who are o who may be in competition with SELLER. BROKER agrees to act in good faith at in ang best interests of SELLER. BROKER agrees to infom SELLER of all significant offers fo DOMAINS. BROKER retains ang right to engage oangr brokers at parties to help sell o co-broker ang DOMAINS at ang BROKER will pay all fees owed to any such party, if any, out of Fees payable to BROKER by SELLER ditoin.

8.SELLER RESPONSIBILITIES: SELLER agrees to do ang following during ang Exclusive Sales Period: Refer all nakaraanious, pending, at future inquiries fo DOMAINS to BROKER, unless inquiries are directed towards a potfolio instead of an individual DOMAIN; Kung ang Mga Domain are currently parked to add (o replace) on its lating page a direct sales link as ang BROKER directs. Provide BROKER with complete at accurate infomation regarding SELLER at ang DOMAINS promptly upon request by BROKER; Assist BROKER in ang marketing at sale of ang DOMAINS as may reasonably be requested (at BROKER's sole expense unless nakaraaniously authoized in writing by SELLER); Provide to BROKER such oangr infomation at data as BROKER may reasonably request from time to time in oder to permit BROKER to perfom its duties ditounder; Respond to offers to bumili DOMAINS in a timely manner. Hinditify BROKER of any letters o Emails typically referred to as Cease at Desist letters o any oangr corespondence in which third party is claiming any rights in o to one of ang DOMAINS, at of any UDRP, o lawsuits related to any one of ang DOMAINS, received prio to o during BROKER'S engagement Change DNS settings to BROKER'S DNS servers wdito a special linguistically driven web page will exist with a link to a bid / interest fom to be buwannitoed by BROKER.

9.REPRESENTATIONS OF SELLER: SELLER represents at warrants to BROKER that it (i) has ang authoity to enter into this AGREEMENT at (ii) has ang authoity to transfer, good, valid at marketable title to ang DOMAINS. SELLER furangr warrants at represents to BROKER that: 1) SELLER has full right to sell ang DOMAINS; 2) ang DOMAINS are free of any liens, encumbrances, restrictions, licenses, o security interests; 3) SELLER properly bumilid at magparehistroed ang DOMAINS without committing fraud o misrepresentation; 4) SELLER has no kngayonledge that any of ang DOMAINS infringe ang trademark o oangr rights of any third party; at 5) none of ang DOMAINS has been, no is currently ang subject of any litigation, claims, arbitration o oangr legal proceeding, eiangr pending, contemplated o threatened, no has SELLER received any notice of any such pending items; SELLER will pay all ang renewal fees associated with each of ang DOMAINS during ang term of this Agreement including any renewal periods.

10.ESCROW: It is anticipated that an established company that provides domain escrow Serbisyos will be used fo ang payment at transfer of DOMAINS which includes ang BROKER'S escrow Serbisyo through Bank of America.

11.INDEMNIFICATION: Each Party ditoby agrees to indemnify at hold harmless ang oangr Party, its officers, directos, shareholders, employees at agents, from at against any at all loss, damage, liability o expense (including reasonable attoneys' fees at costs), to which angy may be put o which angy may incur by reason of, o in connection with, any misrepresentation made by ang oangr Party, any breach of any of warranties by ang oangr Party, ang oangr Party's failure to fulfill any of its covenants o obligations under this AGREEMENT, o any trademark, copyright o patent infringement arising out of o relating to ang DOMAINS, o in any way arising out of ang oangr Party being a party to, o ang oangr Party's perfomance of, this AGREEMENT, oangr than through ang oangr Party's gross negligence o willful misconduct. The foegoing obligation shall exist only if ang Party (i) promptly notifies ang oangr Party of such claim, (ii) provides ang oangr Party with reasonable infomation, assistance at cooperation in defending ang lawsuit o proceeding at (iii) gives ang oangr Party exclusive control at sole authoity over ang defense at settlement of such claim.

12.JOINT MATERIALS: The Parties agree that all marketing materials developed in connection with ang Serbisyos perfomed by BROKER ditounder shall be ang joint property of BROKER at SELLER at neiangr party shall use such materials after ang Exclusive Sale Period without ang prio written approval of ang oangr Party.

13.RELATIONSHIP OF THE PARTIES; REPOTING OF INCOME. BROKER is retained ditounder as an independent contracto at nothing ditoin contained shall create an employer/employee, principal/agent, partnership o joint venture relationship between ang Parties. The Parties agree that BROKER shall include all compensation it receives ditounder in its own books o account fo inclusion on its own applicable tax return, that BROKER shall be responsible fo payment of all income at employment taxes angreon, at that such compensation will not be subject to any offset, employee payroll taxes o oangr deduction. Kung The SELLER is a US resident o Citizen SELLER will receive from BROKER a 1099 repoting ang gross proceeds received from ang BROKER at ang parking revenue received by ang Broker.

14.CONFIDENTIALITY: Each Party agrees that it shall not disclose ang terms of this AGREEMENT to any person o persons except as required by applicable law o compelled by a court of competent jurisdiction. Hinditwithstating ang foegoing, this Section 12 shall not apply to disclosures made by a Party to its agents, employees at advisos to whom such disclosure is necessary in oder to perfom pursuant to this AGREEMENT.

15.ATTORNEY'S FEES AND COSTS: In connection with any litigation arising out of this AGREEMENT, ang nakaraanailing party, wheangr SELLER o BROKER, shall be entitled to recover all costs incurred, including reasonable attoney's fees, fo Serbisyos rendered in connection with such litigation, including appellate proceedings at post-judgment proceedings..

16.DISCLOSURES: SELLER at BROKER specifically ackngayonledge at understat that if eiangr SELLER o BROKER kngayons of facts materially affecting ang value of ang DOMAINS, wheangr said facts are readily observable o not, SELLER o BROKER, as applicable, shall disclose angse facts to ang oangr Party.

17.NOTICES: Any notice required o permitted to be delivered pursuant to this AGREEMENT must be delivered by fomal Email with relevant documents, o to such oangr address as ang Parties may from time to time designate by notice in writing to ang oangr Party. Lahat offers at counter-offers fo DOMAINS can be made by Internet email, with ang receiving party ackngayonledging receipt of ang email upon reading of ang email.

18.GOVERNING LAW: This AGREEMENT shall be governed by, at construed in accodance with, ang laws of Broward County, Floida, without respect to its conflict of laws provisions.

19.ENTIRE AGREEMENT: This AGREEMENT constitutes at represents ang entire Agreement between ang Parties at supersedes any prio understatings o agreements, written o oal, between ang Parties respecting ang subject matter of this AGREEMENT. This AGREEMENT may be amended, supplemented o buwandified only upon an agreement in writing executed by all of ang Parties. This AGREEMENT shall inure to ang benefit of at shall be binding upon ang Parties at angir respective successos at assigns. Kung any provision of this AGREEMENT shall be determined to be invalid, void o illegal, such provision shall be construed at amended in a manner which would permit its enfocement, but in no event shall such provision affect, impair o invalidate any oangr provision in this AGREEMENT.

20.HEADINGS FO CONVENIENCE: As used in this AGREEMENT, captions at paragraph headings are provided solely fo convenience at shall not be deemed to restrict, limit o interpret ang meaning of ang text.

21.COUNTERPARTS: This AGREEMENT may be executed in one o buwanre counterparts, each of which shall be deemed an oiginal, but all of which togeangr shall constitute one at ang same instrument. Photocopies, signatures reproduced by mechanical, digital o oangr means, at/o facsimile transmittal signature pages may be used instead of oiginals.
