Domain Name Registration Service Agreement

Important: Please read this Agreement carefully. It contains terms governing domain name registration, renewal, transfer, expiration, dispute resolution, suspension, and limitation of liability.

1. Agreement and Acceptance
This Domain Name Registration Service Agreement (the “Agreement”) is entered into between NICENIC INTERNATIONAL GROUP CO., LIMITED, a company incorporated in Hong Kong and an ICANN-accredited registrar (IANA ID 3765), doing business as “NiceNIC” (“NiceNIC,” “we,” “us,” or “our”), and the individual or legal entity that accepts this Agreement (“Customer,” “you,” or “your”).
This Agreement governs your application for and use of domain name registration, renewal, transfer, redemption, restoration, management, and related registrar services provided through nicenic.com (the “Services”).

You accept this Agreement by clicking an acceptance box, submitting an order, registering, transferring, renewing, redeeming, restoring, or managing a domain name through NiceNIC, or otherwise using the Services after this Agreement becomes effective. If you accept this Agreement for an organization or another person, you represent that you have authority to bind that party.

If you are an Account Holder, reseller, agent, or other person acting for the Registered Name Holder, you must have the Registered Name Holder’s authorization, provide the Registered Name Holder with this Agreement and all applicable policies, and obtain the Registered Name Holder’s agreement to them. You remain responsible for your own acts and omissions and for ensuring that instructions submitted through your account are authorized.

2. Definitions
“Account” means the NiceNIC customer account through which Services are ordered or managed.
“Account Holder” means the person or entity controlling the Account and responsible for payment and account-level instructions.
“ICANN” means the Internet Corporation for Assigned Names and Numbers.
“Registered Name Holder” or “RNH” means the person or legal entity identified as the holder of a registered domain name. “Registrant” has the same meaning where used in an applicable policy.
“Registration Data” means data collected from a person or legal entity, or generated by NiceNIC or a Registry Operator, in connection with a domain name registration.
“Registry Operator” or “Registry” means the operator of the registry for the applicable top-level domain.
“TLD” means a top-level domain, including a generic top-level domain (“gTLD”) or country-code top-level domain (“ccTLD”).
3. Incorporated Policies and Order of Precedence
This Agreement incorporates by reference the policies and requirements that apply to the relevant domain name or Service, including the following, as updated from time to time:

The registration is also subject to applicable Registry rules, eligibility requirements, launch rules, dispute policies, acceptable-use rules, technical requirements, and mandatory laws and regulations.

If there is a conflict, mandatory law applies first. For gTLDs, applicable ICANN Consensus Policies, specifications, and the Registrar Accreditation Agreement apply to the extent required, followed by mandatory Registry requirements. TLD-specific rules and the incorporated NiceNIC policies then apply, followed by this Agreement. No provision of this Agreement is intended to reduce a non-waivable right granted by applicable law or mandatory ICANN policy.

4. Registrar and Registry Roles
NiceNIC accepts and processes domain name applications and instructions as a registrar or, for certain TLDs, through an authorized upstream provider. A requested registration, renewal, transfer, redemption, restoration, or other registry-level transaction is not complete until it is accepted and recorded by the applicable Registry or service provider.

An availability search, order confirmation, payment authorization, invoice, or pending status does not guarantee that a domain name has been or can be registered, renewed, transferred, redeemed, or restored. Registry databases and availability results may change between search and completion.

NiceNIC may reject or cancel a pending application before registry completion where the name is unavailable, reserved, prohibited, restricted, subject to an eligibility failure, affected by an evident pricing or technical error, unsupported by the Registry, or inconsistent with applicable law, policy, or this Agreement. If a registration or other transaction has already been completed, NiceNIC will not cancel or reverse it except as permitted or required by applicable policy, Registry procedure, law, legal process, or this Agreement.

5. TLD-Specific Rules, IDNs, and Eligibility
Each TLD may have different eligibility, documentation, local-presence, naming, term, transfer, renewal, expiration, restoration, dispute, and data requirements. You must satisfy the applicable requirements and promptly provide requested information or documents. Registry requirements may change during the registration term.

ccTLDs are primarily governed by the applicable ccTLD Registry and local rules. ICANN gTLD policies do not necessarily apply to ccTLDs. Where NiceNIC provides a TLD through an upstream provider, that provider’s mandatory terms may also apply.

Internationalized Domain Names (“IDNs”) depend on Registry-supported scripts, language tables, label-generation rules, browser support, and DNS standards. Display or functionality may vary among applications. The ASCII-compatible encoded form recorded by the Registry controls where required by the DNS or Registry system.

If eligibility, validation, or documentation requirements are not satisfied, the application may be rejected or the domain name may be suspended, locked, deleted, not renewed, or otherwise restricted as required by the applicable Registry or policy.

6. Premium Domains, Pre-Registration, Sunrise, and Launch Phases
A Premium Domain may have non-standard registration, transfer, renewal, or restoration pricing established by the Registry or a third-party seller. The price shown and accepted for the specific transaction controls, subject to correction of a clear pricing or technical error before completion.

Pre-registration, Sunrise, Landrush, Early Access, and similar launch-phase applications do not guarantee allocation. Competing applications, auctions, rights-validation requirements, Registry decisions, or launch rules may affect the result. Any non-refundable application, validation, or auction fee will be disclosed before payment to the extent available to NiceNIC.

7. Registered Name Holder, Account Holder, and Reseller Responsibilities
The Registered Name Holder is the holder of record and is responsible for the registration and use of the domain name. The Account Holder may manage the domain name only to the extent authorized by the Registered Name Holder and applicable policy.

If the Account Holder and Registered Name Holder are different, the Account Holder must accurately identify the Registered Name Holder and must not substitute its own information without authorization. NiceNIC may require reasonable evidence of authority before acting on material instructions, including a transfer, Change of Registrant, disclosure, deletion, or account move.

A reseller or agent using NiceNIC Services for third parties must:

obtain and retain the Registered Name Holder’s acceptance of this Agreement and applicable policies;
provide accurate information concerning NiceNIC’s identity as the sponsoring registrar where required;
display applicable registration, renewal, post-expiration renewal, and redemption/restore fees and describe expiration-notice methods as required by ICANN policy;
provide required notices and promptly transmit communications between NiceNIC and the Registered Name Holder; and
not make representations inconsistent with this Agreement, applicable ICANN policies, or Registry requirements.

8. Registration Data and Accuracy
The Registered Name Holder must provide accurate and reliable Registration Data and must correct and update it within seven (7) days after any change. Required data may include the Registered Name Holder’s full name, postal address, email address, voice telephone number, fax number if available, and the name of an authorized contact person where the Registered Name Holder is an organization, association, or corporation, together with other data required by applicable policy or Registry rules.

State/province and postal code are required where applicable for the relevant country or territory. Additional data may be required for a particular TLD. Where the Registered Name Holder supplies a value for Registrant Organization, that organization may be treated as the Registered Name Holder and may be published where the Registered Name Holder agrees and applicable policy requires or permits publication.

NiceNIC will validate and verify Registration Data as required by the applicable Registrar Accreditation Agreement, ICANN policy, Registry requirements, and law. You must complete applicable email, telephone, documentation, or other verification steps and respond to accuracy inquiries.

The Registered Name Holder’s willful provision of inaccurate or unreliable information, willful failure to update information within seven (7) days after a change, or failure to respond for more than fifteen (15) calendar days to an inquiry from NiceNIC concerning the accuracy of contact details associated with the registration constitutes a material breach and is a basis for suspension and/or cancellation of the registration, subject to applicable policy.

At least annually, NiceNIC will present the Registered Name Holder with the current Registration Data as required by the Registration Data Reminder Policy. The Registered Name Holder must review the data and correct any inaccurate information.

9. Licensed Use and Third-Party Data
A Registered Name Holder that licenses use of a domain name to a third party remains the Registered Name Holder of record and remains responsible for providing its own full contact information and accurate technical and administrative contact information adequate to facilitate timely resolution of problems connected with the domain name.

The Registered Name Holder accepts liability for harm caused by wrongful use of the domain name unless, within seven (7) days after receiving reasonable evidence of actionable harm, it discloses the current contact information provided by the licensee and the licensee’s identity to the party providing that evidence, subject to applicable data-protection law.

If you provide Personal Data concerning another person, you represent that you have provided that person with legally sufficient notice of the processing described in this Agreement and the Privacy Policy and have obtained any consent or other authorization required by applicable law.

10. Registration Data Processing and Privacy
NiceNIC collects and processes Registration Data for purposes that include providing and securing the Services; processing registration and lifecycle transactions; maintaining records; validating and verifying data; communicating with Account Holders and Registered Name Holders; preventing fraud and DNS Abuse; complying with ICANN, Registry, escrow, legal, tax, accounting, and dispute-resolution requirements; and handling lawful disclosure requests.

Recipients or categories of recipients may include the applicable Registry Operator, registry service providers, ICANN, an ICANN-approved data escrow agent, dispute-resolution providers, upstream providers, payment and security providers, professional advisers, and governmental or judicial authorities where disclosure is required or permitted. Obligatory and optional data, publication rules, retention, access, correction, and other processing details are described in the NiceNIC Privacy Policy and applicable Registration Data Policy.

You acknowledge this processing and, where consent is the applicable legal basis, consent to it as described in the Privacy Policy. NiceNIC will not process Personal Data in a manner incompatible with the purposes and limitations of which it has provided notice and will take reasonable precautions to protect Personal Data from loss, misuse, unauthorized access or disclosure, alteration, or destruction.

Public RDDS results may contain public, redacted, or pseudonymized data, or a communication mechanism, as required or permitted by applicable policy and law. Submission of Registration Data does not mean that all data will be publicly displayed. Requests for non-public data are assessed under applicable policy and law and do not guarantee disclosure.

NiceNIC does not claim ownership of your Personal Data. NiceNIC and applicable Registry Operators may hold rights in their databases, compilations, transaction records, generated data, and service records as permitted by contract and law.

11. Domain Transfers and Change of Registrant
Inter-registrar transfers of gTLD registrations are governed by the current ICANN Transfer Policy. The Registered Name Holder is the party authorized to approve or deny a transfer request, subject to the authentication and procedural requirements of that Policy.

You expressly consent to NiceNIC applying the clientTransferProhibited status upon initial registration as a standard security measure, where supported and permitted. NiceNIC may also apply or maintain a transfer restriction at the Registered Name Holder’s request, during an applicable initial-registration, post-transfer, or Change of Registrant lock period, or where required by ICANN policy, Registry policy, a dispute proceeding, court order, or applicable law.

Where self-service removal is available, the Registered Name Holder may remove an eligible transfer lock through the Account. Otherwise, NiceNIC will provide a reasonably accessible method to request removal and will remove clientTransferProhibited or provide the AuthInfo code within the period required by the applicable Transfer Policy, provided no policy-based restriction applies and reasonable authentication is completed.

NiceNIC may deny or must deny a gTLD transfer only on grounds permitted or required by the current ICANN Transfer Policy. When NiceNIC denies a transfer request, it will provide the reason for denial to the Registered Name Holder and the potential Gaining Registrar as required by that Policy.

A Change of Registrant may be subject to confirmation, verification, and an inter-registrar transfer lock under the ICANN Transfer Policy. If NiceNIC offers an opt-out from an optional Change of Registrant lock, the opt-out must be selected before completion of the change. TLD-specific transfer and registrant-change rules may differ.

12. Fees, Taxes, and Payment
Current registration, transfer, renewal, post-expiration renewal (if different), and redemption/restore fees are published on the NiceNIC Domain Prices page at https://nicenic.com/domain/prices.php. This link and the fees displayed there are incorporated into this Agreement by reference.

Fees may vary by TLD, Registry classification, premium status, registration term, account or reseller level, currency, tax, transaction type, and lifecycle status. Optional services and any additional mandatory charges will be disclosed before the relevant order is submitted to the extent known to NiceNIC.

The price presented for acceptance at checkout or at the time an API transaction is submitted is the applicable price for that transaction, subject to correction of a clear pricing or system error before registry completion. Fees may change prospectively when Registry costs, taxes, exchange rates, service arrangements, or commercial terms change. Renewal and auto-renewal transactions use the applicable price at the time of processing.

Services are generally prepaid. You authorize NiceNIC to charge the selected payment method or deduct the applicable amount from your Account balance. You are responsible for taxes, payment-provider charges, blockchain network charges, currency-conversion costs, and other charges not expressly included in the displayed NiceNIC price.

Payment does not complete a registry transaction. If a submitted transaction cannot be completed, any credit or refund will be handled according to the transaction status, payment method, applicable law, and NiceNIC’s published payment or refund terms. Cryptocurrency and blockchain transactions are irreversible, and NiceNIC does not reimburse exchange-rate changes or third-party network fees.

13. Refunds and Reversals
Fees for a successfully completed registration, renewal, transfer, redemption, restoration, premium-domain acquisition, or other completed registry transaction are non-refundable except where required by applicable law or expressly agreed by NiceNIC.

A chargeback, payment reversal, disputed payment, fraudulent payment, or failure of final settlement may result in suspension of the Account or affected Services and reasonable recovery action, subject to applicable law and ICANN or Registry policy. NiceNIC will not use the transfer process as a payment-collection mechanism in a manner prohibited by the ICANN Transfer Policy.

14. Renewal and Auto-Renewal
A domain name is registered for a limited term and expires unless renewed. The Registered Name Holder and Account Holder are responsible for monitoring expiration dates, maintaining accurate contact and payment information, and submitting payment early enough for processing before the applicable deadline.

Where auto-renewal is offered and enabled, it is subject to sufficient Account balance or valid payment, Registry availability, applicable renewal deadlines, verification or eligibility requirements, and successful processing. NiceNIC does not guarantee auto-renewal where these conditions are not satisfied. You may disable auto-renewal before processing, subject to the controls available in your Account.

For certain ccTLDs and other TLDs, the operational renewal deadline may occur before the Registry expiration date. The applicable deadline and Registry rules control. You should not wait until the displayed expiration date to renew.

For gTLDs, NiceNIC will transmit the pre-expiration and post-expiration notices required by the ICANN Expired Registration Recovery Policy by email to the Registrant at Expiration at the applicable contact address in NiceNIC’s records. NiceNIC may also send notices to the Account Holder, display notices in the Account, or use additional communication channels. These required notices do not remove your responsibility to maintain current contact information and timely renew the registration.

15. Renewal, Expiration, Redemption, and Auction
Domain name expiration, DNS interruption, post-expiration renewal, deletion, redemption, restoration, pending deletion, and expired-domain auction procedures are governed by NiceNIC’s Expired Domain Renewal, Redemption, and Auction Policy at https://nicenic.com/legal/expired-domain-renewal-redemption-and-auction-policy, which is incorporated into this Agreement by reference.

The applicable registration, transfer, renewal, post-expiration renewal (if different), and redemption/restore fees are published at https://nicenic.com/domain/prices.php.

Domain lifecycle periods and recovery options vary by TLD and may change under Registry rules or mandatory ICANN requirements. Not every TLD offers the same grace period, Redemption Grace Period, pending-delete stage, auction process, or recovery method. A domain name may stop resolving upon or after expiration, and website, email, DNS, and related services may be interrupted.

Where the applicable gTLD Registry offers a Redemption Grace Period, NiceNIC will permit the Registrant at Expiration to request restoration during that period, subject to payment of applicable renewal and redemption/restore fees, completion of required verification, and mandatory Registry requirements. For other TLDs, restoration availability is determined by applicable Registry policy.

Nothing in NiceNIC’s expired-domain auction process limits any non-waivable renewal or restoration right granted to the Registrant at Expiration under the ICANN Expired Registration Recovery Policy. If this Agreement or the NiceNIC expired-domain policy conflicts with a mandatory ICANN policy or Registry requirement, that mandatory policy or requirement controls to the extent of the conflict.

Recovery after expiration is not guaranteed once the applicable renewal or restoration right has ended, the name reaches a non-recoverable status, or the Registry releases or allocates the name. NiceNIC does not guarantee the release time or the former Registered Name Holder’s ability to re-register a deleted name.

16. Intellectual Property and Lawful Use
To the best of the Registered Name Holder’s knowledge and belief, neither registration of the domain name nor the manner in which it is directly or indirectly used infringes the legal rights of any third party. NiceNIC does not determine whether a requested name or its intended use violates another party’s trademark, copyright, privacy, publicity, contractual, or other rights.

You must not use the Services for unlawful activity or in a manner that violates applicable law, ICANN policy, Registry requirements, this Agreement, or the rights of others. Prohibited activity includes using a domain name to facilitate malware, botnets, phishing, pharming, or spam when spam serves as a delivery mechanism for another form of DNS Abuse, as those terms are used in applicable ICANN requirements.

A complaint alone does not determine liability or automatically require suspension. NiceNIC will review reports and take reasonable and appropriate action based on the evidence, severity, applicable policies, Registry capabilities, legal requirements, and the facts and circumstances of the matter. NiceNIC may request information from the Registered Name Holder or Account Holder. Immediate action may be taken where required by law or policy or reasonably necessary to address an urgent security threat or ongoing harm.

Abuse reports should be submitted through https://nicenic.com/reportabuse.php or another official abuse channel published by NiceNIC.

17. Dispute Resolution Policies
All applicable domain name dispute policies are incorporated into this Agreement. gTLD registrations are subject to the UDRP and, where applicable, the URS, Transfer Dispute Resolution Policy, and other ICANN or Registry dispute procedures. ccTLDs and sponsored or restricted TLDs may have different dispute policies.

The Registered Name Holder agrees that a registration may be locked, suspended, cancelled, transferred, or otherwise affected in accordance with an applicable dispute policy, final administrative decision, settlement, court order, or Registry procedure.

NiceNIC generally does not adjudicate competing claims to a domain name and may require the parties to resolve them through agreement, the applicable dispute procedure, or a court of competent jurisdiction. NiceNIC may maintain an appropriate status or lock while a dispute is pending as required by policy.

18. Suspension, Cancellation, Transfer, and Other Protective Actions
NiceNIC may deny a pending transaction or take proportionate action affecting a domain name or Account where reasonably necessary and permitted or required to:

correct a registration, pricing, technical, or operational error by NiceNIC or the Registry;
enforce this Agreement following a material breach, including applicable Registration Data accuracy requirements;
respond to fraud, unauthorized access, payment reversal, or a security incident;
investigate or mitigate DNS Abuse or unlawful use based on the facts and evidence reasonably available;
protect the security, stability, or resiliency of the DNS, a Registry, NiceNIC’s systems, or affected users;
comply with an ICANN or Registry policy, a dispute-resolution proceeding or decision, a court order, valid legal process, or applicable law; or
satisfy a mandatory TLD eligibility, verification, local-presence, or documentation requirement.
Available actions may include requesting information or remediation, restricting Account functions, applying a permissible lock, suspending resolution through clientHold, denying a transaction, cancelling a Service, deleting a registration, or transferring a domain name when expressly authorized or required by policy or legal process.

Where appropriate, legally permitted, and consistent with the urgency and nature of the issue, NiceNIC will provide notice or an opportunity to respond or remedy. NiceNIC may act without advance notice when immediate action is required by law, policy, a Registry, a dispute provider, or a court, or is reasonably necessary to prevent material harm, preserve evidence, or protect security. NiceNIC will not exercise these rights in a manner inconsistent with mandatory ICANN Consensus Policies or Registry requirements.

19. Account Security and Instructions
You are responsible for protecting Account credentials, authentication devices, API credentials, email accounts, and authorized users. Instructions authenticated through your Account or API may be treated as authorized unless NiceNIC has reasonable notice of compromise or applicable policy requires additional verification.

You must promptly notify NiceNIC of suspected unauthorized access, loss of credentials, unauthorized domain changes, or a disputed transfer. NiceNIC may temporarily restrict Account or domain functions while reasonably investigating a security report.

NiceNIC may require additional authentication or documentation for high-risk or irreversible actions. Such controls do not transfer responsibility for Account security to NiceNIC.

20. Privacy, Proxy, Trustee, and Local-Presence Services
Where available, privacy, proxy, trustee, agent, or local-presence services are optional unless a TLD requires a qualifying local contact or presence. These services may be governed by separate terms, fees, eligibility requirements, and disclosure rules that you must accept before use.

Use of a privacy or proxy service does not eliminate the Registered Name Holder’s obligations, prevent lawful disclosure, or shield unlawful conduct. A service may be suspended or terminated, or underlying data may be disclosed, where permitted or required by the applicable service terms, ICANN policy, Registry requirements, law, or valid legal process.

Termination of an ancillary service may require replacement contact information, verification, or other updates before a transfer or registrant change can be completed. Fees for a partially used ancillary-service term are non-refundable unless otherwise stated or required by law.

21. Term and Termination
This Agreement begins when accepted and remains applicable while you use the Services or a domain name remains sponsored or managed through NiceNIC. Provisions that by their nature should survive—including payment obligations, data retention, dispute, indemnification, limitation-of-liability, and governing-law provisions—survive termination.

You may stop using the Services, disable renewal where available, transfer an eligible domain name, or request closure of your Account, subject to outstanding obligations, security review, mandatory retention, and applicable domain lifecycle or transfer restrictions. Closing an Account does not automatically delete, cancel, or transfer domain registrations.

NiceNIC may stop offering a TLD or Service where commercially or operationally necessary or required by a Registry, provider, law, or policy. Where reasonably practicable and permitted, NiceNIC will provide notice and an opportunity to renew, transfer, or otherwise manage an affected domain name before support ends.

22. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless NiceNIC and its affiliates, directors, officers, employees, and agents from claims, damages, liabilities, costs, and reasonable legal expenses arising from your material breach of this Agreement, your unauthorized or unlawful use of the Services, or your infringement of a third party’s rights, except to the extent caused by NiceNIC’s fraud, willful misconduct, or gross negligence.

The Registered Name Holder must indemnify, defend, and hold harmless the applicable Registry Operator and its directors, officers, employees, and agents from and against all claims, damages, liabilities, costs, and expenses, including reasonable legal fees and expenses, arising out of or related to the Registered Name Holder’s domain name registration, as required by the applicable Registrar Accreditation Agreement or Registry agreement.

23. Disclaimer and Limitation of Liability
To the maximum extent permitted by law, the Services are provided on an “as available” basis. NiceNIC does not warrant that every requested name will be available, that every Registry or third-party system will operate without error or interruption, that an IDN will display identically in every application, or that an expired or deleted domain name can be recovered or re-registered.

NiceNIC is not responsible for delays, errors, interruptions, or losses caused by a Registry Operator, upstream provider, DNS infrastructure provider, payment network, blockchain network, dispute provider, governmental action, force majeure event, or other event beyond NiceNIC’s reasonable control, except to the extent liability cannot lawfully be excluded.

To the maximum extent permitted by law, neither party is liable to the other for indirect, incidental, special, punitive, or consequential damages, loss of profit, loss of anticipated savings, loss of business opportunity, or loss of goodwill arising from the Services, even if advised that such damage may occur.

To the maximum extent permitted by law, NiceNIC’s aggregate liability arising from a specific affected domain name or transaction will not exceed the fees paid to NiceNIC for that affected domain name or transaction during the twelve (12) months preceding the event giving rise to the claim.

Nothing in this Agreement excludes or limits liability for fraud, willful misconduct, gross negligence, death or personal injury caused by negligence where such liability cannot be excluded, or any other liability or consumer right that cannot be excluded or limited under applicable law.

24. Changes to This Agreement
NiceNIC may update this Agreement to reflect changes in ICANN or Registry policies, law, security requirements, operational processes, services, or commercial terms. The current version and its effective date will be published through the NiceNIC Legal page.

Where required by applicable law, the Registrar Accreditation Agreement, or ICANN policy, NiceNIC will provide notice of a material change using the contact information in its records or another permitted method. Changes mandated by law, ICANN, or a Registry may take effect when required. Other changes take effect on the published effective date. Continued use of the Services after that date constitutes acceptance to the extent permitted by law.

25. Notices and Communications
You must maintain a monitored and accurate email address for the Account and the Registered Name Holder. NiceNIC may send contractual, operational, security, accuracy, transfer, expiration, dispute, and policy notices by email, through the Account, or by another method permitted by applicable policy or law.

A notice is treated as transmitted when sent to the current address or communication channel in NiceNIC’s records, but its legal effectiveness remains subject to any specific delivery requirement under applicable policy or law.

26. Governing Law and Jurisdiction
This Agreement is governed by the laws of Hong Kong, without regard to conflict-of-laws principles.

For adjudication of disputes concerning or arising from use of a registered domain name, the Registered Name Holder submits, without prejudice to other potentially applicable jurisdictions, to the jurisdiction of the courts (a) where the Registered Name Holder is domiciled and (b) where NiceNIC is located, currently Hong Kong, as required by the Registrar Accreditation Agreement.

Subject to the preceding paragraph, applicable UDRP, URS, Transfer Policy, Registry dispute procedures, and any non-waivable jurisdiction under applicable law, the courts of Hong Kong have exclusive jurisdiction over other disputes arising from this Agreement.

27. General Provisions
This Agreement and the incorporated policies constitute the agreement between the parties concerning the Services and supersede prior terms concerning the same subject matter. Separate terms apply to separately ordered products or services.

If a provision is held invalid or unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions remain effective. Failure to enforce a provision is not a waiver. Headings are for convenience only.

You may not assign this Agreement or transfer control of an Account in a manner that bypasses an applicable domain transfer, Change of Registrant, verification, or security process. NiceNIC may assign this Agreement as part of a merger, reorganization, sale of business, or permitted transfer of registrar operations, subject to applicable ICANN, Registry, and legal requirements.

The English-language version controls. A translation is provided for convenience only unless mandatory law requires otherwise.
